设计 领导形象设计圆作业设计ao工艺污水处理厂设计附属工程施工组织设计清扫机器人结构设计 服务 协议 离婚协议模板下载合伙人协议 下载渠道分销协议免费下载敬业协议下载授课协议下载 英文EN-DesignServiceAgreementDesignServiceAgreementPartyA(Consigner):Address:Contact:PartyB(Consignee):Designer:IdentifyCardNo.:Contact:Emergencycontactperson:InaccordancewiththeContractLawofthePeople’sRepublicofChinaandrelevantlawsandregulationsinthePRC,bothPartiesagreethefollowingcontentthroughamicablenegotiation:Article1-CooperationDescriptionDesigninteriorwayfindingsystemofXXXX,detailspleaseseeattachment”XXXX”(Hereinafterreferredasthe“design”).Article2-TheRightsandObligations2.1PartyBshalldesignstrictlyinaccordancewithPartyA’sstandardsandrequests.2.2PartyBshallsubmitfinaldesignafterthewritingacceptanceofPartyA.Article3-CommissionandPayment3.1Within15workingdaysafterdesignbeenacceptedbyPartyA,PartyAshallpayPartyBcommissionfeeofRMBXX.3.2TheabovefeereceivablebyPartyBshallberemittedtothebankaccountdesignatedbyPartyB,TheinformationofPartyB’sbankaccountisasbelow: BankName:AccountName:BankaccountNo.:Article4-WarrantiesandCommitments4.1PartyBguaranteesthedelivereddesignworksshallbeoforiginalityanddonotcontainanycontentwhichmayinfringeanythirdparty'srights,includingbutnotlimitedtointellectualpropertyrights.Otherwise,anylegalliabilitiesgeneratedfromtheaforesaidinfringementsshallbebornebyPartyB.4.2PartyBshallberesponsibleforpromptlyrevisingorsupplementingfortheflaworerrorsinPartyB’sdesignserviceanddesignworksfreeofcharge.4.3ThedesignserviceanddesignworksthatPartyBprovidestoPartyAshallbeinconformitywithChina'slawsandregulations.Article5-BreachLiability5.1Ifeitherpartyfailstoperformorrendersnon-conformingperformance,therebycausinglosstotheotherparty,theamountofdamagespayableshallbeequivalenttotheotherparty’slossresultingfromthebreach,providedthattheamountshallnotexceedthelikelylossresultingfromthebreachwhichwasforeseenorshouldhavebeenforeseenbythebreachingpartyatthetimeofconclusionofthecontract;5.2ThefailureofpartiestocomplywithanyobligationunderthisContractbecauseofanactofwar,fire,riot,earthquake,actofpublicenemies,actionsofgovernmentalauthoritiesorforanyreasonbeyondthereasonablecontrolshallnotbedeemedabreachofthisContractandsuchpartyshallhavenoliabilitybyreasonofsuchevent.Article6-IntellectulpropertyCopyrightandrelatedintellectualpropertyrightsdesignrelatedshallvestinPartyA,PartyBcouldonlyusetheIPrightsafterPartyA’sapprovalinwritingandpayingreasonablefee.Article7-ConfidentialityofProprietaryInformationBothpartiesshallholdallinformationreceivedfromtheotherpartyinconfidenceandshallnotdiscloseorusesuchConfidentialand/orProprietaryInformation,otherwiseshouldberesponsibleforallthelossowningtothebreach.Article8-Thecontracteffectiveandrevisionterm8.1Thiscontractshallbecomeeffectivewhensignedbytherepresentativeandstampedbythetwoparties;8.2Thiscontracthasfourcopies,eachpartyhastwocopieswithequallegaleffect(Attachmentaseffectivecontractpart),anyrevisionofcontracttermsshallbebothapprovedinwrittenbybothparties.8.3Othermiscellaneousitemsuncoveredinthiscontractwillbenegotiatedbybothpartiesandsignappendixattachmentwhichhasequallegaleffectofthecontract.(Nomaintextfollowing)(Signaturepage)PartyA:                 PartyB:(signatureandstamp)(signature)Date:
