Documentnumber：WTT-LKK-GBB-08921-EIGG-22986独家代理协议英文版精编ExclusiveAgencyAgreementThisagreementismadeandenteredintobyandbetweenthepartiesconcernedoninBeijing,Chinaonthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow:ThePartiesConcernedPartyA:PartyB:AppointmentPartyAherebyappointsPartyBasitsExclusiveAgenttosolicitordersoftheproductstipulatedinArticle3fromcustomersintheterritorystipulatedinArticle4,　andPartyBacceptsandassumessuchappointment.ProductsTerritoryInPeople’sRepublicofChina(Mainlandonly)MinimumturnoverPartyBshallundertaketosolicitordersoftheaboveproductsfromcustomersintheaboveterritoryduringvalidityofthisagreementfornotlessthanUSD.PriceandPaymentThepriceforeachorderofthePRODUCTS,accordingtothepricingsetoutintheattachedExhibitA.Confirmed,irrevocableL/CisopenedbythePartyBinfavorofPartyAforthefullamountofallpaymentsunderthisagreementatthetimeoftheordershallmakepayment.ExclusiveRightInconsiderationoftheexclusiverightsgrantedherein,PartyAshallnot,directlyorindirectly,sellorexporttheproductsstipulatedinArticle4tothethirdpartyinMainlandChinathroughchannelsotherthanPartyB;PartyBshallnotsell,distributeorpromotethesalesofanycompetitiveorsimilarproductsinMainlandChinaandshallnotsolicitoracceptordersoutsideMainlandChina.PartyAshallrefertoPartyBanyenquiriesorordersfortheproductsinquestionreceivedbyPartyAfromotherfirmsinChinaMainlandduringthevalidityofthisagreement.PartyBagreesnottodiscloseanyconfidentialinformationandinventionsofPartyA(the"SUBJECT")including,butnotlimitedto,proprietaryinformation,know-how,tradesecrets,andideaspossessedandownedbythePartyArelativetothePRODUCTSandmethodsofusingthePRODUCTS.PartyBagreesthatallwritings,drawings,and/orphotographsabovetheSUBJECTwhichhavebeenormaybesubmittedtoPartyB,includinganypatentapplicationscurrentlypendingortobefiledbyPartyAregardingtotheSUBJECT,willremainthepropertyofPartyA,andPartyBwillreturnallsuchprototypes,writings,drawings,and/orphotographsandallcopiesthereoftoPartyAuponrequest.ThePartyBagreesthatitwillmaintaintheconfidentialityofallConfidentialInformationdisclosedherewithbythePartyApursuanttothisAgreement,whetherdisclosedinsampleform,oralform,writtenform,orothermedium.ThePartyAagreesthattheywillcreateapartnership,jointventureorrelationshipofagencywithPartyB,againstPartyAhaveintenttofoundamanufactoryinChina.PartyBshallnotmakeanymaterialmisrepresentationstoanyindividual,organization,corporation,proprietorshiporotherentityaboutPartyAorpotentialuses,applicationtechniques,performancecharacteristics,availabilityorotherimportantinformationregardingthePRODUCTS.Specifically,PartyBshalladvisecustomerstousethePRODUCTSonlyinaccordancewithprocedurescommunicatedfromPartyAandanydeviationsfromPartyA'sproceduresshallbecommunicatedfromPartyBtoPartyAatleast24hourspriortoimplementation.Further,thePartyAandPartyBshallprovide,attheother'srequest,reportsofoperatingconditionsandalladditivesortreatmentsbeingusedinconjunctionwiththePRODUCTSsoldunderthisagreement.ThepartiesagreethatifPartyBoritsemployeesorrepresentativesshoulddevelopanyimprovementtothePRODUCTSorprocessesforusingthePRODUCTS,thenPartyBoritsemployeesorrepresentativesshallcommunicatesuchdevelopmentstothePartyAandassignanyandallofitsrights,titleandinteresttosuchdevelopmentsorinventionstoPartyA.PartyBwillreceiveareasonableroyaltyofsalesofsuchdevelopedandassignedproductsorprocessesforthelifeofanyresultingPatentandshallhavethenon-assignableandnon-transferablerighttodistributeandsellthedevelopedproductsorpracticetheprocessesintheterritoryofChinacoveredbythisagreementandundertermsconsistentwiththisagreementortermslateragreedtoinwritingbetweentheparties.ValidityofAgreementThisagreement,whendulysignedbythebothpartiesconcerned,shallremainfor12monthsfromto,anditshallbeextendedforanother12monthsuponexpirationunlessnoticeinwritingisgiventothecontrary.IfanyprovisionsofthisAgreementshallbeheldtobeinvalid,illegal,orunenforceable,thevalidity,legalityandenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorunpairedthereby.ThisagreementshallnotbeassignablebySecondPartywithoutspecificwrittenconsentoftheFirstParty.ThisAgreementcontainstheentireunderstandingofthepartieswithrespecttothePRODUCTSandsupersedesallotherwrittenandoralagreementsbetweenthepartieswithrespectthePRODUCTS.ThisAgreementshallbegovernedbythelawsofthePeople’sRepublicofChina,excludinganyconflictsoflawsprovisionswhichwouldattempttoimposethelawsofanyotherjurisdiction.ThisAgreementshallbebindingontheheirs,successorsandassignsofthepartieshereto.TerminationDuringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.ArbitrationAlldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbef
