合作协议COOPERATIONAGREEMENT甲方：PartyA：乙方：PartyB：甲乙两方本着相同互信、互惠互利的原则，在共同遵守相关法律法规的基础上，就产品销售合作完成以下协议：Inaccordancewiththeprincipleofequality,mutualtrustandbenefit,PartyAandPartyBhavereachedthefollowingagreementonproductsalescooperationonthebasisofcommoncompliancewithrelevantlawsandregulations:1.合作内容cooperationcontent1.1合作范围scopeofcooperation甲方受权乙方在XX国家代理销售甲方的xx等xx牌产品。PartyAauthorizesPartyBtosellxxproductsinxxcountries.1.2合作方式Cooperationmode甲乙两方直接签订 合同 劳动合同范本免费下载装修合同范本免费下载租赁合同免费下载房屋买卖合同下载劳务合同范本下载 的，甲方按代理商价格销售给乙方，乙方按先款后货条件支付货款，在合同中明确权责、义务等。乙方供给市场资源、开发客户，由甲方与最后客户直接签订合同的，两方开初商定由甲方给乙方支付必定比率的佣金作为乙方的市场开发开销。第1页共5页PartyAandPartyBsignthecontractdirectly,PartyAsellsproductstoPartyBattheagent'spriceandPartyBshallpaythegoodsaccordingtotheprincipleoffirstpaymentandlatershipment.Therightsandresponsibilitiesshouldbeclearinthecontract.PartyBprovidesmarketresourcesanddevelopscustomertoPartyA,andthenPartyAsignthecontractwithcustomer,PartyAwillpayacertainproportionofcommissiontoPartyBasPartyB'smarketdevelopmentcost.1.3合作限时periodofcooperation年xx月至xx年xx月。协议期满前一个月，若两方愿意连续合作，可协商续签协议。toxx.Onemonthpriortotheexpirationoftheagreement,thepartiesmayrenewtheagreementiftheyarewillingtocontinuetheircooperation.1.4若乙方需要拜托甲方采买在中国除xx之外的其他产品，甲方优先供给采买和资源支持。合作事宜两方签订详尽合同另附商定。IfPartyBneedstoentrustPartyAtopurchaseotherproductsexceptxxinChina,PartyAshouldgiveprioritytopurchasingandresourcesupport.Thepartiessignspecificcontractwithadditionalagreement.甲乙两方的权益和义务rightsandobligationsofPartyAandPartyB2.1甲方的权益与义务rightsandobligationsofPartyA2.1.1甲方负责为客户供给切合合同规定标准的产品、运输与服务等相关事宜，并对所供产质量量负责。2.1.1PartyAisresponsibleforprovidingcustomerswithrelevantproducts,transportationandservicesrelatedtothestandardsstipulatedinthecontract,andresponsibleforthequalityoftheproductsprovided.第2页共5页2.1.2甲方负责为乙方供给市场开发、客户招标所需的资料、技术支持、招标文件等服务。2.1.2PartyAisresponsibleforprovidingmarketdevelopment,biddinginformation,technicalsupportandotherservicesforPartyB.2.1.3对乙方开发的客户，并由甲方与最后客户签订的合同，甲方合同履行完成并收到全额货款后xx日内，甲方负责按两方确立的佣金比率给乙方支付佣金费。2.1.3WhenPartyAsigncontractwithclientsdevelopedbyPartyB,PartyAshouldpaythecontractcommissiontoPartyBwithinxxdaysaftercompletingthecontractandreceiveingallthepayment.2.1.4对乙方因业务需要，客户需来访甲方工厂的，甲方负责供给必需的便利条件和服务。2.1.4PartyAshouldberesponsibleforprovidingnecessaryfacilitiesandservicesforclientsdevelopedbyPartyBwhentheyneedtovisitPartyA'sfactory.2.2乙方的权益和义务rightsandobligationsofPartyB2.2.1乙方负责在切合所在国的法规前提下，对甲方产品进行宣传，市场开发、采集客户所在国的产品相关技术标准和要求，获得合同订单、维护客户资源。2.2.1Inaccordancewiththelawsandregulationsofthecountry,PartyBisresponsibleforthepublicityofPartyA'sproducts,marketdevelopment,collectionofclients'srelevanttechnicalstandardsandrequirements,toobtaincontractorders,maintaincustomerresources.2.2.2乙方负责对甲方在合同履约过程中协调各方关系，协助办理各种手续及货款回收等事宜。第3页共5页2.2.2Duringtheperformanceofthecontract,PartyBisresponsibleforcoordinatingtherelationshipamongallparties,assistinginhandlingvariousformalities,thecollectionoftheloanandsoon.2.2.3因业务需要，甲方相关人员需前去所在地域拜会客户的，乙方负责为甲方供给必需的便利条件和服务。2.2.3Becauseofthebusinessneeds,PartyA'srelatedpersonnelneedtogototheregiontovisitcustomers,PartyBisresponsibleforprovidingthenecessaryconditionsandservicesforPartyA.两方建立共同确认的信息传达、宣告等沟通渠道，以保证市场开辟业务的及时高效。Bothsidesestablishcommunicationchannelsandtransmitinformation,soastoensuretimelyandefficientdevelopmentofthebusiness.未尽事宜Unsettledaffairs两方友善协商解决，并另行签订增补协议作为本协议的增补文件，具有相同法律效劳。Bothpartiesshallresolvethroughfriendlyconsultation.Thesupplementaryagreementsignedbythetwopartieshasthesamelegaleffect.本协议一式两份，经甲、乙两方签字盖章后奏效。甲、乙两方各执一份，均拥有相同法律效劳。Thiscontractshallbeprovidedintwocopies,witheachpartyholdingonecopyandthetwocopieshavingthesamelegalvalidity.第4页共5页甲方：乙方：PartyA：PartyB：签字signature：签字signature：电话（TEL）：电话（TEL）：传真（FAX）：传真（FAX）：年代日年代日第5页共5页
