国际销售代理协议书InternationalAgentialproposalAgreement甲方：xxxx地址乙方：xxxx地址经双方平等、自愿协商，达本钱销售代理协议，共同遵守。Basedonequalityandmutualnegotiations,bothpartnersagreeonthissalesagentialagreement.第一条代理内容1.TheContentsofAgency同意将以下产品瑞典CINIATECH&TRADINGTECH公司简称SSV)的产品及CINIATECH&TRADINGTECH公司所代理的产品简称产品州代理权授予代理方简称代理人为代理人优先在以下指定地区简称地区难销产品中国大庆采油六厂。代理方式可由以下三种方式一：CINIATECH&TRADINGTECHAB(HerewithnamedasSSV)agreestoauthorizeanagentialrightofSSV'sproductoragentialproductsalesto(.Theagent).Theagenthastheinitiativerighttosellwithintheregionofdaqingsixthoilextractionfactory.Oneagentialmethodistobeselectedfromthefollowingthreemeans:1-1代理人直接与客户签订销售 合同 劳动合同范本免费下载装修合同范本免费下载租赁合同免费下载房屋买卖合同下载劳务合同范本下载 ；1-1Theagentsignsthesalescontractdirectlywiththecustomer;1-2CINIATECH&TRADING、代理人共同与用户签订销售合同1-2CINIATECH&TRADINGandtheagentsignsalescontractsimultaneously.1-3CINIATECH&TRADING直接于用户签订销售合同第十九条排除其他报酬代理人在完本钱协议之义务时所发生的全部费用，除非另有允诺，包括在第13-2条之规定的佣金。Exclusionofotherguerdon.Allcostexpendedontheimplementationofthisagreementisincludedinthecommissionwhichstatedin13-2.第二十条协议期限本协议在双方签字后生效。协议执行一年后，一方提前3个月通知可终止协议。如协议不在该日终止，可提前3个月通知，于下年的12月30日终止。TheagreementtermThisagreementisvalidfromthedateofundersigning.Aftertheagreementcarriesooneyear,eachpartnermaynotifythetermination3monthsinadvance.Ifthisagreementisnotterminatedatthisdate,itmaynotify3monthsinadvanceandbeterminatedat30thofDec,nextyear.第二十一条提前终止根据第二十条规定，任何一方无权提前终止本协议，除非遵照适用的中国法律具有充分说服力的理由方能终止本协议。TerminationinadvanceAccordingtotheclauseof20,neitherpartnerhastherighttoterminatethisagreeinadvance,unlessinevitablereasonswhichhavetocomplywithChineseorSwedishlaw.第二十二条未完之商务协议到期时，由代理人提出终止但在协议期满后又执行协议，应按第13条支付代理人佣金。代理人届时仍应承当履行协议义务之职责。UncompletedbusinessWhenthisagreementisattermdate,theagentproposesthetermination,butcontinuingtheuncompletedbusinesswithinthisagreement,shouldobtainthecommissionaccordingtotheclauseof13.Theagentshouldundertakethedutyandresponsibilityaccordingly.第二十三条赔偿协议除因一方违约而终止外，由于协议终止或未能重新签约，那么不予赔偿。CompensationWhentheagreementisterminatedduetoonepartner'sbreaching,orwhentheagreementisterminatedorunrenewed,thereisnocompensation.第二十四条变更本协议的变更或附加条款，应以书面形式为准。VariationAnyvariationoradditionalitemsofthisagreementshouldbedonebywrittendocument.第二十五条禁止转让本协议未经事先协商不得转让。ProhibitionofalienationItisprohibitedforalienationwithoutanynegotiationandagreement.第二十六条法律适用本协议的签订、履行均适用中国之现行法律。LawapplicationTheunderwritingandimplementationofthisagreementistoapplytheChineseandSwedishcurrentlaw.第二十七条本协议一式肆份，甲、乙双方各执两份，自双方签字盖章之日起生效。29.Thisagreementcontains4originalcopies,2copiestoeachpartner.CINIATECH&TRADINGTECH代理人：TheABagent代表人签字（盖章）：Signature代表人签字盖章）：Signature签约日期：Date地点:Place签约日期：Date地点：Place1-3CINIATECH&TRADINGsignsthesalescontractdirectlywiththecustomer.以上三种型式在具体工程工程中由CINIATECH&TRADING、代理人双方共同协商决定。Theselectionofwhichmeansisdecidedbythenegotiationofbothpartnersaccordintheconcreteproject第二条代理人的职责、CINIATECH&TRADINGTECH公司的职责ResponsibilitiesanddutiesoftheagentandCINIATECH&TRADING2-1代理人职责：2-1Theagentresponsibilitiesandduties:.非经CINIATECH&TRADING公司的同意，代理人不得经地区之外的地方征求定货。如代理商在地区外销售，应事先通知CINIATECH&TRADING公司，得到许可方能进行销售。2-1-1.WithouttheapprovalofCINIATECH&TRADI,NGtheagentshallnotplaceanyordertoanycustomerwhoisoutsideoftheappointed"region".CINIATECH&TRADINGmustbeinformedofanysalesoutsideoftheappointedregioninadvanceandapprovalmustbegrantedE^NTATECH&TRADING.2-1-2彳鲤人无权代表CINIATECH&TRADING公司签订任何具有约束的合约。2-1-2.TheagenthasnorighttorepresentCINIATECH&TRADsliNgGninganyformofcontractthathasstipulation.2-1-3彳舞人应把CINIATECH&TRADING公司规定的销售条款对用户解释。2-1-3.TheagentshouldexplainCINIATECH&TRADING,Ssalespolicytothecustomer.2-14代•理人自行负责开拓市场与开展用户时，在代理业务中保证向用户提供良好的服务，不得以欺诈、胁迫等不正当手段损害客户及制造商的利益及CINIATECH&TRADINGTECH公司的声誉。2-1-4.Theagentexpandsanddevelopsthemarketonhisownresponsibility.Duringthemarketingprocesstheagentshal|)rovidesatisfactoE^rvic6tothecustomer.Anymeanofcheatingand/orcoercing,whichdamagesthebenefitand/orreputationofthecustomerorofCINIATECH&TRADINGisstrictlyprohibited.2-1-5代.理人保证其所有经营活动完全符合中国有关法律、法规、行政规章等的规定。如因代理人违反上述规定的行为给CINIATECH&TRADING公司带来任何损害，代理人应承当所有法律责任并赔偿给CINIATECH&TRADING公司造成的损失。2-1-5.TheagentguaranteesitstotaloperativeactivitytocomplywiththerelevantregulationinChina.AnylossordamageoccurredtoCINIATECH&TRADINGduetotheagestbreach,theagentshallbearlegalresponsibilityandgivecompensationtoCINIATECH&TRADING.2-1^6代.理人保证遵守中华人民共和国价格法的规定，不以低价倾销制造商设备产品；SSVTECH公司的推荐价格供代理人在代理时参考。2-1-6.TheagentguaranteestocomplywiththepricelawofthePeople'sRepublicofChina.Theagentshallnotdumptheproductwithlowerprice;CINIATECH&TRADINGshallreferarecommendedpricetotheagentduringtheagentialperiod.2-1-74舞人应对CINIATECH&TRADING公司明确提示为保密资料的信息给予保密。2-1-7.TheagentshallkeeptheconfidentialiC^anydefinedinformationordocumentthatisprovidedbyCINIATECH&TRADLNG2-1-8.代理商宣传CINIATECH&TRADING产品的资料必须经CINIATECH&TRADING公司的审核后方可进行宣传否那么由此引起的问 由代理方承当.2-1-8.AllmarketingmaterialshallbeapprovedbyCINIATECH&TRADINGbeforetheagentcommencesthemarketingandpropagandaprocess.Otherwiseanycausedproblemduetounapprovedmarketingmaterialshallbeundertakenbytheagent.2-2CINIATECH&TRADING公司的职责：2-2ThedutyandresponsibilityofCINIATECH&TRADING:2-2-1SSV公司应向代理人提供业务范围内的技术支持，帮助代理人提高技术能力，拓宽业务范围。2-2-1.CINIATECH&TRADINGshallprovidetechniquesupporttotheagentwithinthebusinessscope,anddevelopthetechniquecapabilitytotheagentintermstoexpendthebusinesscope.2-2-2按照1-1方式，CINIATECH&TRADING公司原那么上不直接与代理人的客户联系。在代理人的要求或邀请下除外。按照1-2方式，由双方人员共同面对客户。按1-3方式双方就有关条款另行协议.2-2-2.Accordingto1-1,inprincipleCJNIATECH&TRADINGABdoesnotcontacttheagent'scustomerdirectly.Underaconditionoftherequestandinvitatfromtheagent,andaccordingtol-2,bothpartnerscontactthecustomertogether.Otheragreementshallbemadeaftermutualdiscussionwhenitrelatesto1-3.2-2-3.CINIATECH&TRADING公司向代理人提供必要的售后服务，在直接由代理人与用户签定的销售合同(1-1)的情况下，CINIATECH&TRADING公司的售后服务只对代理人，原那么上不直接面向代理人的客户。在由与代理人共同签订的销售合同(1-2)情况下，售后服务主要以QNIATECH&TRADING公司为主，代理人协助售后服务。2-2-3.CINIATECH&TRADINGABprovidesthenecessaryafter-salesservicetotheagent,underthecircumstanceof1-1thattheagentsignsthecontractwiththecustomerdirectly;CINIATECH&TRADINGABshallonlyprovidethenecessaryafter-salssrvicfitotheagentjnprincipl(eINIATECH&TRADINGdoesnotcontactthecustomerdirectly.Underthecircumstanceof1-2,theafter-salesservicmainlyprovidedbyCINIATECH&TRADINGwithassistanceoftheagent.2-2-4.CINIATECH&TRADING公司应对代理人的客户资料及其他代理人明确提示为保密资料的信息给予保密。2-2-5.CINIATECH&TRADINGABshouldkeepalldefinedinformationoftheagentandcustomerconfidential.2-2-5在•曲弋理人与用户直接签订销售合同(1-1)的情况下，对于代理人与其用户之间的纠纷、争议、损失、侵权、违约责任等，均由代理人与客户自行解决，CINIATECH&TRADING公司不介入代理人与用户的纠纷、争议等，也不对用户的任何损失负责。在由CINIATECH&TRADING公司、代理人共同签订的销售合同(1-2)的情况下，对于CINIATECH&TRADING、代理人与其用户之间的纠纷、争议、损失、侵权、违约责任等，按照CINIATECH&TRADING公司与代理人在签订具体合同之前的约定双方职责执行。2-2-5.Underthecircumstanceof1-1thattheagentsignsthecontractdirectlywithcustomer^nydisputes^gumentjosstorlandbreachofcontracfehalbesolvedbetweentheagentandthecustomerwithoutCINIATECH&TRADING'Sinvolvementandresponsibilitytowardtothedispute.Underthecircumstanceof1-2thatCINIATECH&TRADINGandtheagentsignthecontractwiththecustomersimultaneouslynydisputes^rgumentjosstorlandbreachofcontracfehallbesolvedbasedonthestipulatedmutualresponsibilitiesbeforetheconcretecontract.2-2-6诳何情况下，如CINIATECH&TRADING公司认为履行其责任会违反中国法律或任何适用的CINIATECH&TRADIN公司政策，CINIATECH&TRADING公司有权停止履行。&TRADINGregardsthatits2-2-6.Underanycircumstances,whenCINIATECHimplementatiorofresponsibilit9ddutywouldbreachChineselaworSSV,spolicyandregulation,CINIATECH&TRADINGhastherighttoterminatetheimplementation.第三条代理业务的职责范围Thebusinessscopeofagentialcontract.代理人是CINIATECH&TRADING公司空国市场的代理之一，应收集信息，尽力促进产品的销售。代理人应精通所推销产品的技术性能。代理所得佣金应包括为促进销售所需费用。TheAgentisoneofSSV^agentsintheChinamarket.Theagentshallcollectmarketinginformationa,ndmakeeffortopromotethesalesofproduct.Theagentshouldgraspthetechniquefunctionoftheproducts.Theagentialcommissionincludesthemarketingexpenses.第四条广告和展览会为促进产品在该地区的销售，代理人应刊登一切必要的广告并支付广告费用。凡参加展销会需经双方事先商议后办理。AdvertisementandExhibitionForpromotingtheproductsaleintheagreedregion,theagentshouldbearthewholeexpenseofadvertisements.Bothpartnersshallnegotiatethecostmatterofattendinganexhibition.第五条代理人的财务责任5-1代理人应采取适当方式了解当地客户的支付能力。在代理人与用户直接签订销售合同情况（1-1）下，由代理人收回应付款。在由CINIATECH&TRADING公司、代理人与用户共同签订的销售合同情况（1-2）下，代理人协助CINIATECH&TRADING公司收回应付货款.Thefinancedutyoftheagent5-15-1Theagentshouldadoptank\pa^ictfeunderstandingthecustomer9spaymentability.Inthecaseofdelayedpayment,thefollowingapplies:Underthecircumstanceof1-1,theagenthasthedutytogetthepaymentback.Underthecircumstanceof1-2,theagentassistsCINIATECH&TRADINGtogetthepaymentback.5-2未经同意，代理人无权也无义务以CINIATECH&TRADING公司的名义与用户签定销售合同，接受付款。5-2.WithoutapprovalofCINIATECH&TRADING,theagenthasneitherrightnordutytoonbehalfofCINIATECH&TRADINGsignsalescontractwiththecustomer,orreceivepayment.第六条用户意见代理人有权接受用户对产品的意见和申诉，及时通知CINIATECH&TRADING公司并关注CINIATECH&TRADINGTECH公司的切身利益。ThecustomeropinionTheagenthastherighttoreceivethecustomer'sopinionandcomplaints,andnotiftoCINIATECH&TRADINGTECHintimeaccordinglyintermsofprotectingSSV9sbenefits.第七条提供信息代理人应尽力向CINIATECH&TRADING公司提供商品的市场和竞争等方面的信息，每—1—个月需向CINIATECH&TRADING公司寄送工作报告。InformationprovisionTheagentshallmakeanefforttowardCINIATECH&TRADINGTECHintermsofprovidinginformationofthemarketandcompetiTthieona.gentshallsubmitaformalreporteverymonthtoCINIATECH&TRADINGTECHAB.第八条正当竞争8-1代理人不应与SSV公司或帮助他人与SSV公司竞争，也不应从与SSV公司竞争的任何企业中获利。同时，代理人不应代理或销售与代理产品相同的产品。PerfectCompetition8-1Theagentsshouldn'tcompetewithCINIATECH&TRADINGorhelpotherstocompetewithCINIATECH&TRADING.Theagentsshouldnotobtainanybenefitfromanothercompany,whichiscompetingwithCINIATECH&TRADING.Atthesametime,theagentshouldn*tactfororsellthesamekindofproduct,whichissimilartoSSsVproduct.8-2此合约一经生效，代理人应将与其他企业签订的有约束性的协议告知CINIATECH&TRADING公司。不管是作为代理的或经销的，此后再签定产品的任何协议均应告之CINIATECH&TRADING公司，代理人在进行其他活动时，决不能忽视其对SSV公司承当的义务而影响任务的完成。8-2Assoonasthisagreementisvalid,theagentshallnotifyallstipulatedcontractsofwhateveragentialormarketingproductswithothercompaniestoSSV.AllothercontractstobesignedhenceforthshallalsobenotifiedtoSSV.TheagentshallnotignorethedutyandresponsibilitiestoCINIATECH&TRADINGduetoimplementationofotheractivities.第九条保密Confidentiality9-1代理人在协议有效期内或协议终止后，不得泄露CINIATECH&TRADING公司的商业机密，也不得将该机密超越协议范围使用。9-1TheagentshouldnotrevealanyconfidentialinformationofCINIATECH&TRADINGduringtheimplementationandaftertheterminationofthisagreement.Also,theagentshallnotoversteptheconfidentialityofthisagreement.9-2所有产品 均属CINIATECH&TRADING公司所有，代理人应在协议终止时归还给CINIATECH&TRADING公司。9-2AllproductdesignsandintroductionsarebelongingtoCINIATECH&TRADING.TheagentshouldreturnthembacktoCINIATECH&TRADINGaftertheterminationofthisagreement.第十条分包代理代理人事先经CINIATECH&TRADING公司同意后可聘用分包代理人，代理人应对该分包代理人的活动负全部责任。SubcontractTheagentcansubcontracttootheragentaftertheapprovalofCINIATECH&TRADING.Theagentisresponsibleforallactivitiesforthesubcontractedagents.第十一条工业产权的保护代理人发现第三方侵犯CINIATECH&TRADING公司的工业产权或有损于CINIATECH&TRADING公司利益的任何非法行为，代理人应及时据实向CINIATECH&TRADING公司报告。代理人应尽最大努力并按CINIATECH&TRADING公司的指示，帮助CINIATECH&TRADING公司使其不受这类行为的侵害.Theprotectionofcopyright,WhentheagentdiscoversthatathirdpartnerinfringesonCINIATECH&TRADING'Scopyrightorbenefit,theagentshallreportherebytoCINIATECH&TRADINGaccordinglyintime.TheagentshallundertaketheutmostefforttoavoiddamagefromthoseactivitiesaccordingtoSSV'sindication.第十二条技术帮助CINIATECH&TRADING公司应帮助代理人培训雇员.在商业工程具体实施的情况下,CINIATECH&TRADING应培训代理人，使其获得代理产品的技术知识。具体费用由双方就具体情况商讨解决.TechnicalsupportCINIATECH&TRADINGshallassisttheagentintrainingtheappropriatestaff,underthecircumstanceofaconcretebusinessproject,SSVshallconducttrainingcoursetotheagentinordertoobtaintheappropriatetechnicalknowledge.Theexpenseofthetrainingprogramistobediscussedundertheconcreteproject.第十三条佣金数额佣金分两种情况计算：13-1按照1-1方式，代理人单独与用户签订销售合同：代理人的利益直接由产品价格差价获得。13-2按照1-2方式，CINIATECH&TRADING公司、代理人与用户共同签订销售合同：代理人的佣金以每次售出并签字的协议产品销售额百分比为准.CommissionTherearetwocalculationsofthecommission:13-1accordingto1-1,theagentsignsthesalescontractwithcustomerdirectly.Thebenefitsoftheagentareacquiredbythedifferencesprice.ofpurchasingandselling13-2accordingto1-2,theagentandCINIATECH&TRADINGsignthesalescontractwiththecustomersimultaneously:Thecommissionoftheagentisbasedonapercentageofthecontractsellingprice.第十四条商业失败、合约终止代理人所介绍的询价或订单，如CINIATECH&TRADING公司不予接受那么无佣金。代理人所介绍的订单合约已中止，代理人无权索取佣金.Thebusinessfailure,contractterminationIfCINIATECH&TRADINGdoesnotacceptoradmitanyqueriesorordersfromtheagent,thenthereisnocommissiontobepaidtotheagent.Theagenthasnorighttodemandanycommissionifthesalescontractisdeliveredandterminated.第十五条佣金计算 佣金以发票金额计算，任何附加费用如包装费、运输费、保险费、海关税或由进口国家回收的关税等应另开支票。ThemethodofcommissioncalculationThecommissioniscalculatedontheamountoftheinvoice.Anyothercost,forexample,packing,transport,insurance,customclearanceorimportcustom,etcshallbeinvoicedseparately.第十六条佣金的索取权代理人有权根据每次用户购货所支付的货款按比例收取佣金。如用户没支付全部货款，那么根据CINIATECH&TRADING公司实收货款按比例收取佣金。CommissionobtainingrightTheagenthastherighttoobtaintheagreedcommissionaccordingtoeachorder.Ifthecustomerpaysinstallment,thentheagentobtainsthecommissionaccordingtothreceivedpaymentpertime.第十七条支付佣金的时间CINIATECH&TRADING公司每季度应向代理人说明佣金数额和付佣金的有关情况，CINIATECH&TRADING公司在收到货款后，应在30天内支付佣金给代理人。CommissionpayingtimeCINIATECH&TRADINGshallstatetotheagentaboutthecommissionandtherelatedpayment.CINIATECH&TRADINGshallpaythecommissionwithin30daystotheagentafterreceivingthepayment.第十八条支付佣金的货币佣金按成交的货币来计算和支付。CurrencyforthecommissionThecommissionispaidtothecurrencythatisundersignedonthecontract.
