COMMERCIALPHOTOGRAPHYCONTRACT商业摄影 合同 劳动合同范本免费下载装修合同范本免费下载租赁合同免费下载房屋买卖合同下载劳务合同范本下载 TermsandConditions条款与适用条件Thefollowingdetailstheterms/conditionsfor(hereinafter“theclient”)andMFShanghaiAdvertisingAgency(hereinafter“MFAdvertisingAgency”)Agreements:以下合同条款及适用条件是由（以下简称为“甲方”）与XXX广告有限公司（以下简称为“XXX”）签订。ProjectDate项目日期：Aug25th-27thThisphotoshootwillspanoverthecourseof2day(s),whichincludesbutnotlimitedtothefollowing:此次拍摄项目需时2天，包括但不仅限于以下内容：10张平面照片1、行政楼层单间+浴室2个2、行政楼层标间1个3、行政楼层套间1个4、行政酒廊2个5、宴会厅婚宴1个6、玉兰厅课桌式1个7、金桂冠自助餐厅人物1个8、门童1个9、宴会服务1个ProjectCharge项目费用：CNY10,000有图片的增加和减少按照每张图片1000元计费增减。Transportation交通费用：摄影师及助理2人来回交通费用由甲方承担。实报实销。酒店需提供摄影师及助理2人合理的餐饮及住宿。Thefirst50%oftotalfee(RMB5,000)shouldbepaidbeforetheprojectbegins(Date:).Theother50%shouldbepaidassoonastheclientconfirmsthefinialpictures.在拍摄项目开始前（日期：）需预付50%（共计人民币5,000）。剩余的50%将在甲方获得确定最终文件小样后，予第一时间支付。Forgoodandvaluableconsideration,thesufficiencyofwhichisherebyacknowledged,theclientherebyagreesasfollows:甲方经过仔细的商榷及考量已同意以下附属条款：1.MFAdvertisingAgencywillgranttotheclientalicenseinperpetuitytouse,inanymanner,anywhereintheworld,asfrequentlyastheclientinitssolediscretionforanypurpose;withoutlimitation,forpurposesoftheclientadvertising,publicityortrade.Suchuseshallinclude,butnotbelimitedto,useinconnectionwiththeclient’sproducedmaterialssuchasnewsletters,direct-mail,collateral,displaymaterials,guidesandbrochures;“videobrochures”;anybrochuresorotheradvertisingorpromotiononInternetorCDRomorothermedia;oranyeditorial,publicrelations.XXX将授予甲方对于上面所制定的摄影图片在全球范围内使用的权利，并对于图片的使用范围及拷贝数量及用途不做限制。图片允许使用于广告、宣传或贸易，包括（但不限于）：甲方的印刷品，如报道，直邮，演示文件，说明书及画册；视频产品；用于互联网及光盘媒介的画册、广告或推广；其他媒介；报刊及公关材料。2.Assignmentofcopyrightshouldbecompleteassoonasbothsidesfulfillthecontract.MFAdvertisingAgencydeliversthefinalpicturestotheclientwithhisconfirmationwillberegardedasthecontracthasbeenfulfilledbyMFAdvertisingAgency.MFAdvertisingAgencyreceivestheresidualpaymentfromtheclientwillberegardedasthecontracthasbeenfulfilledbytheclient.Beforereceivingallpaymentsaccordingtothecontract,MFAdvertisingAgencyreservesallcopyright.版权的转让须以双方履约完成为准。甲方确认小样后，XXX影像交付最终图片至甲方，则XXX影像履约完成。甲方付清余款，即甲方履约完成。甲方付清所有合同款项前，XXX影像保留所有图片版权。3.ThetermsofpaymentwillbemadeinRMBcurrency.Thephotographicpackageincludesandlimitedtothefollows:此项目将以人民币作为货币结算，整个摄影项目包含并仅限于以下项目。a)Pre-productionexpenses前期相关准备费用b)Digitaldata数码图片c)Equipment设备d)Colormanaging色彩管理e)Post-productionprocedures(Basicretouch)后期制作（基本润色）f)HighResolutionRGBTifffilessuppliedonDVD高精度RGB色彩的Tiff文件以DVD为载体提供g)Copyrightsurrender版权转让4.MFAdvertisingAgencyshouldhaverightstoselectandarrangeaprofessionalphotographertodotheshootinginprinciple.Iftheclientrequiresaspecificphotographer,shoulddiscussanddecidetheexactshootingdate&pricewithMFAdvertisingAgency7daysinadvancethoughemailorinwrite.Andifanydelayoftheshootingdatethatcausedbytheclient,MFAdvertisingAgencyshallhaverightstochangethephotographer,andredecidetheshootingdateafterdiscussionwiththeclient.XXX影像须按照拍摄要求安排专业摄影师跟进甲方拍摄，原则上不指定摄影师。如甲方需指定摄影师，由于受档期限制，需提前7天以书面或email形式确定拍摄日期及价格。如甲方在排期确定后单方面更改拍摄日期，则XXX影像有权更换摄影师，且须经双方友好协商后重新确定拍摄日期。5.WithoutfurtherauthorizationfromtheMFAdvertisingAgencyorwithoutnamecredit,theclientdonothavetherighttousetheunpaidorunselectedtestingshots,preliminaryandothercopiesthereof(collectively“photograph(s)”).在未得到XXX进一步同意或授权的情况下，甲方无权使用未付费或未选择的测试图片，原始图片格式以及其他图片拷贝。6.TheclientshallnotauthorizeorpermittheuseofthePhotograph(s)bythird-partycompany(s)foranypurposeswithouttheadvancewrittenconsentofMFAdvertisingAgencyexceptbytheiragents,distributorsandbusinesspartners.甲方在未经XXX的同意或授权的情况下，不得将图片以任何理由给予除了甲方的发行商、代理商及合作伙伴之外的第三方公司作为商业用途使用。7.Thepartiesagreethatthisagreementsupersedesallprioragreements,expressedorimplied,andconstitutesthefinal,entireandcompleteagreementbetweenthepartiesconcerningthesubjectmattercontainedherein.双方同意对于将在此涉及的相关条目，取代先前的合约、承诺或暗示，并且将此合同作为最终的、全部以及完整的合同。8.Bothpartieskeeponeofthetotaltwocopies.ThisagreementshallbeconstruedpursuanttothelawsPeople’sRepublicofChina.Nowaiver,modificationoradditiontothisagreementshallbevalidunlessinwritingsignedbythepartytobecharged.Intheeventofanydisputearisingoutoforrelatingtoorinconnectionwiththisagreement,shallbesettledthroughfriendlyconsultationsbybothparties;intheeventnosettlementisreached,thedisputeshallbereferredtoChinaInternationalEconomicandTradeArbitrationCommissionShanghaiCommission.本合同一式两份。此合同书由中华人民共和国的法律框架内解释。在未得到双方一致的书面修改并签署的情况下，任何对本合同的增加，修改及减少都视为无效。如双方在履行本协议的过程中产生任何争议，应双方友好协商解决；如协商解决不成，任何一方均可向中国国际经济贸易仲裁委员会上海分会要求仲裁。9.ThisagreementshallbemadeinbothChineseandEnglishversions,ifhereisanyconflictbetweenChineseversionandEnglishversion,theChineseversionshallprevail.MFAdvertisingAgencyreservestheauthorityfortheinterpretationonthisagreement.本协议以中、英文书就，如中、英文版本有任何不一致，以中文版本为准。XXX对本合同保留最终解释权。 _Signature签名Date日期 Signature签名MFAdvertisingAgency(Shanghai)XXX广告有限公司_Date日期Address地址:Tel电话:Bank开户行:AccountNumber公司帐号:Page1/4
