三、租赁范围及用途: Tenancy: 3.1甲方同意将其位于路号即XXX豪华公寓室的房屋及其家私家具用品(见附件1列出)与其设施在良好及可租赁的状态下租给乙方为居住使用,出租房屋的建筑面积为平方米。PartyAherebyagreestoleaseUnitNoofChangningRoadBelvedereServiceApartments,togetherwiththefurniture,furnishingandappliances(asreferredtoinAppendixI)andtherelatedfacilitiesingoodandtenantableconditiontoPartyBforresidentialuse.Thegrossareaoftheleasedpropertyisapproximatelysq.m.3.2乙方之雇员及/或乙方之联营或属下公司之雇员只能将出租房屋用作住宅用房。TheleasedpropertyshallbeusedbyanyoftheemployeesofPartyBand/orPartyB’sassociateorrelatedcompaniesforresidentialpurposeonly.四、租赁期: TermofTenancy:4.1租赁期为年,自年月日起至年月日止。租赁期内不得提前终止本合同,如乙方提前退租,甲方有权没收乙方保证金,如保证金不足弥补甲方的损失,乙方还应承担相应的赔偿责任。合同终止时乙方须付清租金,物业管理费,停车费,电话费及其它费用等,否则甲方将从保证金内扣除该部分费用,乙方仍须对不足部分承担经济赔偿责任。Thetenancyshallbeforatermof()year,commencingonandexpiringon.PartyBshouldnotterminatetheAgreementbeforetheleasetermisexpired.Alloutstandingchargesincludingmanagementchargesandrates,carparkfee,telephonecharges,mealcharges,soonareinarrearsuptotimeofsuchterminationOtherwise,PartyAwilldeducttheoutstandingchargesfromthesecuritydepositandPartyBshouldstillcompensatethedifferenceifthereisany..4.2租赁期满,如乙方不再根据此条款续约,甲方有权收回全部出租房屋,乙方应如期交还出租房屋予甲方。乙方如要求续租,须在本合同期满个月前向甲方提出书面申请,再由双方另行续租事宜。在同等租赁条件下,乙方有优先权租赁出租房屋。Onexpiryofthetenancy,ifPartyBhasnotexerciseditsoptiontorenewthisAgreementinaccordancewiththisclause,PartyAhastherighttorepossesstheentireleasedproperty,andPartyBshalldelivertheleasedpropertytoPartyAprovidedalwaysthatPartyBshallhavetheoptiontorenewthisAgreementupongivingpriorwrittennoticetoPartyAofitsintentiontodosoatleastmonthbeforetheexpirationofthisAgreement.Undersimilartermsoftenancy,PartyBhastherightoffirstpriority.五、租金 Rent:5.1双方议定的租金为每月美元,租金包含水,电,煤,一周三次屋内清洁及物业管理费但不包含停车费,电话费,餐费和洗衣费及其它费用。TherentfortheleasedpropertyasagreedtobybothpartiesisUS$permonth,whichrentincludeswater,electricity,gas,managementfeeandhousekeepingthreetimesaweek,excludescarparkingfee,telephonecharges,mealchargesaswellaslaundryfee.5.2甲方应在每月五日之前出付款 通知 关于发布提成方案的通知关于xx通知关于成立公司筹建组的通知关于红头文件的使用公开通知关于计发全勤奖的通知 给乙方。乙方支付甲方每月的租金,应在每个月的十五日以前汇至甲方指定的银行帐号(按附件2汇款指示),或向甲方支付现金或支票,支票付款期为每月的十日以前。汇款方式支付租金日期以乙方汇出日期为准。现金与支票以甲方收讫日为准,支票如退票视乙方违约。甲方必须在乙方每次支付后十日内向乙方开具发票。如若拖欠有关发票,甲方视为违约。PartyAshallissueapaymentadvisetoPartyBbeforethefifthdayofeachcalendarmonth.PartyBshallpayeachmonth’srentinadvance,onorbeforethefifteenthdayofeachcalendarmonth,bycashorcreditcardorchequeorremittingtheamountofsuchrenttoabankaccountdesignatedbyPartyA(seeattachment2).Thedateofremittancesshallbethedateofpaymentandthedateofcashandcreditandchequeshallbethedateofreceipt.Ifthechequeisrejectedbybank,PartyBshallbetreatedasinbreachofthisAgreement.PartyAshallprovidetoPartyBthereceiptwithinten(10)daysafterPartyBmakeseachpayment.IncasePartyAfailstodoso,PartyAshallbetreatedasinbreachofthisAgreement。5.3如租金到期后七天仍未支付,乙方须按日加付其租金0.5%的滞纳金直至付清所有欠缴租金(租金期限参阅5.2)。如超过三十天未付(无论甲方是否提出要求乙方补缴应付租金),根据合同10.2条,本合同自动终止。Iftherentisunpaidforseven(7)daysafterthesamehasbecomedueandpayable,PartyBshallbeliabletopayalatepenaltyfeeequalto0.5%oftheoverdueamountperdayuntiltheoverdueamountispaidinfulltoPartyA(refertopoint5.2onthedeadlineforpayment).Iftherenthasnotbeenpaidformorethanthirty(30)daysaftertheduedate(whethersuchoverdueamounthasbeenformallydemandedornot),thisAgreementshallbeautomaticallydeterminedinaccordancewithClause10.2ofthisAgreement.5.4所有租金及其他有关费用均以人民币或美元支付至甲方指定的帐户,汇价以付款当月一日中国银行公布的中间汇价为准。保证金按美金兑人民币1:8.3计算。Allpaymentsofrentandincidentalcharges,etc.hereundershallbemadeinRMBorUSDtoPartyA’sdesignatedbankaccount.TheexchangerateshouldbeBankofChina’smiddlerateonthefirstdateofthemonthofpayment.Theexchangerateofsecuritydepositis1:8.3.六、保证金 SecurityDeposit:6.1为确保出租房屋及其设施之安全并完好及租赁期内相关费用之如期结算,乙方同意于签订合同后、入住公寓前支付给甲方个月租金的租赁押金计,作为乙方确保合同履行之保证金。若乙方以支票形式或汇款方式支付该保证金,则支票或汇款必须在乙方入住之前到帐,否则乙方必须支付现金或信用卡作押金。同时,甲方不接受空白支票作为押金。Toensuretheprotectionandgoodconditionoftheleasedpropertyandtherelatedfacilitiesaswellasthepromptpaymentandsettlementofallrelatedchargesduringthetermofthetenancy,PartyBagreestopaytoPartyAbeforetheexecutionofthisAgreementasecuritydepositequivalenttomonths’rentalintheamountofUS$assecurityforPartyB’sobligationshereunder.ShouldthisdepositbepaidbychequeorremittancebeforePartyAcheckin.Otherwise,PartyBshouldpayitbycashorcreditcard,,thenPartyAwillonlyallowPartyBcheck-intotheapartmentafterthechequeorremittanceisclearedbythebank.Inaddition,blankchequewillnotbeaccepted.6.2除合同另有约定外,甲方应于租赁期满或此合同提前终止之期且乙方所租赁房屋设施及家具用品(见附件1)完好无损、并付清所有应付费用后,一个月内将保证金金额无息退还乙方。UnlessotherwiseprovidedinthisAgreement,PartyAshallreturntoPartyBtheentiresecuritydepositwithoutinterestwithinonemonththereonuponexpirationorsoonerdeterminationofthisAgreementprovidedthatPartyBhasvacatedtheleasedpropertyreturnallfurnitureandsuppliesaccordingtoattachment1ingoodconditionandsettledallrelatedcharges.6.3甲方因乙方违反本合同的规定而受的损失,可在保证金中扣抵合理数目,在甲方作出该种扣抵前,需通知乙方将被扣抵的金额和理由,乙方有权拒绝不合理或不公正的抵扣,不足部分乙方必须在接到甲方付款通知后10天内补足。PartyAmaydeductareasonableamountfromthesecuritydeposittowardspaymentofanyactualdamagesPartyAshallhaveincurredorsufferedasaresultofPartyB’sbreachofthisAgreement.Priortomakingsuchdeductions,PartyAshallinformPartyBoftheamountwhichitintendstodeductandthereasonformakingsuchdeductions.PartyBshallbeentitledtoobjecttosuchdeductionsifPartyBbelievesthatsuchdeductionsareunreasonableorunjustified.Ifthesecuritydepositisnotsufficienttocoversuchamounts,PartyBmustpaythedeficiencywithinten(10)daysofthereceiptofademandfromPartyA.6.4在租赁期头三个月内,如由于甲方提供的出租房屋结构,装修及其他设施等原因(在非乙方过失情况下)造成损害以至于影响乙方正常居住,经乙方发出书面通知后七天内甲方仍不改正的或改正无效,乙方有权以书面形式通知甲方终止本租赁合同,乙方已缴付的保证金将如数归还乙方。Duringthefirstthree(3)monthsofthistenancy,ifthestructure,decorationorotherfacilitiesoftheleasedpropertyprovidedbyPartyAshallcauseanydamage(exceptforneglectordefaultofPartyB)andthusdisruptsthenormalandquietenvironmentofPartyBintheleasedproperty,andPartyAshallfailtocomplywiththewrittendemandissuedbyPartyBtorectifyitwithinseven(7)daysafterreceiptofsuchdemand,PartyBshallbeentitledtoissueawrittennoticetoPartyAtoterminatethisAgreement,andthesecuritydepositpaidbyPartyBshallbereturnedinfulltoPartyB.七、其他费用 OtherCharges: 乙方应承担租赁期内实际使用而产生的电话费,停车费,餐费和洗衣费等,并按单自行如期交纳所属管理公司或有关机构。 Duringthetermoftenancy,PartyBisresponsibleforpayingthechargesinrelationtotelephonecharges,andcarparkingfeeonthebasisoftheamountofsuchutilitiesPartyBuses.SuchchargesshallbepaidwhendueaccordingtotheinvoicethereforereceivedbyPartyBfromtheManagementCompanyorrelevantauthorityeverymonth.八、甲方的责任: PartyA’sObligations:8.1甲方须按时将出租房屋及其家私家具用品与其设施以良好状态交付乙方使用。PartyAshalldeliveronscheduletoPartyBvacantpossessionoftheleasedpropertyincludingthefurniture,furnishingandappliancesandtherelatedfacilitiesforPartyB’suse.8.2租赁期内甲方不得收回出租房屋(除非本合同另有规定),甲方保证乙方可不受干扰地享用该物业。PartyAshallnotrepossesstheleasedpropertyduringthetermofthetenancy(unlessotherwisestipulatedinthisAgreement)norshallPartyAdisturborinterferewithPartyB’squietenjoymentoftheleasedproperty.8.3在乙方遵守本合同的条款及交付租金的前提下,乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用该出租房屋。ProvidedthatPartyBpaystherentandperformsandobservesPartyB’stermsandconditionsinaccordancewiththisAgreement,PartyBshallbeentitledtoholdandenjoytheleasedpropertythroughoutthetermofthistenancywithoutanyinterruptionbyPartyAoranyotherperson.8.4甲方保证在租赁期内出租房屋的结构,进出物业的排水,上下管道,电路等处于良好的使用状态。甲方对此负有维修及保养责任。所需费用由甲方承担,乙方无需额外支付,由乙方过失造成的损坏除外。在本合同期间,如因不合理出租房屋结构,进出物业的排水,上下管道,电路等或甲方提供的装修质量原因造成乙方直接或间接损失,甲方应承担赔偿责任。甲方同意保证提供给乙方的家用电器良好,如果乙方通知甲方或其代理家用电器不能使用,甲方须负责修理或更换.但对于乙方因使用不当或过失造成损坏的,乙方应承担相应的赔偿责任.PartyAagreestorepairandmaintainthestructure,drains,pipesandcables,etc.leadingintoorfromtheleasedpropertyatalltimesingoodandtenantablerepairduringthetermofthistenancy.AllexpensesoftheabovearetobebornebyPartyA,unlessthedamageiscausedbyPartyB’simproperuse,inwhichcasePartyBwouldbeartheabovecosts.DuringthetermofthisAgreement,PartyAshallbeliabletocompensateforanylossofPartyBcausedirectlyorindirectlybythestructure,drains,pipesandcables,etc.leadingtodamagesofthedecorationsofthepremiseandallitsfurnitureandfixturesandeverythingincludedinAppendixI.PartyAagreestoensuretheproperfunctionoftheappliancessuppliedbyPartyA.includingtherepairorreplacementoftheappliances.UponpropernotificationofmalfunctionbyPartyBtoPartyAortheAgent.8.5甲方谨在此声明及保证甲方有合法地位出租此房屋于乙方。甲方于本合同所作出的声明及保证,如有错误或违反者,甲方须就乙方因此而引致的任何损失、损害、支出及费用作出全部补偿(包括但不限于法律费用)。PartyAherebyrepresentsandwarrantsthatPartyAhasthenecessarylegalcapacitytoleasethepropertytoPartyB.PartyAshallbeliabletokeepPartyBfullyindemnifiedagainstanycosts,expenses,lossesanddamagesincurredtoandsufferedbyPartyBasaresultofanybreachofPartyA’srepresentationsorwarrantiesherein(includingbutnotlimitedtolegalcosts).8.6如在租赁期内,出租房屋发生所有权全部或部分的转移、或其他影响乙方权益的事情时,甲方应保证所有权人或其他影响乙方权益的第三者,能继续遵守本合同所有条款。纵使出租房屋已被转移,如乙方于本合同下的权益受此等所有权人或第三所影响或损害,甲方须负责补偿乙方的所有损失、损害、支出及费用。Ifduringthetermofthistenancy,allorpartoftheleasedpropertyistransferredtoathirdpartybyPartyA,orPartyB’srighttousetheleasedpropertyisotherwiseaffected,PartyAshallensurethatsuchtransfereeorthirdpartyhavinganeffectonPartyB’srighttousetheleasedpropertywillcontinuetoabidebythetermsofthisAgreement.EveniftheleasedpropertyistransferredwhereatransfereeorathirdpartyaffectsPartyB’sinterestsunderthisAgreement,PartyAshallcontinuetobeliabletokeepPartyBfullyindemnifiedagainstanycosts,expenses,lossesanddamagessufferedbyPartyB.九、乙方的责任: PartyB’sObligations:9.1乙方应按合同的规定,按时支付租金、保证金及其他各项应付费用。PartyBshallpromptlypayrent,securitydepositandotherchargespayablebyitinaccordancewiththetermsofthisAgreement.9.2乙方经甲方事先书面同意,可在出租房屋内进行装修及添置设备。租赁期满必须恢复本合同签署日的原状(正常损耗除外),乙方必须承担因乙方、乙方雇员及乙方访客等有关人员造成的除正常损耗外的房屋设施,屋内用具和饰品等一切损坏费用,并承担其费用,经甲方验收认可后归还甲方。PartyBmay,withthepriorwrittenconsentofPartyA,renovateandinstalladditionalfacilitiesintheleasedproperty.UponexpiryofthisAgreement,theleasedpropertyshall,uponPartyA’sinspection,bereturnedtoPartyAintheconditionsasatthecommencementofthisAgreement(fairwearandtearexcepted).AllexpensesarisingfromanydamagetotheleasedpropertyandtherelatedfacilitiesandaccessoriescausedbyPartyB,itsemployees,inviteesorlicenseestotheleasedpropertyapartfromfairwearandtearshallbebornebyPartyB.9.3乙方应爱护使用出租房屋,如因乙方的过失或过错致使房屋设施及屋内用具和饰品受到损坏(正常损耗除外),乙方应负赔偿责任。PartyBshalltreattheleasedpropertywithcare.IfasaresultofPartyB’snegligenceormisconduct,theleasedpropertyandtherelatedfacilitiesandaccessoriessufferanydamage(fairwearandtearexcepted),PartyBshallberesponsibleforcompensatingPartyAforsuchdamages.9.4乙方应按本合同约定合法使用出租房屋,不得擅自改变使用性质,不应存放中华人民共和国法律下所禁止的危险物品,如因此发生损害,乙方应承担全部责任。PartyBshallusetheleasedpropertylegallyasagreedinthisAgreementandmaynotchangesuchuseonitsown.PartyBshallnotstoreanydangerousitemswhichareprohibitedbythelawsinthePeople’sRepublicofChinaintheleasedpropertyandshallbefullyresponsibleforanydamagesorlossesasaresultthereof.9.5乙方不得将出租房屋转租或租给其他的第三者。PartyBmaynotassignthetenancyorsublettheleasedpropertytoathirdparty.9.6在租赁期的最后个月,乙方需允许甲方或甲方代理人在事先预约的情况下陪同有意向租客参观或视察出租房屋。Duringthelastmonthsofthetenancy,PartyBshallpermitanyprospectivetenantasaccompaniedbyPartyAoritsagentstoinspecttheleasedpropertyatreasonablehoursbypriorappointment.十、违约处理: BreachofAgreement:10.1甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相应的违约责任。双方同意违约方应赔偿守约方之直接损失(间接和结果性损失除外)。IfeitherPartyAorPartyBfailstoperformitsobligationshereunder,itshallconstituteabreachofthisAgreementandthedefaultingpartyshallbeliablefortheliabilitiesresultingfromsuchbreach.Thepartiesagreethatthepartyinbreachshallpaytheotherpartycompensationforthedirectlossanddamage(excludingindirectandconsequentiallossanddamages)sufferedbytheotherpartyasaresultofsuchbreach.10.2乙方有下列行为之一的,甲方有权终止本合同,收回出租房屋,并且保证金不予发还:PartyAshallhavetherighttoterminatethisAgreement,repossesstheleasedpropertyandforfeitthesecuritydepositifPartyBcommitsoneofthefollowing:a) 未得甲方书面同意,将出租房屋擅自转租;subletstheleasedpropertywithoutPartyA’swrittenconsent;b) 未得甲方同意将出租房屋擅自拆改结构或改变用途的;或altersthestructureoftheleasedpropertyorusestheleasedpropertyotherthanforthepurposestatedhereinwithoutPartyA’sconsent;orc) 无故拖欠租金超过三十天(除双方就本合同存在争议除外)。failstopayrentwithoutanyreasonformorethanthirty(30)daysaftertheduedateexceptwherethereisadisputeinrespectofthisAgreement.十一、适用法律:ApplicableLaw:本合同的成立,其有效性、解释、签署和解决与其有关的一切纠纷均应受中国法律的管辖并依据中国法律解释。TheformationofthisAgreement,itsvalidity,interpretation,executionandsettlementofanydisputesarisinghereundershallbegovernedbyandconstruedinaccordancewiththelawsofthePeople’sRepublicofChina.十二、争议的解决:DisputeResolution:凡因执行本合同所产生的或与本合同有关的一切争议,双方应通过友好协商解决;协商不成,应提交中国国际经济贸易仲裁委员会,按其仲裁规划和中华人民共和国仲裁法进行仲裁。仲裁解决是终局的,对双方都有约束力。InthecaseofdisputesarisingoverthisAgreementoranymattersrelatedhereto,thepartiesshallnegotiateingoodfaithtoresolvesuchdisputes.Ifsuchnegotiationfails,thepartiesshallsubmitthedisputetoarbitrationbytheChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewithitsarbitrationrulesandTheArbitrationLawofthePeople’sRepublicofChina.Thedecisionofthearbitrationbodyisfinalandshallbebindingonthepartieshereto.十三、其他: Others:13.1本合同附件1是本合同不可分割的组成部分,具有同等法律效力。TheAppendicesItothisAgreementisinseparablepartofthisAgreement,andisequallyenforceable.13.2本合同如有未尽事宜,由甲、乙双方洽谈解决。IfthisAgreementisunclearwithrespecttocertainmatters,thetwopartiesshalldiscusstoresolvesuchambiguities.13.3本合同由中、英文写成,两种文本具有同等效力。唯以中文为准ThisAgreementiswrittenbothintheChineseandEnglishlanguages.Bothversionsshallbeequallyauthentic.Howeverintermsofarbitration,alltermswillbebasedontheChineseversion.13.4本合同自经双方签字后立即生效。未经双方同意,不得任意终止或修改,本合同另有约定除外。本合同一式三份,甲、乙双方各执一份,有关房地产注册管理部门一份,均具有同等效力。ThisAgreementshallbecomeeffectiveuponthesigningthereofbythepartieshereto.SaveandexceptasprovidedinthisAgreement,thisAgreementmaynotbeterminatedoramendedwithouttheconsentofbothparties.Therearethree(3)originalsofthisAgreement,two(2)forbothparties,thethirdfortherelevantlandsandbuildingregistrationauthorities,allofwhichshallbeequallyvalid.13.5双方须各自负责因准备,商讨及签署本合同所引致的法律费用。Eachpartyshallbearitsownlegalcostsinrelationtothepreparation,negotiationandexecutionofthisAgreement.
