法律文件模版PAGE/NUMPAGESCOSTSHARINGAGREEMENTMASIMOCORPORATION—MASIMOINTERNATIONALHOLDINGSTHISCOSTSHARINGAGREEMENT(the“Agreement”)iseffectiveasofthedateofexecution(the“EffectiveDate”),byandbetweenMasimoCorporation(“MasimoUS”),aDelawarecorporationhavingitsprincipalplaceofbusinessat40Parker,Irvine,CA92618,andMasimoInternationalHoldings(“MasimoCayman”),aCaymanIslandscorporationhavingitsregisteredofficeat75FortStreet,P.O.Box1350,GrandCayman,KY1-1108CaymanIslands(collectively,the“Parties”andindividually,“Party”).RECITALSWHEREAS,thePartiesare,orintendtobe,engagedinthebusinessofsellingProducts(asdefinedbelow);WHEREAS,thePartiesareenteringintoaBuy-InLicenseAgreementeffectiveasofthedateofexecution(“Buy-InLicenseAgreement”),wherebyMasimoCaymanhasreceivedlicensestotheMasimoUSIntangibles(asdefinedbelow);WHEREAS,thePartiesdesiretopooltheirresourcesforthepurposeoffurtherdevelopingandotherwiseenhancingthevalueoftheMasimoUSIntangiblesandtosharethebenefitstherefrom;WHEREAS,thePartiesintendtoexploittheDevelopedIntangibles(asdefinedbelow)intheirrespectivebusinesses;andWHEREAS,thePartiesintendthatthearrangementscontemplatedbythisAgreementconstituteaqualifiedcostsharingarrangementwithinthemeaningofU.S.TreasuryRegulationSection 1.482-7.NOW,THEREFORE,inconsiderationofthepremisesandofthemutualpromiseshereinaftersetforth,thePartiesheretoagreeasfollows:ARTICLE1EFFECTIVENESSOFRECITALS/DEFINITIONSTheRecitalssetforthaboveareanintegralpartofthisAgreementandshallhavethesamecontractualandlegalsignificanceasanyotherlanguageinthisAgreement.ForpurposesofthisAgreement,thefollowingdefinitionsshallapplytothetermssetforthbelowwherevertheyappear:Section 1.1“Affiliate”ofaPartymeansanyentitycontrolledby,controlling,orundercommoncontrolwithsuchParty,where“control”inanyoftheforegoingformsmeansownership,eitherdirectorindirect,ofmorethan50%oftheequityinterestentitledtovotefor 1theelectionofdirectorsorequivalentgoverningbody.AnentityshallbeconsideredanAffiliateonlysolongassuchentitycontinuestomeettheforegoingdefinition.Section 1.2“AggregateAllocableDevelopmentCosts”foranyFiscalYear,orpartthereof,meansthesumoftheDevelopmentCostsofbothPartiesforsuchFiscalYear,orpartthereof,lessSpecificDevelopmentCosts,ascalculatedunderArticle2(DevelopmentCosts).Section 1.3“AnnualCSAReport”meansthedocumentpreparedbythePartiesasprovidedinArticle3(DevelopmentCostAllocation).Section 1.4“ConfidentialInformation”shallhavethemeaningdefinedforthatterminArticle6(ConfidentialInformation)andshallalsoincludeDevelopedTechnologyandMasimoUSTechnology.Section 1.5“CostShare”and“CostSharePercentage”foranyquarteroftheFiscalYearshallbetheamountsrespectivelyspecifiedforthosetermsinSection 3.5(CostShareandCostSharePercentage).Section 1.6“DevelopedIntangibles”meansandincludesanyandallintellectualpropertyorotherintangibleassetsrelatingtoDevelopedTechnology,andallDevelopedMarketingIntangibles(“coveredintangibles”withinthemeaningofU.S.TreasuryRegulationSection 1.482-7(b)(4)).Section 1.7“DevelopedMarketingIntangibles”meansandincludesanyandalltrademarks,tradenames,designs,servicemarks,applicationsandregistrationsofanyoftheforegoing,packaging,marketingstrategies,customerlists,orothermarketinginformation,thataremadeordevelopedfromtheParties’activitiesunderthisAgreementonoraftertheEffectiveDate.Section 1.8“DevelopedTechnology”meansandincludesanyandallinventions,updates,adaptations,know-how,maskworks,software,technicaldata,tradesecrets,functionalordetaileddesignspecifications,ordesigns,andenhancementsofanyoftheforegoingwhetherpatentableorunpatentable,registeredorunregistered,arisingfromordevelopedasaresultoftheDevelopmentProgramonoraftertheEffectiveDate.DevelopedTechnologyshallnotmeanorincludeDevelopedMarketingIntangibles.DevelopedTechnologyshallbeconsideredMasimoUS’ConfidentialInformationasdefinedinArticle6(ConfidentialInformation).Section 1.9“DevelopmentCosts”ofaPartyshallbetheamountsspecifiedforthatterminArticle2(DevelopmentCosts).Section 1.10“DevelopmentProgram”meanstheactivitiesofeitherPartyunderthisAgreementthatgiverisetoDevelopmentCosts,providedthat,theDevelopmentProgramwillnotincludedevelopmentactivitiesperformedbyoneofthePartiesrelatedtoaprojectinrespecttowhichtheotherPartyoptsnottoactasacostsharingparticipant.IntheeventthataPartydecidesnottoparticipateinsuchaproject,itmustsoindicateitsintentionsbynotifyingtheotherPartypriortothecommencementoftheresearch,developmentormarketingefforts. 2Section 1.11“FiscalQuarterlyCloseDate”meansthelastdayofthefiscalquarterasdeterminedinaccordancewithU.S.generallyacceptedaccountingprinciples(“USGAAP”)asappliedbyMasimoUSforfinancialaccountingpurposes.Section 1.12“FiscalYear”meansMasimoUS’fiscalyearand“FiscalYearEnd”meansthelastdayoftheFiscalYearasdeterminedinaccordancewithUS GAAPasappliedbyMasimoUSforfinancialaccountingpurposes.Section 1.13“MasimoUSIntangibles”meansandincludesanyandallintellectualpropertyorotherintangibleassetsrelatingtoMasimoUSTechnology,andallMasimoUSMarketingIntangibles.Section 1.14“MasimoUSIntellectualPropertyRights”meansallrightsthatariseonoraftertheEffectiveDateandthatMasimoUSownsorhastherighttolicensetoMasimoCayman(bywhatevernameortermknownordesignated),including,withoutlimitation:  (a)rightsassociatedwithworksofauthorshipthroughouttheworld,includingbutnotlimitedtocopyrights,moralrights,andmask-works;  (b)trademarks,servicemarksandtradenamerightsandsimilarrights;  (c)tradesecretrights;  (d)patents,renewals,extensions,reissuesandre-examinationsthereof,designrights,andotherindustrialpropertyrightsthathavethebenefitofafilingdateonoraftertheEffectiveDate;  (e)allregistrations,patentapplications(includingcontinuations,continuations-in-part,anddivisionsthereof)noworhereafterinforce,thathavethebenefitofafilingdateonoraftertheEffectiveDate;  (f)allotherintellectualandindustrialpropertyrights(ofeverykindandnatureandhoweverdesignated),including“rental”rightsandrightstoremuneration,whetherarisingbyoperationoflaw,contract,license,orotherwise;and  (g)anyadditionalapplicableintangiblepropertyasdefinedunderU.S.TreasuryRegulationSection 1.482-4(b)(whetherornotindocumentaryformandwhetherornotpatentable,copyrightableorotherwiseprotectableunderapplicablelaws).Section 1.15“MasimoUSMarketingIntangibles”meansandincludesanyandalltrademarks,tradenames,copyrightedmaterial,designs,servicemarks,applicationsandregistrationsofanyoftheforegoing,packaging,marketingstrategies,customerlists,andothermarketinginformationthatarenon-routineinnature,whichMasimoUSpresentlyownsorhastherighttolicensetoMasimoCaymanbeforetheEffectiveDate.Section 1.16“MasimoUSTechnology”meansandincludesanyandallinventions,updates,adaptations,know-how,maskworks,software,technicaldata,tradesecrets,functional 3ordetaileddesignspecifications,algorithms,designsandenhancementsofanyoftheforegoingwhetherpatentableorunpatentable,registeredorunregistered,thatMasimoUSpresentlyownsorhastherighttolicensetoMasimoCaymanbeforetheEffectiveDate.MasimoUSTechnologyshallnotmeanorincludeMasimoUSMarketingIntangibles.MasimoUSTechnologyshallbeconsideredConfidentialInformation.Section 1.17“NetRevenues”shallmeanthenetrevenuesdeterminedinaccordancewithUS GAAPasappliedbyMasimoUSforfinancialreportingpurposesandshallmeantherevenuesrecognizedbyorfortheaccountofbothPartiesfromthesaleorlicenseoftheProducts,providedthatNetRevenuesshallnotincludeanyofthefollowing:  (a)AnygovernmenttaxesorleviescollectedfromcustomerswithrespecttothesaleoforthelicenserelatingtotheProductsthataretobepaidovertoanyapplicablegovernmentalauthority;or  (b)AnyamountsassociatedwiththeshipmentanddeliveryoftheProducts,including,withoutlimitation,allfreightcharges,freightforwardingfees,customsfeesandinsurancepremiums;or  (c)AnyallocableamountsthatarebilledtocustomersformaintenanceorotherserviceoftheProducts;or  (d)AnyportionofthesalesorthelicenserevenuesoftheProductsthatisrefundedtoacustomer;or  (e)AnyrevenuesreceivedfromanAffiliate.Section 1.18“PriorYearAdjustment”meansanyadjustmenttotheParties’CostSharesforaFiscalYearpriortothecurrentFiscalYear,whichmaybemadeinaccordancewithSection 3.7(ReconciliationofPriorYearCostShares)ofthisAgreement.Section 1.19“Products”meanssensors,monitors,equipment,devices,cables,circuitboards,machines,softwareandothersimilarandrelatedproducts(includingbutnotlimitedtoupgradesandenhancements)thatincorporate,oraremadeinaccordancewithMasimoUSIntellectualPropertyRights,inwholeorinpart.Section 1.20“QuarterlyPayment”meansapaymentbetweenthePartiesasdefinedinSection 4.3(TimingofPayments)ofthisAgreement.Section 1.21“SpecificDevelopment”meanstheDevelopedIntangible(s)whichcan,asbetweenMasimoUSandMasimoCayman,beutilizedbyorisofbenefitsolelytoMasimoUSorsolelytoMasimoCayman,asthecasemaybe.Section 1.22“SpecificDevelopmentCosts”meansthesumofDevelopmentCostsofMasimoUSandMasimoCaymanforaFiscalYear,orpartthereof,incurredwithrespecttoanyparticularSpecificDevelopment. 4Section 1.23“Sublicensee”meansanyAffiliateofMasimoCaymanoranyThirdPartytowhomMasimoCaymansublicensesortransfersanyportionofitsrightsunderthisAgreementtousetheDevelopedIntangibleswithinoneormorecountriesintheTerritoryandwhoagreesinwritingtobeboundbyandcomplywithalloftheterms,conditionsandobligationspertainingto“Sublicensees”underthisAgreement.Section 1.24“Territory”meansallcountriesotherthantheUnitedStates,orasmutuallyagreeduponfromtimetotimeinwritingbytheParties,andshallbedeterminedbytheshippingdestinationofProductstocustomerscontainedinthecustomerinvoices.Section 1.25“ThirdParty”meansandincludesanyindividual,corporation,trust,estate,partnership,jointventure,company,association,league,governmentalbureauoragency,oranyotherentityregardlessofthetypeornature,whichisnotaPartyoranAffiliate.ARTICLE2DEVELOPMENTCOSTSSection 2.1SpecificDevelopmentCosts.AllSpecificDevelopmentCostsshallbeallocatedintheirentiretytothePartytowhomtheparticularSpecificDevelopmentpertains.Section 2.2DevelopmentCosts.DevelopmentCostsofaPartyshallincludethefollowing:  (a)AllcostsincurredbysuchPartyfromactivitiesrelatingtothecreationorimprovementofDevelopedTechnologyforProductsonoraftertheEffectiveDate.  (b)AllcostsincurredbysuchPartyfromactivitiesrelatingtothecreationorimprovementofDevelopedMarketingIntangiblesonoraftertheEffectiveDate.  (c)Stock-basedcompensationgrantedtoemployeeswhosesalariesareincludedinthecostoftheDevelopedIntangibles,onoraftertheEffectiveDate.ThePartiesmay,throughoutthetermofthisAgreement,reviewthisSection 2.2(c)andifitismutuallydeterminedthattheParties,actingatarm’slength,wouldnotincludestock-basedcompensationinsuchcost,thenanyamountofstock-basedcompensationpreviouslyincludedinthecalculationofDevelopmentCostsshallbetreatedasanadvancepaymentagainstfutureDevelopmentCostsatadatetobemutuallydeterminedbytheParties.Section 2.3DeterminationofCosts.ThefollowingprinciplesshallapplyinthedeterminationofDevelopmentCosts:  (a)DevelopmentCostsshallbedeterminedinaccordancewithexpensesrecognizedunderUS GAAPasappliedbyMasimoUSforfinancialreportingpurposes;provided,however,that(i) suchcostsshallnotincludeanydepreciationoramortizationincurredoranyUS GAAPexpenseforstock-basedcompensation,and(ii) suchcostsshallincludeareasonablerentalchargeforeachitemoftangiblepersonalpropertyusedinconnectionwiththeDevelopmentProgram. 5 (b)DevelopmentCostsshallincludedirectcostsoftherelevantactivities,andanallocableshareofadministrativeoroverheadcosts.WhereanyindirectcostsordirectcostsbenefitbothAggregateAllocableDevelopmentCostsandSpecificDevelopmentCosts,anallocationshallbemadeusingmethodsthataremutuallyagreedtobeconsistent,reasonableandinkeepingwithsoundaccountingpractices.  (c)Thestock-basedcompensationportionofDevelopmentCostsshallbecalculatedinamannerconsistentwithU.S.TreasuryRegulationSection1.482-7(d)(2)(iii)(B)andequaltheamountallowableasadeductionforU.S.Federalincometaxpurposes.  (d)IntheeventthataPartyacquiresanyintangiblepropertyrelatingtotheDevelopmentProgramfromaThirdPartybymeansofapurchase,license,merger,acquisition,orsimilartransaction,thatintangibleproperty,oranyportionthereof,maybeaddedtotheDevelopmentProgramandmadeavailabletothecostsharingarrangementonlyuponthePartiesenteringintoadefinitiveagreementtoincludeanyorallofsuchintangiblepropertytotheDevelopmentProgram.Section 2.4DevelopmentCostsBudget.BeforeorduringeachFiscalYear,thePartiesshallagreeonabudgetofDevelopmentCostsexpectedtobeincurredpursuanttotheDevelopmentProgramduringthatFiscalYear.ARTICLE3DEVELOPMENTCOSTALLOCATIONSection 3.1AnnualCSAReport.AssoonaspracticalaftereachFiscalYearEnd,thePartiesshalleachpreparenecessaryfinancialstatementsandforecasts,andshalljointlyreconcileandconsolidatesuchstatementsandforecastsintoan“AnnualCSAReport,”containingtheinformationrequiredbythisArticle3.Section 3.2DeterminationofAggregateAllocableDevelopmentCosts.TheAnnualCSAReportshallindicatethetypesandamountsofDevelopmentCostsincurredbyeachPartyduringtheFiscalYear,comprisingtheAggregateAllocableDevelopmentCosts.SuchAggregateAllocableDevelopmentCostsshallbedeterminedquarterlyandpaidinaccordancewithSections3.4(MeasureofAnticipatedBenefits),4.1(QuarterlyPaymentAmount)and4.3(TimingofPayments)aswellasreconciledannuallyinaccordancewithSections3.6(AmendmentsandCompensatingAdjustments)and3.7(ReconciliationofPriorYearCostShares).Section 3.3FinancialResultsandForecasts.TheAnnualCSAReportshallincludesuchfinancialinformationandforecastsasmaybemutuallyagreedtobenecessarytoobtainthemostreliablemeasureofbenefitsreasonablyanticipatedtobederivedbyeachPartyfromtheDevelopedIntangibles.Section 3.4MeasureofAnticipatedBenefits.ThePartiesagreetosharetheAggregateAllocableDevelopmentCostsunderthetermsspecifiedinthisAgreement.AggregateAllocableDevelopmentCostsoftheDevelopmentProgramshallbebornebyeachPartybaseduponthe 6reasonablyanticipatedbenefitstobederivedbyeachPartyasaresultofexploitationoftheDevelopedIntangiblesderivedfromtheDevelopmentProgram.ThePartieshavedeterminedthatthemostreliablebasisformeasuringreasonablyanticipatedbenefitstobederivedbythemfromDevelopedIntangiblesistheNetRevenuesprojectedtobederivedbythemforthethencurrentandnexttwoFiscalYears.ThePartiesbelievethattheratioofsuchrevenueprojectionscanbeassumedtoberelatedtoincomegeneratedorcostssavedbytheParties.ThePartiesagreetoperiodicallyadjusthowAggregateAllocableDevelopmentCostsaresharedtoappropriatelyreflectanychangesineconomicconditions,theirbusinessoperationsandpractices,andtheongoingresearchanddevelopmenteffortsunderthisAgreement.Section 3.5CostShareandCostSharePercentage.AParty’sCostSharePercentageshallbethatParty’sreasonablyanticipatedbenefitstobederivedfromexploitingtheDevelopedIntangiblesoverthesumofeachParty’sreasonablyanticipatedbenefitstobederivedfromexploitingtheDevelopedIntangibles,asdeterminedunderSection 3.4(MeasureofAnticipatedBenefits)ofthisAgreement(“CostSharePercentage”).AParty’sCostShareforaparticularFiscalYearshallbetheAggregateAllocableDevelopmentCostsforthatFiscalYearmultipliedbythatParty’sCostSharePercentage(“CostShare”).TheAnnualCSAReportshallincludeadeterminationofeachParty’sCostSharePercentageandCostShare.Section 3.6AmendmentsandCompensatingAdjustments.ThePartiesanticipateapplyingandamendingthecalculationsspecifiedinSections3.2(DeterminationofAggregateAllocableDevelopmentCosts)and3.5(CostShareandCostSharePercentage)asfollows:(a)On,oratareasonabletimeafter,thefirstdayoftheFiscalYear,thePartiesshallcalculatethecurrentFiscalYearamountsforeachPartyindividuallyandthetotalfortheParties;(b)QuarterlyPaymentsofAggregateAllocableDevelopmentCostsduringthecurrentFiscalYearasspecifiedinSection 4.1(QuarterlyPaymentAmount)shallbepaidbythePartiesbasedupontheratiocalculatedinSection 3.5(CostShareandCostSharePercentage),utilizingtheNetRevenuesspecifiedinSection 3.6(a)above;(c)UponcompletionofthecurrentFiscalYearandbeforethecompletionofincometaxreturnsforthejustcompletedFiscalYearofeitherParty,thePartiesmayuponmutualwrittenagreementamendtheAnnualCSAReportforthepreviousFiscalYeartoreflectthemostreliablefinancialdataandforecaststhenavailable,andmakeanappropriatecompensatingadjustment.IntheeventoftheapplicationofthisSection 3.6(c),thePartiesshallupdatethecalculationspecifiedinSection 3.6(a)asappliedforthejustcompletedFiscalYear,utilizingactualfinancialresultsfortherespectivePartiesthataredeterminedinaccordancewithUS GAAPasappliedbyMasimoUSforfinancialreportingpurposes;and(d)ThePartiesshallcontinuetoperformthecalculationstepsoutlinedinSections3.6(a)through3.6(c)forsuccessiveFiscalYears. 7Section 3.7ReconciliationofPriorYearCostShares.TheAnnualCSAReportshallincludeareconciliationofallprioryearCostSharecomputationsthatreliedonforecastsofthecurrentandnexttwoFiscalYearfinancialresults.TheprioryearCostSharePercentagesshallberecomputedreplacingpriorforecastswithmostrecentactualdataandforecastsavailableforthecurrentandnexttwoFiscalYear,asspecifiedinSection 3.6(c).Potentialadjustmentsshallbedeterminedforallprioryears,inaccordancewiththecumulativeapplicationofactualfinancialresultsspecifiedinSection 3.6(c),forwhicheitherParty’sinitialCostSharePercentagediffersbymorethantwentypercent(20%) fromtherecomputedpercentageunlesssuchdifferenceisduetoanextraordinaryevent,beyondthecontroloftheParties,thatcouldnotreasonablyhavebeenanticipated.AdjustmentsforprioryearsmayalsobedetermineduponmutualagreementbytheParties.ARTICLE4PAYMENTSSection 4.1QuarterlyPaymentAmount.ThePartiesshallpaythenetamounttoreconciletheirquarterlyDevelopmentCostsincurredwiththeirquarterlyrelativeCostSharePercentageasappliedtotheAggregateAllocableDevelopmentCosts.SuchamountsarespecifiedinSections3.2(DeterminationofAggregateAllocableDevelopmentCosts)and3.5(CostShareandCostSharePercentage),respectively.Section 4.2Year-EndSettlementAmount.ThePartiesshallpaythenetamounttoreconciletheirannualDevelopmentCostsincurredwiththeirannualrelativeCostSharePercentageasappliedtotheAggregateAllocableDevelopmentCosts.SuchamountsarespecifiedinSections3.2(DeterminationofAggregateAllocableDevelopment,Costs)and3.5(CostShareandCostSharePercentage),respectively(the“Year-EndSettlementAmount”).TheYear-EndSettlementAmountshalltakeintoaccountamountsdeterminedunderSections3.6(AmendmentsandCompensatingAdjustments)and3.7(ReconciliationofPriorYearCostShares).Section 4.3TimingofPayments.Withinforty-five(45) daysfollowingtheQuarterlyCloseDateandtheFiscalYearEnd,commencingwiththefirstquarterfollowingtheEffectiveDateofthisAgreement,thePartiesshallpaytheamount(s)dueunderSections4.1(QuarterlyPaymentAmount)and/orSection 4.2(Year-EndSettlementAmount).Whenapplicable,interestbaseduponTreasuryRegulationSection1.482-2(a)shallbeapplied.Section 4.4MannerofPayment.AnettingofanyamountpayableunderthisAgreementasagainstexistingaccountspayableandaccountsreceivable,shallbeacceptablepayment,effectiveasofthedateofthenettingonthebooksoftheParties.Section 4.5RecordsandAudits.  (a)ThePartiesshalleachmaintainwrittenrecordsforatleastsix(6) years,insufficientdetailtopermitreadyverificationofthecomputationofDevelopmentCostsandthe 8 allocationofsuchcosts.SuchrecordsshallbemadeavailabletotheotherPartyoritsdesigneeforsuchinspection,auditandcertificationasmaybereasonablynecessary.If,asaresultofanyauditverificationorcertification,thereisanadjustmentintheamountsandallocationsdeterminedunderthisArticle4,settlementamountsresultingfromsuchadjustmentsplusinterestthereonattheU.S.LIBORrateplusone-halfpercent(0.5%)shallbepaidwithinforty-five(45) daysofthenextQuarterlyCloseDate.  (b)EachPartyshallcomplywiththereportingrequirements,asprescribedunderU.S.TreasuryRegulationSection 1.482-7(j)(3),includingbutnotlimitedtothefollowing:(i)eachPartyrequiredtofileaU.S.incometaxreturnagreestoattachtosuchreturnastatementattestingthatitisaparticipantinaqualifiedcost-sharingarrangement,andlistingtheothercontrolledparticipants;and(ii)eachPartyalsoagreestoattachasimilarstatementtoScheduleMofanyU.S.Form5471orU.S.Form5472filedwithrespecttoaPartywhichisnototherwiserequiredtofileaU.S.incometaxreturn.Section 4.6Currency.UnlessotherwiseagreedbytheParties,allpaymentscontemplatedherebyormadebythePartiesinconnectionherewithshallbemadeinU.S.dollars.IndeterminingDevelopmentCostsormakinganycalculationhereunder,anyamoun
