ignsallorpartofhisinvestment，theotherpartyshallhavethefirstrefusal.Chapter6ResponsibilitiesofEachPartiestotheJointVentureCompanyArticle14PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:ResponsibilitiesofthePartyA:Handlingapplicationsforapproval，registration，businesslicenseandothermattersconcerningtheincorporationofthejointventurecompanyformrelevantcompetentdepartmentinchargeinChina:Processingforapplyingtherighttotheuseofasitetotheauthorityinchargeofland;Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthejointventurecompany;Providingcash，machineryandequipmentandpremisesinaccordancewiththestipulationsinArticle11;AssistingPartyBforprocessingimportCustomsdeclarationforthemachineryandequipmentcontributedbyPartyBasinvestmentandarrangingthetransportationwithintheChineseterritory;Assistingthejointventurecompanyinpurchasingorleasingequipment，materials，rawmaterials，articlesforofficeuse，meansoftransportationandcommunicationfacilities，etc.;Assistingthejointventurecompanyincontactingandsettlingtheaccesstosuchfundamentalfacilitiesaswater，gas，electricity，roads，telecommunication，etc.;Assistingforeignemployeesinapplyingfortheentryvisa，worklicensesandprocessingtheirtravelingmatters;Responsibleforhandlingothermattersentrustedbythejointventurecompany.ResponsibilitiesofthePartyBProvidingcash，machineryandequipment，industrialpropertyinaccordancewiththestipulationsinArticle11，andresponsibleforshippingcapitalgoodssuchasmachinesandequipmentoutsideChina，etc.;Trainingneededtechnicalpersonnelforinstalling，testingandtrialproductionoftheequipment，aswellasthetechnicalpersonnelforproductionandinspection;Trainingthetechnicalpersonnelandworkersofthejointventurecompany;IncasewherePartyBisthelicenser，heshouldberesponsibleforthestableproductionofqualifiedproductsofthejointventurecompanyinaccordancewiththedesignedcapacitywithinthestipulatedperiod;Responsibleforothermattersentrustedbythejointventurecompany.Chapter7TransferofTechnologyArticle15BothpartiesagreethatatechnologytransferagreementshallbeenteredintobetweenthejointventurecompanyandPartyB(orathirdparty)soastoobtainadvancedproductiontechnologyneededforachievingtheproductionandoperationobjectivesandtheproductionscalestipulatedinChapter4ofthecontract，includingproductdesign，technologyofmanufacturing，meansoftesting，materialingredientprescription，standardofqualityandtrainingofpersonnel，etc.Article16PartyBoffersthefollowingguaranteesonthetransferoftechnologyinmanufacturingthedieselenginefortheprospectiveminingdumpers.1.PartyBguaranteesthattheoveralltechnologysuchasthedesign，technologyofmanufacturing，technologicalprocess，testingandinspectionoftheproductsprovidedtothejointventurecompanymustbefull，preciseandreliabletomeettherequirementofthejointventure’soperationobjectivesandbeabletoattainthestandardofproductionqualityandproductioncapacitystipulatedinthecontract;2.PartyBguaranteesthatthetechnologystipulatedinthiscontractandtechnologytransferagreementshallbefullytransferredtothejointventurecompany，andpledgethattheprovidedtechnologyshouldbetrulyadvancedamongthesametypeoftechnologyofPartyB，themodel，specificationsandqualityoftheequipmentareexcellent;3.PartyBshallworkoutadetailedlistoftheprovidedtechnologyandtechnologicalservicesatvariousstagesasstipulatedinthetechnologytransferagreementtobeanappendixtothecontract，andfurthermore，guaranteeitsperformance;4.Thedrawings，technologicalspecificationsandotherdetailedinformationconstitutesanintegralpartofthetransferredtechnology，andshallbeofferedontime;5.Withinthevalidityperiodofthetechnologytransferagreement，PartyBshallprovidethejointventurecompanywiththeimprovementofthetechnologyandtechnologicalmaterialsintime，andshallnotchargeseparatefees;6.PartyBshallguaranteethatthetechnologicalpersonnelandtheworkersinthejointventurecompanymasterallthetechnologytransferredwithintheperiodstipulatedinthetechnologytransferagreement.Article17IncasewherePartyBfailstoprovideequipmentandtechnologyinaccordancewiththestipulationsinthiscontractorinthetechnologytransferagreementorincasewhereanydeceivingorconcealingactionsarediscovered，PartyBshallberesponsibleforcompensatingthedirectlossestothejointventurecompany.Article18Thetechnologytransferfeeshallbepaidinroyalties.Theroyaltyrateshallbe3.5%ofthenetsalesvalueoftheproductstobeturnedout.ThetermforroyaltypaymentisthesameasthetermofthetechnologytransferagreementstipulatedinArticle19ofthiscontract.Article19ThetermofthetechnologytransferagreementbetweenthejointventurecompanyandPartyBiseightyears.Upontheexpirationofthetechnologytransferagreement，thejointventureshallbeinthepositiontouse，researchanddeveloptheimportedtechnologycontinuously.Chapter8SellingofProductsArticle20TheproductsofthejointventurecompanywillbesoldbothontheChinesemarketandoverseasmarkets，theexportpartaccountingfor50%，50%fordomesticmarket.Article21Productsmaybesoldonoverseasmarketsthroughthefollowingchannels;Thejointventurecompanymaydirectlysellitsproductsontheinternationalmarket，whichaccountsfor60%.Thejointventurecompanymaysi
