书内。b)Within30daysafterarrivalofthegoodsatthedestination,theBuyersshallperformapreliminaryinspectioninrespectofthequality,specificationsandquantity/weightofthegoods.AnyqualityIssueshastobeinformedtothesellerwithin7days.(37daysafterarrivalofthegoodsatthedestination)货到目的地口岸后30天内，买方可进行有关品质、规格、性能及数量的检验，如有质量问题应在验收后7日（货到目的地口岸后37天内）通知卖方。c)Ifanydiscrepanciesarefoundregardingspecificationsorthequantityorboth,exceptwheretheresponsibilitiesliewithinsurancecompanyorshippingcompanyand/orthequalityandspecificationsofthegoodsarenotinconformitywiththeguaranteeperiodstipulatedinClause13ofthisContract,includinglatentdefectortheuseifunsuitablematerials,theBuyersshallhaverighttoclaimagainsttheSellersasstipulatedinClause14ofthisContract.如该局发现规格、数量有不符除属保险公司或船公司责任外，及/或货物品质、规格与合同规定不符在本合同第12条规定的品质异议期限内证明货物有缺陷，包括潜在缺陷或用料不当，买方有权按本合同第13条的规定向卖方提出索赔。12.GUARANTEEOFQUALITY︰品质保证TheSellershallguaranteethatthecommodityismadeofthebestmaterials,withfirstclassworkmanship,brandnew,unusedandcompliesinallrespectswiththequality,specificationsandperformanceasstipulatedinthisContract.TheSellershallguaranteethatthegoods,whencorrectlymountedandproperlyoperatedandmaintained,shallgivesatisfactoryperformanceforaperiodof12monthsafterinstallationrespectivelyhandovercertificatehasbeensigned.卖方保证货物用上等的材料、一流的工艺制造而成，全新未经使用，完全符合合同中约定的品质、规格及运行能力。同时保证，货物在正确安装操作保养的前提下，给于验收合格后12个月的品质保证。13.CLAIMS索赔Incasethesellersareliableforthediscrepanciesandaclaimismadebythebuyerswithintheperiodofclaimorqualityguaranteeperiodasstipulatedinthiscontract.AfterTheChineseInspectionBodysupplythesurveyreport,thesellersshallsettletheclaimupontheagreementofthebuyersinthefollowingways:a)AccordingtotheQualityIssues,Buyercanreturnthematerialafterreceivedtheseller’swrittenagreement,incasethematerialhavebasicqualitydefection.Sellerwillreducesomeessentialcostsandreturnthebalancemoneytobuyerafterreceivingtherejectedmaterials.b)Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbythebuyers.c)Replacethedefectivegoodswithnewoneswhichconformtothespecifications,qualityandperformanceasstipulatedinthiscontract.Thesellersshallatthesametime,guaranteethequalityofthereplacementgoodsforafurtherperiodof12monthsasspecifiedinclause13ofthiscontract.如货物不符合本合同规定应由卖方负责,同时买方按照本合同规定在质量异议期内提出索赔,经中国有关检验机构检验确属货物本身质量问题,应按下列方式理赔：甲.如因货物本身的质量问题导致不符买方的目的，并经卖方同意方可退货,并将退货全额、扣除卖方的必要成本后返还买方。乙.按照货物的疵劣程度,损坏的范围和买方所遭受的损失,将货物贬值。丙.调换有瘕疵的货物,换货必需全新并符合本合同规定的规格.质量和性能.卖方仍应按本合同第13条规定,品质保证12个月。14.FORCEMAJEURE:不可抗力TheSellershallnotberesponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellershallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentGovernmentauthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,isstillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethantenweeks,theBuyershallhavetherighttocanceltheContract.在制造、装运过程中，由于人的不可抗力事故所造成的延期交货或无法交货，卖方将不负责任，卖方将在发生后十四天内立即通知买方，同时需要通过航空邮寄，向买方送呈由政府部门签发的事故证明。即使在这种情况下，卖方仍有责任催促机器的装运，如果事故延续10周以上，买方有权取消此合同。15.ARBITRATION仲裁AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledthroughfriendlynegotiations.IncasenosettlementcanbereachedthroughnegotiationsthecaseshouldthenbesubmittedforarbitrationtotheFOREIGNTRADEARBITRATIONCOMMISSIONoftheCHINACOUNILFORTHEPROMOTIONOFINTERNATIONALTRADEBEIJING.inaccordancewiththeprovisionalrulesofprocedureoftheFOREIGHTRADEARBITRATIONCOMMISSIONoftheCHINACOUNCILFORTHEPROMOTIONOFINTERNATIONALTRADE.ThearbitrationshalltakeplaceinBeijingandthedecisionrenderedbythesaidCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekresourcetoalawcourtorotherauthoritiesforrevisingthedecision.Thearbitrationfeeshallbebornebythelosingparty.凡有关执行本合同所发生的一切争执应通过友好协商解决，如协商不能解决，则应申请中国国际贸易促进委员会对外贸易仲裁委员会按照中国国际贸易促进委员会对外贸易仲越委员会规定的仲裁程序，暂行规定在北京进行仲裁（中国法律），该仲裁委员会作出的裁决是最终的，买卖双方均应受其约束，任何一方不得向法院或其它机关申请变更，仲裁费用由败诉一方承担。16.BANKINGCHARGES:银行费用AllthebankingchargesincurredbytheBuyer'sbankshallbebornebytheBuyerwhileallthebankingchargesincurredbySeller'sbankshallbebornebytheSeller.买方及卖方承担各自银行的费用。17.LATEDELIVERYANDPENALTY:迟交与罚款︰Incaseofdelayeddeliveryexceptforforcemajeurecasesanditisduetosellers’reason,thesellersshallpaytothebuyersforeveryweekofdelayapenaltymountingto0.5%oftotalvalueofthegoodswhosedeliveryhasbeendelayed.Anyfractionalpartofaweekistobeconsideredafullweek.Thetotalamountofpenaltyshallnothoweverexceed3%ofthetotalvalueofthegoodsinvolvedinlatedeliveryandistobedeductedfromtheamountduetothesellersbythepayingbankatthetimeofnegotiationorbythebuyersdirectatthesametimeofpayment.Incasetheperiodofdelayexceeds10weeksafterstipulateddeliverydatethebuyershavetherighttoterminatethecontractandsellershallpayapenaltymountingto3%oftotalvalueofthegoods.如由于卖方的原因延迟交货(除人力不可抗拒事故者外)，卖方应付给买方每一星期按合同买方总值的0.5%，不足一星期的迟交日以一星期计算，此项罚款总额不超过合同总值的3
