xx创投导投合伙人协议书XxCatalystVenturePartnerAgreementxx创投有限合伙人协议书，是xx创投（以下简称“公司”）管理团队与导投合伙人（以下简称“合伙人”）之间的投资协议书。合伙人以￥25万元整，投资公司一期投资项目“有领”，“模范”，“Campufix”，“OSVehicle”，“零次方”五个投资项目，并同时投资公司。每一位合伙人以12分之一比例均等获取公司投资项目各本轮稀的项目公司股权。Xxfundlimitedpartneragreementisxxfund(hereinafterreferredtoasthe"company")managementteamandlimitedpartners(hereinafterreferredtoasthe"partners")betweentheinvestmentagreement.Partneruse￥250thousandyuaninvestmentinthecompanyofinvestmentprojects‘有领’,‘模范’,‘Campufix’,‘Osvehicle’and‘ZeroVR’fiveinvestmentprojectsandinvestmentcompany.Eachpartnertoobtainthecompany'sinvestmentprojectsinthecurrentroundofthecompany'sinvestmentprojectsin12equalproportionofthecurrentroundofrareitemcompany.一，投资明细（一）合伙人以￥25万元整，投资公司一期投资项目“有领”，“模范”，“Campufix”，“OSVehicle”，“零次方”五个投资项目，并同时投资公司。每一位合伙人以12分之一比例均等获取公司投资项目各本轮稀的项目公司股权。1，公司只允许使用合伙人投资公司的资金，合伙人投资公司项目，公司不能作为管理费/中介费/劳务费等为理由擅自使用。合伙人投资公司项目的资金，公司需要透明让合伙人清晰知道投资项目资金全部汇入投资项目账户。（二）一期投资项目包括“零次方”，“有领”，“模范”，“Campufix”，“OSVehicle”五个初创项目公司，以及公司一共6个公司投资。（三）合伙人每月须占用4~8个小时，协助处理公司投资项目基础事项。1，公司以微信，电话会议，线下会议，向合伙人汇总投资项目公司和公司进展，并对可能性遇到的问 。2，所有项目的投后管理，交由公司负责执行。Theinvestmentdetails(A)partneruse￥250thousandyuaninvestmentinthecompanyofinvestmentprojects‘有领’,‘模范’,‘Campufix’,‘Osvehicle’and‘ZeroVR’fiveinvestmentprojectsandinvestmentcompany.Eachpartnertoobtainthecompany'sinvestmentprojectsinthecurrentroundofthecompany'sinvestmentprojectsin12equalproportionofthecurrentroundofrareitemcompany.1,thecompanyonlyallowstheuseofpartnerstoinvestinthecompany'sfunds,partnerinvestmentcompanyprojects,thecompanycannotbeusedasamanagementfee/intermediaryfees/laborcosts,etc..Partnerstoinvestintheprojectofthecompany'sfunds,thecompanyneedstobetransparenttoallowthepartnertoclearlyknowtheinvestmentprojectfundsintotheinvestmentaccount.(B)thefirstphaseoftheinvestmentprojects,including'ZeroVR','有领','模范','Campufix','OSVehicle'fivestart-upitemcompany,aswellasatotalof6companiestoinvestinthecompany.(C)thepartnersshalltakeupto4~8hoursamonthtoassistinthehandlingofthebasicitemsofinvestmentprojectsofthecompany.1,companiesuseWeChat,conferencecall,offlineconference,tosummarizetheinvestmentitemcompanyandthecompany'sprogress,andthepossibilityoftheissueoftheexchangeofadvicetoobtainthefeasibilityoftheimplementationoftheprogram.2,Thecompanyisresponsiblefortheexecutionofallprojectpostinvestmentmanagement.二，退出机制公司投资项目，已半年为一周期稀释部分退出，持续两年内完成所有退出获得投资回报。（一）合伙人在项目每一轮稀释下，等比例稀释退出每一轮股份。1，每一合伙人稀释（如交棒给新一轮投资人等）回报，公司不收取任何管理费。（二）合伙人在项目收购/并购下，可以退出所有所持股份。（三）合伙人可以在未达到2年内，由于其他不可控原因提前退出公司股权，公司可以根据3个情况回购合伙人股权。1，合伙人投资项目不超过6个月内需要提前退出，公司以投资项目该阶段估值的50%估值$回购退出的股份。2，合伙人投资项目在超过6个月且不超过12个月内需要提前退出，公司以投资项目该阶段估值的65%估值回购退出的股份。3，合伙人投资项目在超过12个月且不超过18个月内需要提前退出，公司以投资项目该阶段估值的80%估值回购退出的股份。（四）合伙人可以在未达到2年内，由于其他不可控原因提前退出公司股权，投资项目可以根据2个情况回购合伙人股权。1，合伙人投资项目在超过6个月且不超过12个月内需要提前退出，公司以投资项目该阶段估值的70%估值回购退出的股份。2，合伙人投资项目在超过12个月且不超过18个月内需要提前退出，公司以投资项目该阶段估值的85%估值回购退出的股份。（五）投资项目在交棒，退出，收购，并购，以及项目解散，清盘等情况下。合伙人以原投入资金货币以当天汇率为准进行结算。1，当当天结算公司资金池不足够，需要跨境打款的情况下，公司需要一定周期处理跨境打款。跨境打款公司与合伙人会令做出明细通知。ExitmechanismCompanyinvestmentprojects,hassixmonthstoacycleofdilutedpartoftheexit,thelasttwoyearstocompleteallexittogetthereturnoninvestment.(A)thepartnersineachroundofdilutionoftheproject,suchastheproportionofdilutedoutofeachroundofshares.1,Eachpartnerdiluted(suchastogiveanewroundofinvestors,etc.)inreturn,thecompanydoesnotchargeanymanagementfees.(B)thepartnersintheacquisition/acquisitionoftheproject,youcanwithdrawfromallthesharesheldbythe.(C)thepartnerscannotreach2years,duetootherreasonsforthewithdrawalofthecompanycannotbecontrolled,thecompanycanrepurchasesharesinaccordancewiththe3case.1,thepartneroftheprojectisnotmorethan6monthsinadvanceoftheneedtowithdrawfromthecompanytoinvestinthephaseofthevaluationofthevaluationofthe50%valuationoftherepurchaseofshares.2,partnerinvestmentprojectsinmorethan6monthsandnotmorethan12monthsinadvanceoftheneedtowithdrawfromthecompanytoinvest65%ofthevaluationofthevaluationofthephaseoftheprojecttorepurchaseshares.3,partnerinvestmentprojectsinmorethan12monthsandnotmorethan18monthsinadvanceoftheneedtowithdrawfromthecompanytoinvest80%ofthevaluationofthevaluationofthephaseoftheprojecttorepurchaseshares.(D)thepartnerscannotachieve2years,duetootherreasonsforthewithdrawalofthecompanyequity,investmentprojectscanbebasedonthe2caseoftherepurchaseoftheshares.1,partnerinvestmentprojectsinmorethan6monthsandnotmorethan12monthsinadvanceoftheneedtowithdrawfromthecompanytoinvest70%ofthevaluationofthevaluationofthephaseoftheprojecttorepurchaseshares.2,partnerinvestmentprojectsinmorethan12monthsandnotmorethan18monthsinadvanceoftheneedtowithdrawfromthecompanytoinvest85%ofthevaluationofthevaluationofthephaseoftheprojecttorepurchaseshares.（E)investmentprojectsinthedeliveryofrods,withdrawal,acquisitions,mergersandacquisitions,aswellastheprojectdissolution,liquidation,etc..Partnersintheoriginalcapitalcurrencytothedayoftheexchangerateforthesettlement.1,WhentheClearingCorpcapitalpoolisnotenough,theneedtocrosstheborderinthecase,thecompanyneedsacertainperiodoftimetodealwithcross-borderplay.Crossbordertoplayacompanyandapartnerwillmakeadetailednotice.三，违约条款（一）合伙人在签署协议书12日内，需向公司指定银行账户（如公司银行账户或项目银行账户）汇入资金。若超过12日内，资金未到账户，公司有义务提醒合伙人处理打款。（二）xx创投管理团队有责任把合伙人款项，汇入所投公司，并有责任向合伙人汇报资金汇入项目公司的明细时间。（三）当合伙人连续三次收到公司的汇款提醒依旧不履行汇款责任，则视合伙人为违约行为，公司有义务向项目公司告知该情况。同时根据实际事件严重性，公司有权利向合伙人违约事项追讨资金赔偿。Breachofcontractclause(A)whenthepartnerinthesigningoftheagreementwithin12days,thepartnerneedstothecompany'smanagementteamdesignatedbythebankaccount(suchascompany'sbankaccountoraprojectbankaccount)toimportfunds.Ifthefundsarenotwithin12daysoftheaccount,thecompany'smanagementteamhasanobligationtoremindthepartnertodealwithremittances.(B)thecompany'smanagementteamisresponsibleforthecapitalofthepartnersintotheinvestmentcompany,anditisresponsibletoreporttothepartneroftheitemcompanytoreportthedetailsofthetime.(C)whenthepartnerthreetimesinarowtoreceivethecompany'sremittancereminderstilldonotfulfilltheobligation,itisregardedasapartnerforbreachofcontract,thecompanyhastheobligationtoinformtheitemcompanyofthesituation.Atthesametime,accordingtotheseriousnessoftheactualevent,thecompanyhastherighttoclaimcompensationforthedamagesofthepartnersintheeventofdefault.四，杂项条款（一）本协议的任何条款只有经公司和合伙人同意，才可修改或放弃。（二）本协议要求或允许的任何通知，在下列情况下视为已经交付：私人送达，次日快递服务，发送到签名页的电子邮箱或投递邮件已付邮资超过48小时。通知应按签名页地址送达，若有修改，以接收人书面通知为准。（三）任何本协议及所载权利不得未经另一方书面同意而转让；但是本协议及所载权利可未经本公司书面同意，转让给直接或间接控制或与投资人共同控制的实体，包括但不限于，任何合伙人、管理者或投资董事，一个或多个投资人的合伙人或管理者控制的任何风险投资基金；本公司可未经投资人同意转让本协议以变更公司的住所。（四）本协议项下的所有权利和义务均受中华人民共和国相关法律管辖。（五）合伙人有权利联系第三方机构或个人判断该协议书潜在恶劣性漏洞（如资金投资不明细，非公平性投资等）。（六）合伙人以资金投资方式参与公司业务，包括对公司子项目做出投资。MiscellaneousProvisions(A)anyprovisionofthisAgreementmaybemodifiedorabandonedonlybytheconsentofthecompanyandthepartners.(B)anynoticetothisagreementisrequiredorallowed,inanyofthefollowingcircumstancesashavedelivered:privateservice,thenextdaycourierservice,senttothesignaturepageoftheelectronicmailordelivermailpostagepaidmorethan48hours.Thenoticeshallbeaccordingtothesignaturepageaddressservice,ifthereisamodificationtotherecipientwrittennoticeshallprevail.(C)anyofthisAgreementandtherightsshallnot,withoutthewrittenconsentoftheotherpartytransfer;butthisAgreementandtherightscannotbythewrittenconsentofthecompany,thetransfer,directlyorindirectly,tocontrolandinvestorsjointlycontrolledentities,including,butnotlimitedto,anypartner,managerordirectorofinvestment,controloneormoreinvestorpartnerormanagerofanyventurecapitalfund,thecompanymaytransferthisagreementtochangethecompany'sresidencewithoutconsentoftheinvestor.(D)allrightsandobligationsunderthisAgreementshallbegovernedbytherelevantlawsofthepeople'sRepublicofchina.(E)thepartnerhastherighttocontactthethirdpartyorganizationsorindividualstodeterminetheunderlyingvulnerabilityoftheagreement(suchasthecapitalinvestmentisnotdetailed,nonequityinvestment,etc.).(F)partnerstoparticipateinthecompany'sbusinesscapitalinvestment,includinginvestmentinthecompany'ssubprojects.兹证明，协议一式两份，双方各持一份，均具有同等法律效用。Thisistocertifythattheagreementisintwocopies,eachofwhichhasthesamelegaleffect.合伙人/Partnerxx创投/Xx时间/Time时间/Time
