做为付款的发票.QualityInspection：ThisSGScertificateofInspectionshallconfirmthattheproductisCopperCathodeCu99。99%，notlessthan99。96％。TheBuyershallhavetherighttorejecttheconsignmentasnotcomplyingwiththestandardcontractediftheverifiedqualityislessthan99。96.质量检验:每批货物应配有指派的检验员在装运港的签字的鉴定证明书SGS检验证书证明货物为99.99％，或不少于99。96％。若在装运港的检验为铜品位低于99。96%,买方有权按照未按合同标准拒收货物，这种情况下，买方可以终止合同。                                                   8。0SHIPPINGDOCUMENTSThefollowingShippingdocumentswillbeprovidedtoBuyer：1。 CertificateofOriginfromchamberofcommerceofexportcountry2。 DeliveryNotesignedbyBuyeronExWarehouseBasis3. SGSInspectionCertificate4. CommercialInvoice8.0船运单据付款所需的船运单据应由卖方提供，包括以下单据:1、出口国商务部的原产地证书。2、已签署货交至仓库根据文件。3、SGS的检验证书及数量.4、商业发票。9。0OTHERDELIVERYTERMSTheSellershallensurethatallnecessarydocumentsandapplicableregulationsofLocalGovernment，PortsandCustomsAuthoritiesandotherInstitutionsinvolvedarestrictlyadheredtoandcompliedwith.TitleforthegoodswillpassfromSellertoBuyeruponclearanceoffundsfor100％invoicevalueintotheSellersaccountbymeansoftheagreedpaymentinstrument.AnytermsnotcoveredbythisSPACshallbecoveredbyINCOTERMS2000forexwarehouseSales。                                                         9.0 其他运输条款卖方应聘请检验代理，以确保完全符合所有的单据，当地法律规定，港口海关规定及其他规定。经买家结清100％发票货款至卖家账户后，即银行同意的指示则货款所有权将转移至卖家。此合同尚未提到的条款，将按照INCOTERMS2000中对仓库交易条款的解释。10。0TAXESANDDUTIESTheSellerwillensurethatalltaxesanddutiesimposedbytheCountryofPortofOrigin          pertainingtotheexportofCopperCathodePlateshavebeenpaid. 10.0 税、及关税卖家支付所有的关于铜板出口方面的装运港的各项b税与关税，买家支付所有关于铜板进口方面所有到达港的税与关税.11。0  FORCEMAJEUREEithertheSELLERorBUYERheretoshallbeliableorresponsibleforanyfailuretofulfilltheirobligationsandresponsibilitiesunderthisSPAC，iffulfillmenthasbeenpreventedor curtailedbyanycircumstanceswhatsoeverbeyondthereasonablecontrolofSellerandBuyerhereto，asthecasemaybeincludingwithoutprejudice，duetothefollowingfactors:1。      Civilstrike,riotsorwar2.      Strike,lockoutorlabordispute3。      Adverseweatherorperiloftheseaorembargoes4。      DelaysofvesselduetobreakdownprovidedalwaysthatnothingcontainedhereinshallrelievetheBuyerofanyofhisobligationstomakepaymentsduetotheSellerunderthisSPACaccordingtotheprovisionofthePaymentTermsunderthisSPAC oncetheconsignmentisdelivered。IntheeventofcircumstancesofForceMajeurelastingmorethanNinety30days,theBuyerheretoshallhavetherighttocancelthisSPACpartlyorfully.Insuchacase，noneofthePartieshereofshallhavetherighttoanycompensationforpossiblelossesbyeitherparty。ThePartyseekingreliefundertheseprovisionsshalladvisetheotherPartyassoonaspracticalofthecircumstancescausingthefailuretofulfillitsobligationsandshallthereafterprovidesuchinformationasisavailableregardingtheprogressorcessationofthosecircumstances。 TheCertificateissuedbytherespectiveChamberofCommerceinthecountrywhereForceMajeurearisesshallbesufficientproofofsuchcircumstances。                                           11。0  不可抗拒力若出现下列中双方不可控的情况,买卖双方均不承担责任:1、暴乱,战争；2、罢工,停业，劳工起义；3、恶劣天气，导致无法靠泊；4、只要是船货已经发出，但船的破损造成延误，买方也应按照合同付款条例进行付款。若出现不可抗拒力的情况持续了90天，买方有权利部分或全部的撤消合同。这种情况下，双方都无权就自己的损失向对方要求补偿。提出免责的一方应在状况出现时就马上通知另一方，自己无法执行合同，并且提供状况的各方面信息,所在国商务部发出的证书可以作为不可抗拒力的证明。12。0 BREACHOFTHISSPAC/ARBITRATION/JURISDICTIONBothPartiesherebyagreethatexceptfortheprovisionsoftheForceMajeurasdescribedunderclause11above，anybreachofanyoftheprovisionsofthisSPACshallbesettledamicablybetweenbothParties。Uponfailuretoreachanamicablesettlement,bothPartiesherebyagreetosubmittoArbitrationundertheLawsofArbitrationofthecountryofjurisdiction。BothpartiesherebytoabidebytheresultoftheArbitrationProcess.Ifthedisputeisnotresolvedbyarbitrationandnecessitatebringingthedisputeunderthelegalprocess，thejurisdictionshallbethatoftheCourtsofLawinSwitzerland。12。0 违约后的仲裁或起诉双方同意除了不可抗拒力外，若有违约情况,首先双方协商解决，协商失败可以：双方可以向有权限的国家递交申请仲裁，仲裁结果对双方有效力，若仲裁无法解决，则有瑞士法院进行开庭审理.13.0  NON-CIRCUMVENTION/NON—DISCLOSUREBothPartiesherebyagreetokeepthistransactionconfidentialwithinthePartiesinvolvedherein。Nodisclosuretoanyotherperson，institutions,companies，corporationsetc，shallbeentertainedorgivenaccesstoinformationwithoutpriorconsentbyeitherParty。NobodyundertheemployorassignsofeitherPartyhereofshallcircumventeitherPartyintransactingthesamebusinesswithanyofthePrincipalsunderthistransaction，whetherduringorafterthematurityofthisparticulartransaction。ShouldanyofthePartiesinvolvehereinconductortransactthesamebusinesswithanyoftheprincipalshereinwithouttheknowledgeoftheotherParty，thePartyinbreachofthisprovisionshallcompensatetheaggrievedPartyequivalenttothecommissionsascommittedundertheoriginaltransaction。13。0 无欺骗与泄露条款双方同意在交易过程中对此进行保密。无另一方同意不得将交易告之任何一第三方，个人,机构或企业.在交易的过程中交易后，任何一方的雇员或指派人都不应与其他人进行相同的交易.不经过另一方知晓，与其他方进行交易，视为违约，应按照原始交易的佣金对另一方进行补偿。14.0  GENERALPROVISIONSBothPartiesherebyagreethattheEnglishLanguageoralorwrittenshallbethelanguagetobeusedinanycommunicationpertainingtothistransaction.Theaddressesprovidedherein，suchaspostaladdress,officephysicaladdress，fax，telephone,telexandemailaddresses，shallbe                                                    usedinallformsofcommunication。ShouldanyofthePartiesher
