PhoneNo AllbankchargesassessedbytheBuyersbankrelatingtobetheBuyerssoleresponsibilityandSellersbankingchargesaretheSeller’sresponsibility.所有卖方银行费用有卖方负责，买方银行费用由买方负责。ARTICLE-10:PROCEDURE手续(ProcedureforcoppercathodesshipmentagainsttheL/Cbasis).（电解铜货运对L/C的基本手续）BuyersorBuyersrepresentativewillsendtheoriginalLetterofIndent(LOI)onBuyersletterheadwithcompleteBankingdetailsinformationwithsoftprobepermission,thesametheundernotedaretheproceduretoproceedsintheventureas:买方或买方的代理将带有公司名称，银行信息，和SOFTPROBE许可的LOI意向函发出，以先是正常的手续：1)SellersendsthecontractcopytotheBuyerfortheirapproval.卖方给买方合同附件以得以确认。2)BuyersendsthesigneddraftcontractwithhisremarksbacktoSellerforfinalizationofthecontract.UponreceiptofthesignedcontractbytheSeller,theSellerwilldraftthefinalcontractandsendtotheBuyersforfinalsignatureinfoursetofit.TheBuyershouldreturnthesignedcontractbacktoSellerandkeeptwocopieswithhim.买方发回签字过的合同草案，并附更改，以便卖方修改合同正本。在收到签字过的合同草案后，卖方将起草最后的合同正本。让后送四份于买方签字。买方将送回两份签过字的合同给卖方，自己保留两份。3)Afterreceiptofthesignedcontract,SellershouldprovidetheformatofL/CtotheBuyer.TheBuyershalltakethewrittenapprovalfromtheSellerforfinalL/CDraft.在收到最后的合同正本后，卖方应提供L/C的格式给买方。买方将拿到卖方的最后的L/C的书面确认4)AfterissueoftheL/CBuyerJUNvisitforinspectionofthematerial,otherwiseSellerwillcompletethefirstshipmentonCIFbasiswithin45daysafterreceiptoftheconfirmedL/C-Firstshipment.在开启L/C后，买方可亲自到港验货，不然，卖方将按合同的规定在确认L/C后的45天之内按CIF价完成该运单。5)SGSCERTIFICATIONWILLBEDONEATSELLERCOSTATTHELOADINGPORTANDITFINALFORPAYMENTAGAINSTL.C装载港SGS证书的费用由卖方付，它将是开L/C的最后文件。ARTICLE11:DUTIESANDLEVIES税务Allimportdutieslevies,anddutiesoncargointhecountryofimportshallbetotheBuyersaccountinfullunlessotherwisespecifiedelsewhereinthisagreement.所有在进口国的税务由买方支付，除非在合约中提到。ARTICLE12:INSURANCE保险TobecoveredbySELLERbeforeloadedonboardinthevesselsfor110%oftheinvoicevalue.卖方支付110%收据价值的保险在装船前。ARTICLE13:FORCEMAJURE不可抗力ThisContractshallbesubjecttoForceMajuro.Shouldanyofthecircumstancescontinuemorethan7(seven)days,namely:governmentrestrictions,naturalcalamities,fire,actofelements,warhostilities(regardlesswaswardeclaredornot),invasion,militaryoperationsofanynature,rebellion,revolution,insurrection,civilwar,riots,strikes,lockoutsorbreakdowns,blockagearisingoutofnaturalcalamity,whichpreventtheBuyer/Sellerfromwhollyorpartiallycarryingoutthecontract,thenthecontractshallbeextendedbymutualagreementforaslongasthesecircumstancesprevail.However,eachofthepartiestothisagreementshallhavetherighttoterminatethisagreementincaseofgovernmentalembargoonexport/importofmetalgoods.AboutsuchadecisiontheotherPartyshallbeinformedimmediatelyshouldForceMajurocircumstancesoccur.这份合同应在不可抗力的范围内。如以下情况持续7天以上：政府约束，自然灾害，火，自然作用，战争（不正式和正式），侵略，军事行动，叛乱，革命，暴动，内战，骚乱，罢工，停工，故障，自然灾害照成的路障。造成买卖方不能全部履行，或只能部份履行合同义务。合同期限应在双方同意的情况下延期，直到上述期况结束。但是，买卖双方有权终止合同，如果政府有对金属禁运。这种决定必须在不可抗力情况发生时立即通知对方。Providedtheforce-majorcircumstancescontinuemorethan2(two)months,eachPartyhavetherighttowithdrawfromfulfillmentitscontractualobligationsandshallimmediatelyinformtheotherPartyofthecircumstancespreventingtheperformingofthiscontract.AcertificateissuedbytherespectiveChambersofCommerceoftheSeller’s,manufacturersortheBuyer’scountryshallbesufficientproofoftheexistenceanddurationofsuchcircumstances.PartiesshallnotberesponsibleindamagesorotherwiseforanyfailureofperformanceoftheagreementotherthanthepaymentofmoneyifsuchfailureresultsfromForceMajuro.如果不可抗力持续过两个月，任何一方都有权力退出合同义务，并立即通告对方原因。由卖方的，厂家的，或买方的经贸部门起草的证明就可以证明不可抗力的存在。除了付款外，如果原因是不可抗力，各方对货物的损坏，或其它无法执行义务的行为不付任何责任，ARTICLE14:TITLERISK产权风险ShippingCompanytowardsthematerialcoppercathodesAllriskofloss,damageordestructionwithrespecttothecathodesdeliveredshallpassfromtheBuyertotheSelleratthetimeofreceiptofthecathodesatthedischargeportasdulycertifiedbySGSorequivalentInternationallyApprovedInspectionAgency.在经SGS或同级的国际检验机构在卸货港证实后，船运公司对在运输中电解铜的丢失，损毁等应由买方传给卖方。ThecompletecustomdocumentmustbesenttotheBuyersevendaysbeforethegoodsarrivalatthedestinationport,sothebuyercanreceiveandtestthegoodsintime.卖方必须保证买方能在货物到目地港前七天收到整套有效报关单据，以保证买方及时收货及报检。ARTICLE15:AMENDMENTSINTHECONTRACT合同附加Thecontractingpartiesshallmakeinwritingandsubjecttoconfirmationandacceptanceinwritinganyamendmentormodificationofthecontract.签署合同方应以书面形式附加，修改合同，并必须得到接收和认可。ARTICLE16:NOTICE通知Noticeorcommunicationsreferredtointhiscontractshallbeinwriting.Itshallbesendbyregisteredairmailand/orbytelex,cable,totheaddressstatedinthisagreement.任何合同中的通知和交流都必须以书面形式，由挂号信，或传真，电报的形式送到合同中写的地址。ARTICLE17:EXECUTIONOFTHECONTRACT合同履行EachofthepartiestothiscontractrepresentsthatithasfulllegalauthoritytoexecutethiscontactandthateachPartyistobeboundbythetermsandconditionsassetforthherein.EachPartyagreesthatcontractJUNbeexecutedsimultaneouslybyandbetweenthepartiesviafax,witheachofwhichshallbedeemedasoriginalnature.Thiscontrac
