精选资料 MUTUAL NON-DISCLOSURE AGREEMENT 客户保密协议 This Mutual Non-Disclosure Agreement (the “Agreement”) is made and entered into as of [ ], [ ] (the “Effective Date”) by and between [ ]（PURCHASER）, as one Party to this Agreement, and [ ]（VENDOR）, as the other Party to this Agreement . The aforementioned parties shall be referred to throughout this Agreement individually as a “Party” or collectively as the “Parties.” [ 公司]（买方）及[ 公司]（卖方）于[ ], [ ]（“生效日”）签订本保密协议（“协议”）。在本协议中，上述协议各方将单称为“一方”或统称为“各方”。 1. Purpose. The Parties wish to explore a business opportunity of mutual interest (the “Opportunity”) and in connection with the Opportunity; each Party may disclose to the other Party certain confidential technical and business information which the disclosing Party desires to treat as confidential. 协议目的：协议各方希望寻求可以达到互利目的的商业机会（“商机”）。在与商机有关的业务活动中，一方可能向另一方披露某些秘密的技术信息和经营信息，披露方需要信息接受方对这些信息保密。 2.“Confidential Information” means any information disclosed by either Party to the other Party, either directly or indirectly in writing, orally, or by inspection of tangible objects (including business plans, customer data, designs, documents, drawings, engineering information, financial analysis, hardware configuration information, inventions, market information, marketing plans, processes, products, product plans, research, services, specifications, software, source code or trade secrets, and other technical and market related information). Confidential Information may also include information disclosed to a disclosing Party by a third party. Confidential Information shall not, however, include any information which (i) was publicly known and made generally available in the public domain prior to the time of disclosure by the disclosing Party; (ii) becomes publicly known and made generally available after disclosure by the disclosing Party to the receiving Party through no action or inaction of the receiving Party; (iii) is already in the possession of the receiving Party at the time of disclosure by the disclosing Party as shown by the receiving Party's files and records immediately prior to the time of disclosure; (iv) is obtained by the receiving Party from a third party without a breach of such third party's obligations of confidentiality; (v) is independently developed by the receiving Party without use of or reference to the disclosing Party's Confidential Information, as shown by documents and other competent evidence in the receiving Party's possession; or (vi) is required by law to be disclosed by the receiving Party, provided that the receiving Party shall give the disclosing Party written notice of such requirement prior to disclosing so that the disclosing Party may seek a protective order or other appropriate relief. “保密信息”指一方向另一方直接或间接，口头、书面或以其他有形载体披露的信息（包括经营 计划 项目进度计划表范例计划下载计划下载计划下载课程教学计划下载 、客户数据、设计 方案 气瓶 现场处置方案 .pdf气瓶 现场处置方案 .doc见习基地管理方案.doc关于群访事件的化解方案建筑工地扬尘治理专项方案下载 、文件、图纸、工程信息、财务分析、硬件结构信息、发明、市场信息、营销计划、工艺流程、产品信息、产品计划、研究信息、服务信息、规格、软件、初始密码或商业秘密，以及其它与技术和市场相关的信息）。保密信息可以包括由第三方披露给披露方的信息。然而，保密信息不应包括（1）在披露方披露之前已被公众所知晓，在公开场所可正常获得的信息；（2）在披露方披露之后因非接收方的作为或不作为之因素导致被公众所知晓，在公开场所可正常获得的信息；（3）在披露方披露该信息时在接收方的档案资料和记录中显示接收方已经拥有的信息；（4）接收方从第三方（前提：该第三方未违反保密义务）获得的信息；（5）接收方的文件和其他有效证据显示是其在未使用或参照披露方信息的情况下独立开发、研制的信息；或（6）法律要求接收方泄露的信息，但在泄露之前，接收方应当书面 通知 关于发布提成方案的通知关于xx通知关于成立公司筹建组的通知关于红头文件的使用公开通知关于计发全勤奖的通知 原披露方，以便原披露方可申请保护指令或获得其他适当的救济措施。 3. Non-Disclosure and Non-Use. Each Party agrees not to disclose any Confidential Information or the fact that discussions or negotiations are taking place between the Parties to third parties, its employees, customers, suppliers or associated entities, except to those employees, customers, suppliers or associated companies of the receiving Party who are confirmed in writing in advance by the Parties to be required to have the information in order to evaluate or engage in discussions concerning the Opportunity. Each Party agrees that it will not, without the prior written consent of the other Party, disclose (unless required by law) to any other person the fact that the Confidential Information has been disclosed under this Agreement or any of the terms, conditions, status or other facts with respect thereto. Each Party agrees not to use any Confidential Information for any purpose except to evaluate and engage in discussions concerning the Opportunity. Neither Party shall reverse engineer, disassemble or decompile any prototypes, software or other tangible objects which embody the other Party’s Confidential Information and which are provided to the Party hereunder unless consent for such actions is received by the Party that owns the object. Neither Party shall make any copies of the other Party’s Confidential Information unless the same are previously approved in writing by the disclosing Party. Each Party shall reproduce the other Party’s proprietary rights notices on any such approved copies, in the same manner in which such notices were set forth in or on the original. 禁止泄露与禁止使用：各方同意任何一方将不会将保密信息或各方正在进行协商或谈判的事实泄露给第三方、自己一方员工、客户、供应商或关联单位，接收方的那些需要就商机进行评估或洽谈的员工、客户、供应商或关联单位在双方事先书面确认需要知悉该信息时除外。各方同意，在未事先征得对方书面同意的情况下（法律要求的除外），将不向任何其他人泄露保密信息已经根据本协议被披露的事实或相关协议条款、条件、交易状况或其他事实。各方同意，除了出于对商机进行评估与洽谈的目的之外，不将任何保密信息用于其他任何目的。任何一方均不应将对方依据本协议提供的含有对方保密信息的样品、软件或其他有形载体进行技术工程反推、拆散、编辑分解，拥有该物所有权的一方同意的除外。任何一方均不应将其他协议方的保密信息进行拷贝备份，信息披露方事先书面同意的除外。对经信息披露方同意拷贝的备份，拷贝方应当将对方的专有权通知以与该通知在原件中发出的相同样式复制在经拷贝的该备份上。 4. Maintenance of Confidentiality. Each Party agrees that it shall take all reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information. Without limiting the foregoing, each Party shall take at least those measures that such Party takes to protect its own most highly confidential information and shall have its employees, if any, who have access to the other Party’s Confidential Information sign a non-use and non-disclosure agreement in content substantially similar to the provisions hereof, prior to any disclosure of the other Party’s Confidential Information to such employees. Each Party shall promptly notify the other Party in writing of any misuse or misappropriation of any Confidential Information which may come to a Party’s attention. 保密信息的保护措施： 各方同意，任何一方将采取所有合理措施维护保密信息的保密性，防止泄露或未经授权使用保密信息。在不限制上述条款的前提下，任何一方均应至少采取那些用来保护自有最机密信息的措施，并在向其员工披露其他协议方的保密信息之前(若有)，与员工签订内容与本协议实质性内容相似的禁止使用与禁止泄露协议，该要求不构成对本条前述要求的限制。在任何一方发现任何保密信息被滥用或被盗用时，应当立即书面通知另一方。 5. No Obligation. Nothing herein shall obligate either Party to proceed with any transaction between the Parties, and each Party reserves the right, in its sole discretion, to terminate the discussions contemplated by this Agreement concerning the Opportunity. 无强制性义务条款： 本协议中的任何内容均不能迫使任何一方承担继续进行协议各方之间交易的义务，每一方均保留自行决定终止与本协议所述的商机有关的洽谈。 6. Ownership and No License. All Confidential Information shall remain the sole property of the disclosing Party. Nothing in this Agreement is intended to grant any rights to either Party under any patent, copyright, trademark or other intellectual property right of the other Party, nor shall this Agreement grant either Party any rights in or to the other Party’s Confidential Information except as expressly set forth herein. 所有权与非许可条款：所有保密信息将仅属于披露方所有。本协议中的任何内容均不构成一方赋予另一方以专利权、著作权、商标权或其他知识产权，不构成一方赋予另一方对其保密信息享有任何权利，本协议中另有明确约定的除外。 7. No warranty. All Confidential Information is provided “as is.” Neither Party makes any warranties, express, implied or otherwise, regarding the accuracy, completeness or performance of the Confidential Information, and each party expressly disclaims any warranty of merchantability or fitness for a particular purpose. 无保证条款： 所有保密信息按照现有状况提供。任何一方均未以明示、暗示或其他方式保证保密信息的准确性、完整性或保证其具有某种功能，各方明确表示，任何一方均不对保密信息的适销性或具有某种用途的适用性提供任何保证。 8. Return of Materials. All documents and other tangible objects containing or representing the disclosing Party’s Confidential Information and all copies there of which are in the possession of the receiving Party shall be promptly returned to the disclosing Party upon the disclosing Party’s request. 资料返还： 一旦信息披露方要求，信息接收方应当立即将其所持有的载有披露方保密信息的所有文件或有形载体及其所有备份及时返还给信息披露方。 9. Remedies. Each Party agrees that its obligations here​under are necessary and reasonable in order to protect the other Party and the other Party’s business, and expressly agrees that monetary damages would be inadequate to compensate the other Party for any breach by either Party of any covenants and agreements set forth herein. Accordingly, each Party agrees and acknowledges that any such violation or threatened violation will cause irreparable injury to the other Party and that, in addition to any other remedies that may be available, in law, or otherwise, the other Party shall be entitled to obtain injunctive relief against the threatened breach of this Agreement or the continuation of any such breach, without the necessity of proving actual damages. 救济： 各方认可，为了保护一方及其业务，本协议项下的另一方的义务是必需的、合理的。各方明确同意，经济赔偿不足以补偿任何一方违反本协议承诺和约定而对另一方造成的损失。因此，各方同意并认可，一方的任何违约行为或可能违约的情形将给对方造成不可弥补的损失，除依据法律可以获得的补救外，受损方还有权针对可能违约的情形、违约状态的持续获得强制性禁止令，并无需证明其实际所遭受的损失。 10. Term. This Agreement shall be effective as of the Effective Date and shall remain in effect until either (i) no Confidential Information has been exchanged between the Parties for a period of five (5) years, or (ii) the Parties agree in writing to terminate it. Upon expiration or termination of this Agreement, all rights and obligations hereunder shall cease. 期限： 本协议自生效日起生效，直至下列某一事项发生时终止：（1）各方在五年内未交换任何保密信息；或（2）各方协商一致书面同意终止本协议。本协议一旦到期或终止，本协议项下的所有权利和义务均终结。 11. Miscellaneous. This Agreement may not be assigned by either Party without the prior written consent of the other Party. This Agreement shall bind and inure to the benefit of the Parties and their successors and assigns. This Agreement shall be governed by the laws and regulations of the People’s Republic of China. This document contains the entire agreement between the Parties with respect to the subject matter hereof and supersedes any and all prior agreements or understandings relating to the same subject matter. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision hereof. This Agreement may not be amended, nor any obligation waived, except by a writing signed by both Parties. In the event any term of this Agreement is found by any court to be void or otherwise unenforceable, the remainder of this Agreement shall remain valid and enforceable as though such term were absent upon the date of its execution. If any dispute arising from the forming or performance of this agreement and cannot be settled through consultation, either Party may choose [ （ ） ] to settle the dispute: (1) Applying to the Shanghai International Economic and Trade Arbitration Commission for binding and final settlement. (2) Filing a lawsuit, such lawsuit shall be under the jurisdiction of the people's court of the place of Vendor’s domicile. This Agreement is made in both Chinese and English. Both versions shall have the same effect.
