。PartyAisdesirousofpromotionofcity’sfameandpopularitythroughinternationalmarthonandplayagoodpublicityroleinpropaganda,soenterintothisstrategiccooperationagreementwithpartyB. 2. 乙方是旨在为跑者提供跑步运动服务、赛事组织、赛事运营服务等一系列增值服务的公司，而且乙方在运营马拉松赛事方面具有丰富的成功经验。PartyBisaprofessionalcompanywhichaimstoproviderunnerswithaseriesofvalue-addedserviceincluding,interalia,runningsportsservices,theorganization/operationofcompetitions,withrichsuccessfulexperienceinmarathonoperation. 为此，在遵循自愿、公平的原则基础上，经友好协商，甲乙双方根据《中华人民共和国 ，就共同举办以甲方为承办单位、乙方为赛事运营与推广方的马拉松事宜，达成合作协议，共同遵照执行。NOWTHEREFORE,partieshereto,onthebasisoftheprincipleofvoluntarinessandfairness,throughamicablenegotiation,inaccordancewiththeContractLawofthePeople'sRepublicofChinaandtheSportsLawofthepeople'sRepublicofChina,havereachedacooperationagreementonjointlyorganizingthemarathoninwhichpartyAasthehostandpartyBastheoperatorandpromoter.Itisherebyagreedasfollowsforabideby: 一、赛事概况 GeneralView1．赛事项目：男女全程马拉松、半程马拉松、一万米跑、五千米跑和健身跑。RaceItems:Male/female’smarathon,Halfmarathon,10,000meters,5,000metersand fitness run. 2．举办地和规模：HostPlaceandPlayersNumber3．赛事名称及赞助冠名：    国际马拉松赛。具体的比赛名称和赞助冠名可以由甲方与乙方协商一致后另行确定。RaceNameandSponsorshipTitle:     InternationalMarathon.Specificcompetionname/sponsorshiptitlemaybedeterminedthroughconsensusofconsultationbetweenpartieshereto. 4．主办单位：    ；承办单位：    ；赛事运营与推广：    Organizer:     ; Host:     ; Operation/Promotion:     5．竞赛办法：按照中国田径协会审定的最新田径竞赛规则和本届马拉松赛竞赛规程执行。Competitionmethods:asperthelatestTrack/FieldRulesapprovedbyChinaAthleticsAssociationandthisyear’smarathoncompetitionrules. 6. 比赛举办时间：    。本届赛事完成之后的其他场次的比赛举办时间（每年至少一届），由甲方与乙方协商一致后再行确定。CompetionTime:     .Theholdingtimeforothermarathonmatchessubsequenttothiscompetition,atleastonceayear,willbedeterminedbyconsensusagreementbewteenpartyAandpartyB. 7. 参赛规模： 全程马拉松项目7,000人，半程马拉松项目8,000人，健身跑项目5,000人，共计20,000人。Participationscale:marathon7,000people,halfmarathon8,000people,fitnessruning5,000people,total20,000people. 二、合作方式 CooperationMeans1. 甲方作为赛事承办方，为赛事提供所必需的政府公共资源，并委托乙方负责该赛事及相关系列活动的运营和推广工作。PartyA,asthehostofmarathon,shallprovidethenecessarygovernmentpublicresourcesforthecompetition,andentrustpartyBwiththeresponsibilityfortheoperationandpromotionofthecompetitionandrelatedactivities. 2. 乙方负责赛事运营和推广工作并承担如下费用（赛事执行、赛事物料、赛事设备、赛事公关、赛事前中后期宣传推广、工作人员差旅费、嘉宾邀请的费用等）。PartyBshallberesponsiblefortheoperationandpromotionofthecompetitionandshallundertakethefollowingcostsandexpenses(theexecution,material/equipment,publicrelations,propagandaofpre-andpost-competion,stafftravelfees,guestinvitationexpense,etc.) 三、收益分配、账户管理和审计 ProceedsDistribution,BankAcountandAutit1. 赛事营运和广告推广过程中所获得的收益，甲方分配     %；乙方分配     %，税收各自缴纳。赛事相关名称、标识、音像资料等知识产权归双方共同所有。TheproceedsfromtheoperationandadvertisingpromotionwillbedistributedasthatpartyA’sdistributionis     %;partyB’sdistributionis     %andtaxesarepaidseparatelybyeachparty.Theintellectualpropertyrightsoftitle,logo,audio/videodataandotherwithrespecttothismarathonwillbejointlyownedbypartieshereto.   2. 本届赛事设立专门银行账户，由甲乙双方共同监管。乙方投入资金、赞助广告收入和选手报名费均应进入专门账户。赛事结束所有收入和开支进行必要的审计。Aspecialbankaccountshallbeestablishedforthismarathoncompetitionwhichbesupervisedjointlybypartieshereto.ThefundsinvestedbypartyB,revenuesfromsponsoradvertismentandplayer’senterfeeandotherincomeshallinterintothebankaccount.Theauditsofallrevenueandexpenseswillbenecessaryattheendofcompetition. 3. 乙方在该赛事相关商业收入与甲方进行分配时，甲方有权派出相关财务人员对赛事收益进行审计。PartyAisreservetherightofconductingauditontheproceedsofcompetitionbyitsfinancialpersonnelatthetimeofdistributionofcommercialrevenuewithrespecttothiscompetitionbetweenpartyAandpartyB. 四、甲方的权利和义务 PartyA’sRightsandLiabilities1．负责赛事相关报批、备案等赛事审批工作，并在获得中国田径协会有关举办赛事的批准函后10日内向乙方提供副本。Beingliableforsubmissionofapproval,filekeepingandotherissuesconcernedthemarathon,andshall,within10days subseqentto acquirementof APPROVAL fromChinaAthleticsAssociation,providepartyBwithacopyofAPPROVAL. 2．负责赛事组织委员会相关职能部门的筹备工作，包括实施比赛日程 计划 项目进度计划表范例计划下载计划下载计划下载课程教学计划下载 及相关工作人员的安排。BeingresponsibleforthepreparationofthetelevantfunctionaldepartmentsoftheOrganizingCommittee,includingtheimplementationofthecompetitionscheduleandrelatedstaffarrangements. 3．负责赛事期间的安全保卫、交通管制、秩序维护、应急处理、卫生监督、医疗救护、消防安监等赛事保障工作。Intheperiodofcompetition,beliablefortheworksofsafetyandsecurity,trafficcontrol,ordermaintenance,emergencyhandling,healthsupervision,medicalrescue,firefightingandsoon. 4. 邀请政府有关领导参加开幕式、颁奖仪式等活动，安排甲方邀请的嘉宾及相关工作人员在赛事期间的住宿、交通等。甲方为乙方邀请和接待的国外运动员、媒体记者等提供各种必要的协助和协调，包括办理出入境手续等。Invitationandreceptionofrelevantgovernmentleadersandofficialsofinternationalorganizationstoattendtheopeningceremony,awardceremonyandotheractivities,inaddtiontoarrangetheaccommodation/trafficandnecessaryservicesfortheguestsand  stafftherewithinvitedbypartyAintheperiodofcompetition.PartyAprovidesthenecessaryassistanceandcoordinationofpartyB’sinvitationandreceptionofforeignplayersandmediareporters,include,interalia,handlingexitgandentryformalities,etc. 5.PartyAshallenjoytherightofincomedistributionofinternationalmarathon.  甲方享有国际马拉松赛事收益的分配权。 五、乙方的权利和义务 PartyB’sRightsandLiabilities1．合约期内，乙方负责赛事市场开发，每年投资不少于    元（包括筹集赛事运营和推广工作所需资金和赞助）。PartyBshall,intheperiodofcontract,beliableformarketdevelopmentwithannualinvestmentnotlessthan    YuanRMB,includingthenecessaryfundsfortheoperation/promotionofthecompetitionandsponsorship. 2．乙方在马拉松赛事举办和运营过程中，应对   城市的经济发展做出贡献，包括招商引资、促进旅游、餐饮住宿、商品采购和城市知名度的提高等活动。PartyBshall,intheprocessofholdingandoperationofmarathon,makeacontributiontotheeconomicdevelopmentof     city,includeinteralia,attractinginvestment,promotingtourists,cateringandaccommodation,commodityprocurementandraisingcitypopularity. 3. 负责编制及实施本赛事策划 方案 气瓶 现场处置方案 .pdf气瓶 现场处置方案 .doc见习基地管理方案.doc关于群访事件的化解方案建筑工地扬尘治理专项方案下载 、预算方案等，包括市场开发方案、招商方案、活动方案、媒体整合方案等工作。有关马拉松赛事的宣传推广、广告赞助、比赛现场装饰搭建等事宜，经甲方书面同意后，乙方可以委托给第三方公司代为实施。Beingliableforthepreparationandimplementationoftheschedulesofplansandbudget,etc.includinginteralia,suchschedulesofmarketdevelopment,attractingmerchant/investment,activities,mediaintegrationandother.PartyBmay,withthewrittenconsentofpartyA,entrustthethirdpartytomaketheimplementationofthepropagandapromotion,advertisingsponsorship,competitionon-sidedecorationconstructionandotherworks. 4. 负责竞赛组织方案策划、编制及实施工作，包括：Responsiblefortheorganizationplanning,preparationandimplementationofcompetition,including: （1）赛事运营和报名系统的软件和网站开发、使用及各项流程数据的统计工作；Thedevelopmentandusageofthesoftwareandwibesiteforcompetionoperation/registrationsysteminadditiontothedatastatisticsinwholeprecedures. （2）赛事运营和宣传广告用品的采购、现场装饰搭建布展；制作、发放、销售奖牌，奖杯，证书，纪念品，赛事包，参赛服等。Theprocurementofmaterialsfortheoperationandpropagada/advertisment,on-sitedecorationofexhibition;Make,issueandsellmedals,trophies,certificates,souvenirs,player’sbag,athletescostumesandother.  （3）比赛期间车辆安排和摆渡车线路的规划、起终点功能区规划、赛时流程安排；志愿者岗位职责的计划、赛前培训及管理组织志愿者。Thearrangementofvehicleandplanningofferryrouteintheperiodofrace;planningoffunctionzonesofstart/finish;arrangementofracetimeschedule;planningofvolunteer’spostliabilities;pre-racetrainingandmanagementofvolunteers.   5. 乙方享有国际马拉松赛事共    年的全部运营权、商业开发权和收益分配权。PartyBshallenjoythefullrightsofoperation,commercialdevelopmentandincomedistributionoftheinternationalmarathonforatotalof     years. 六、保密 Confidentiality合同有效期内，双方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经一方的书面同意，另一方不得泄露给任何第三方。Withinthevalidityperiodofcontract,partiesheretoshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty. 七、报批 SubmissionforApproval 关于履行本合同所需办理相关管理机构的报批、报备手续，各方应按照本协议约定的工作分工各自负责相关报批、报备程序中的具体工作。如果由乙方作为申报主体的报批、报备手续，甲方应当在行政职权范围内给予必要协助。Withregardtotheapprovalandfilingproceduresoftherelevantadministrativeauthotitieswhichrequiredfortheperformancehereof,eachpartyheretoshall,aspertheagreementherein,beresponsibleforcompletionofitsspecificworkwithrespecttotheapprovalandfilingprocedures.ProvidedthatpartyBwillbeaprinciplepartofapplicationforapprovalandfilingprocedures,partyAshallrendernecessaryassistancewithinscopeofitsadministrativeauthority. 八、违约责任 ResponsibilitiesforBreach甲方承诺在合作期限内本协议项下所涉及赛事项目仅与乙方独家合作；乙方承诺将按照协议约定的目标和规模运营该赛事。如果甲方违约，应向乙方支付违约金    美元；如果乙方违约应向甲方支付违约金     元。PartyAundertakes,intheperiodofcooperation,tocooperateexclusivewithpartyBonthecompetitionprojectwhichisconcernedherewith;andpartyBundertakestooperatethiscompetionaspertheobjectivesandscaleagreeduponherein.WherepartyAbreachthecontract,shallpaypartyBapenalty     inUSdollars;andpartyBbreachthecontract,shallpaypartyAapenaltyof     inUSdollars. 九、适用法律及争议解决 ApplicableLawandSettlementofDispute1．本协议的签订、效力、解释及执行，均适用中华人民共和国的法律。Thesignature,validity,interpretationandexecutionhereofshallbegovernedbythelawsofthepeople'sRepublicofChina. 2．甲乙双方应严格遵守本协议的规定，并履行各自的义务。如果因履行本协议而产生的任何争议，双方应当友好协商解决；如协商不成或任何一方不愿协商的，任何一方均可向被告所在地的具有管辖权的法院提起民事诉讼。Partiesheretoshallstrictlyabidebytheprovisionshereofandfulfilltheirrespectiveobligations.Providedthatanydisputewhichariseoutoforinconsequenceofperformancehereof,partiesheretoshouldmakesettlementthroughamicablenegotiation;wherenoreasultbynegotiationoranypartyisunwillingtodoso,eitherpartymaylodgeacivillitigationtothecompetantcourtatlocalofdefendent. 十、其他约定 Misscellaneous1. 本协议自签字盖章之日起生效。本协议一式三份，具有同等法律效力。甲方、乙方各执一份，报中国田径协会一份存档。未尽事宜，可另行协商并签订补充协议。ThisAgreementshallenterintoforceonthedateofsignatureandsealbypartieshereto.Thisagreementismadeintriplicatebeingequallyvalidandauthentic.EachpartyholdonecopehereofandsubmitonecopytoChinaAthleticsAssociationforfiling.Anyoutstandingmattersmaybenegotiatedseparatelyonwhichthesupplementaryagreementsmaybesigned. 2. 本协议附件：AttachmentHereof《国际马拉松赛组织委员会工作日程表》SCHEDULEOFWORKOFTHEINTERNATIONALMARATHON ORGANIZINGCOMMITTEE《参赛报名须知》GUIDELINESFORPLAYER’SENTRY《运动员参赛手册》ATHLETE'SCOMPETITIONMANUAL 甲方：PartyA                                乙方：PartyB 代表签字：ByRepresentative       代表签字：ByRepresentative
