ThisAgreement,madeasofthe______of___________________,201_(the“EffectiveDate”),byandbetweenXxHoldings,Inc.andeachofitssubsidiaries(“Xx”),750Route202South,Suite100,Bridgewater,NJ08807and________________________(theotherpartysetforthonthesignaturepagehereto“Recipient”),setsforththetermsandconditionsoftheconfidentialdisclosureofcertaininformationbyXxtoRecipient.本协议，定于___________________的______，201__（“生效日期”），由Xx控股，地址为xx室，xx7及________________________（另一方在签名页表述为“接受方”），提出的披露某些信息的条款和条件由Xx给接受方。InconsiderationofthemutualpromisesandcovenantscontainedinthisAgreement,XxandRecipientagreeasfollows:考虑到本协议中包含的相互承诺和约定，Xx和接受方同意遵守如下事项：“XxConfidentialInformation”shallmeanallinformationdisclosedand/orprovidedtoRecipientbyXxoritsagents,employeesorotherrepresentatives(collectively,“Representatives”)inanymannerormedium,whetherindraftorfinalform,whetherorally,visually,orintangibleform(including,withoutlimitation,documents,devices,andcomputerreadablemedia),andallcopiesthereof,whethercreatedbyXxorRecipientandwhetherdisclosedorprovidedbeforeoraftertheEffectiveDate,including,withoutlimitation,(a)technologicalinformationintheformofdata,drawings,designs,concepts,specifications,software,algorithms,prototypes,processes,procedures,tradesecrets,know-how,formulas,ideas,andinventions(whetherornotpatentable)and(b)otherinformationrelatingtoXx’businessandbusinesspartners,including,butnotlimitedto,customer,vendorandconsumerinformation,financialprojectionsanddata,budgets,businessplans,pricing,policies,newproducts,businessstrategies,notes,analyses,compilations,studiesandinterpretationsofotherdocumentsand(c)othermaterialspreparedbyRecipientcontainingorbasedinwholeorinpartuponsuchinformationfurnishedtoRecipientbyXxoritsRepresentativesandallsaidmaterialsdevelopedbyRecipientforXxduringthetermofthisAgreement.“Xx机密信息”是指披露和／或提供给接受方的所有信息，由Xx或其代理人、雇员或其他代表（以下统称为“代表”）以任何方式或媒介，无论是草案或最终形式，无论是口头、视觉还是以有形形式（包含但不限于文件、设备和计算机可读介质），以及所有副本，无论是由Xx或接受方创建以及无论是否在生效日期之前或之后披露或提供的，包含但不限于（一）技术信息以数据、图纸、 、定价、政策、新产品、经营策略、笔记、分析、汇编、研究报告和其他文件的解释以及（三）在本协议条款内含有接受方准备的或者基于全部或经Xx或其代表提供给接受方等信息的一部分，并表示由接受方为Xx开发的所有材料。RecipientshallholdtheXxConfidentialInformationinstrictestconfidenceandmaynotuseordiscloseXxConfidentialInformation,exceptasexpresslypermittedherein,withoutthepriorwrittenconsentofXx,whichconsentmaybegrantedorrefusedinXx’solediscretion.RecipientshalltakeallreasonablemeasurestoprotecttheXxConfidentialInformationfrombecomingknowntothepublicorfallingintothepossessionofpersonsotherthanthosepersonsauthorizedtohaveaccesstosuchXxConfidentialInformation,whichmeasuresshallincludethehighestdegreeofcarethatRecipientusestoprotectitsowninformationofasimilarnature,butinnoeventlessthanareasonabledegreeofcare.RecipientwillnotifyXxinwritingimmediatelyupontheoccurrenceofanyunauthorizedreleaseorotherbreachofwhichitisaware.接受方应严格保密Xx机密信息，没有事先通过书面同意授予或拒绝的Xx唯一自由裁量权，不得使用或披露Xx机密信息，除非本协议明确允许。接受方应采取一切合理措施保护Xx机密信息不被公众知悉或被未经授权获得Xx机密信息的人员获得，其措施应包含接受方用来保护自身类似性质信息时的高度谨慎态度，在任何场合都应有合理的保护。接受方应对觉察到的任何擅自发布或其他违反行为立即书面通知Xx。RecipientshalluseXxConfidentialInformationsolelyforthepurposespecifiedattheendofthisAgreement(the“PermittedPurpose”).接受方使用Xx保密 指定目的仅在本协议末尾标出（以下简称“许可用途”）。RecipientshalldiscloseXxConfidentialInformationonlytothoseofitsRepresentativeswhohaveaneedtoknowsuchinformationforthePermittedPurposeandhavebeenadvisedoftheobligationsofconfidentialityunderthisAgreementandareboundbyobligationsofconfidentialityatleastasrestrictiveasthosecontainedherein.RecipientshallberesponsibleforanybreachesofthisAgreementbyitsRepresentatives.接受方仅向需要知道许可用途范围内信息的代表披露Xx的机密信息，并知会在本协议下的保密义务，以及包含至少限制在此保密义务下。接受方应承担其代表任何违反此协议的后果。XxConfidentialInformationshallnotincludeanyinformationthatRecipientcandemonstrate:Xx保密资料不包括任何接受方可证明的信息：(a)waslawfullyinRecipient’spossessionandwithoutanyobligationofconfidentialitypriortodisclosurebyXxhereunder;是接受方合法财产且没有事先由Xx列出为本披露的任何保密义务；(b)wasgenerallyknown,inthetradeorbusinessinwhichitispracticedbyXx,atthetimeofdisclosuretoRecipienthereunder,orbecomessogenerallyknownaftersuchdisclosure,throughnoactofRecipientoritsemployeesoragents;已广为人知的，由Xx在贸易或商业领域所实践的，披露给下文中的接受方，或者在如此披露后已广为人知的，而不是接受方或其雇员或代理人的行为；(c)haslawfullycomeintothepossessionofRecipientfromathirdpartythatisundernoobligationtoXxtomaintaintheconfidentialityofsuchinformation;or为接受方从第三方合法获得的，对Xx已没有义务去保持这些信息的机密性；或者(d)wasdevelopedbyRecipientpriortoreceivingXx’ConfidentialInformationandindependentlyfromXx’ConfidentialInformation.是由接受方在接受Xx机密之前合理拥有的并独立于Xx机密信息。IfaparticularportionoraspectofXxConfidentialInformationbecomessubjecttoanyoftheforegoingexceptions,allotherportionsoraspectsofsuchinformationshallremainsubjecttoalloftheprovisionsofthisAgreement.如果Xx机密信息的一个特定部分或方面受制于上述任何例外条款，所有此类信息的其他部分或方面仍应遵守所有本协议的规定。Recipientagreesnottoreproduce,copy,alter,modify,reverseengineer,orattempttoderivethecompositionorunderlyinginformation,structureorideasofanyXxConfidentialInformation,byanymeans,withoutXx’priorwrittenpermission.Withinten(10)daysofXx’requestatanytime,RecipientshallreturntoXxordestroy,atXx’solediscretionalltangiblematerialsthatdiscloseorembodyXxConfidentialInformation.接受方同意未经Xx事先书面许可的情况下不得以任何形式进行复制、复印、更改、修改、反向工程、试图获得任何Xx机密信息的组成或推导出潜在信息。在Xx发出要求后的10天内，接受方应还回或销毁，由Xx全权处理所有有形形式的披露材料或体现Xx机密信息的材料。Recipientshallnotremoveanyproprietaryrightslegendfrom,andshall,uponXx’reasonablerequest,addanyproprietarylegendto,materialsdisclosingorembodyingXxConfidentialInformation.对于含披露Xx的资料或体现Xx机密信息的材料，除Xx合理要求，接受方不得删除或添加任何专有权利的说明。IntheeventthatRecipientisorderedtodiscloseXxConfidentialInformationpursuanttoajudicialorgovernmentalrequestororderorinajudicialorgovernmentalproceeding(“RequiredDisclosure”),Recipientshall(i)immediately,andinanyeventpriortocomplyingtherewith,notifyXx,(ii)takereasonablestepstoassistXxincontestingsuchRequiredDisclosureorotherwiseprotectingXx’rightsand(iii)onlydisclosetheexactXxConfidentialInformation,orportionthereof,specificallyrequestedbytheRequiredDisclosure.接受方根据司法或政府要求或命令或在司法或行政程序（“必须公开”）被要求公开Xx机密信息的情况，接受方应1）立即，并且在服从任何情况下之前通知Xx，2）采取合理措施协助Xx夺回被披露要求或保护Xx的权利，3）只透露确切的Xx机密信息，或其中的一部分，具体根据披露要求所需提供。Recipientacknowledgesthatitmayfromtimetotimebeinpossessionofmaterialnon-publicinformationofXxandagreesthatitwillcomplywiththerestrictionsimposedbyUnitedStatesandanyotherapplicablelawsregardingthepurchaseorsaleofsecuritiesbyanypersonwhohasreceivedmaterial,non-publicinformation,directlyorindirectly,fromtheissuerofsuchsecurities,andonthecommunicationofsuchinformationtoanyotherpersonwhenitisreasonablyforeseeablethatsuchotherpersonislikelytopurchaseorsellsuchsecuritiesinrelianceuponsuchinformation.接受方承认其可能会不时从Xx接收重大非公开信息，并同意将遵从美国和其他适用法律规定的限制，因直接或间接从证券发行方获得非公开信息的个人购买或出售证券，以及在合理可预见的情况下依赖此类信息的个人很可能会出售或购买此类证券的通信。RecipientacknowledgesthatXxConfidentialInformationmaystillbeunderdevelopment,ormaybeincomplete,andthatsuchinformationmayrelatetoproductsthatareunderdevelopmentorareplannedfordevelopment.XXMAKESNOWARRANTIES,EXPRESSORIMPLIED,REGARDINGTHEACCURACY,COMPLETENESS,PERFORMANCE,MERCHANTABILITY,FITNESSFORUSE,ORNONINFRINGEMENTOFANYINTELLECTUALPROPERTYRIGHTS,ORANYRIGHTOFPRIVACY,ANYRIGHTSOFTHIRDPERSONSOROTHERATTRIBUTESOFTHEXXCONFIDENTIALINFORMATIONFURNISHEDUNDERTHISAGREEMENTANDALLSUCHXXCONFIDENTIALINFORMATIONISPROVIDEDBYXX“ASIS”AND,“WITHALLFAULTS”.Xxacceptsnoresponsibilityforanyexpenses,lossesoractionincurredorundertakenbyRecipientasaresultofRecipient’sevaluation,receiptoruseoftheXxConfidentialInformation.接受方承认，Xx机密信息可能仍处于开发阶段，也可能是不完整的，并且此类信息可能涉及到正在开发或计划开发的产品。Xx对本协议项下机密信息的准确性、完整性、性能、适销性、适用性、或任何知识产权的无侵权性、或任何隐私的权利不做任何明示或暗示的保证，且Xx机密信息应被视为是“依原样提供的”和“含所有瑕疵的，如本身具有的话”。对因接受方根据其评估、接收或使用Xx机密信息发生或采取的行为而产生的费用或损失Xx不承担任何责任。NeitherpartyhasanyobligationunderorbyvirtueofthisAgreementtopurchasefromorfurnishtotheotherpartyanyproductsorservices,ortoenterintoanyotheragreements,includingbutnotlimitedto,adevelopment,purchasingortechnologylicensingagreement.本协议下双方都没有购买或提供给对方任何产品或服务、或订立任何其他协议，包括但不限于开发、采购或技术许可协议，的任何义务。IfthepartiesenterintoawrittencontractconcerningabusinessrelationshipofthetypecontemplatedbythisAgreement,theprovisionsofsuchcontractconcerningconfidentialityofinformationwillsupersedeandprevailoveranyconflictingprovisionsofthisAgreement.IntheabsenceofawrittencontractoranysuchprovisioninawrittencontractintendedtosupersedethetermsofthisAgreement,thetermsofthisAgreementwillcontinueinforce.如果当事人就本协议预期类型的业务关系订立书面 ，此类合同的条款中有关机密信息的冲突部分将取代此协议条款内容。在没有打算取代本协议条款的书面合同的任何条款，本协议中的条款将继续有效。DisclosureofanyoftheXxConfidentialInformationshallnotconferanyrightorlicense,eitherexpress,impliedorbyestoppel,noranyrightstopatentsorpatentapplications,presentlyheldorsubsequentlyobtained,byXxinrespectofinventionsortechnologyrelatingtotheXxConfidentialInformation.AllXxConfidentialInformation,presentlyheldorsubsequentlyobtainedbyXx,isandwillremainthepropertyofXx.披露Xx的机密信息不得授予任何权利或许可，无论是明示、暗示或者不可否认的，也没有任何专利或申请专利的权利，有关Xx机密信息的目前持有或随后就Xx发明或技术涉及到的获得。所有Xx机密信息，由Xx目前持有或随后获得的，现在是，并且将来仍然是Xx的财产。NotwithstandinganyotherprovisionsofthisAgreement,RecipientagreestocomplywiththeU.S.ForeignCorruptPracticesAct(regardingamongotherthings,paymentstogovernmentofficials)andallexportlaws,restrictions,nationalsecuritycontrolsandregulationsoftheUnitedStatesorotherapplicableforeignagencyorauthority.除其他在此协议中的条款，接受方同意遵守美国反海外腐败法（除其他内容，支付给政府官员）美国及国外执法机构或权威的所有出口法律、限制、国家安全控制和法规。ThisAgreementandallactionsrelatedheretoshallbegovernedandinterpretedbythelawsoftheStateofNewJersey,UnitedStatesofAmerica,excludingitschoiceoflawprinciples.RecipientagreesthatthefederalandstatecourtsofNewJerseyshallhaveexclusivejurisdictionoveranydisputesarisingoutoforrelatingtothisAgreementandrecipientconsentstosuchjurisdiction.本协议及与本合同有关的一切行为须由新泽西州政府和美国的州法管辖和解释，但不包括其选择的法律原则。接受方同意，新泽西州的联邦和州法院应对任何由本协议或与本协议相关引起的争议拥有专属管辖权，接受方同意该专属管辖权。Therightsandobligationshereinshallbindtheparties,theirlegalrepresentatives,successors,heirsandassigns.Neitherpartymayassign,inwholeorpart,anyofitsrightsunderthisAgreementwithoutthepriorwrittenconsentoftheother.Anyattemptedassignmentshallbevoidandofnoeffect,ifnotinaccordancewiththisprovision.Notwithstandingtheforegoing,XxmayassignthisAgreementtoanaffiliatecompanyortoapurchaserofallorsubstantiallyallofXx’assetsorstock,whetherbymerger,acquisitionorotherwise,withoutpriorconsentofRecipient.本文中的权利和义务针对当事人及其法定代理人、继任者、继承人和受让人具约束力。任何一方不得转让全部或部分本协议下未经另一方事先书面同意的任何权利。如非遵循此规定，任何企图转让的行为都是无效的。尽管有上述规定，Xx可将本协议分配给一个附属公司或买房的全部或实质上全部Xx的资产和股票，无论是通过合并、收购或其他方式，而不必经接收方同意。ThetermsofthisAgreementshallterminatetwenty-four(24)monthsfromtheEffectiveDate.TheconfidentialityobligationsimposedbythisAgreementshallcontinuewithrespecttoXxConfidentialInformationreceivedduringthetermshallsurviveandcontinuebeyondtheexpirationofthisagreementuntilsuchitemofXxConfidentialInformationbecomessubjecttooneoftheexceptionsinSection5.本协议条款自生效之日起二十四（24）个月终止。本协议的保密义务条款需遵从Xx机密信息的连续性，在Xx公司存在期内即便是超出了本协议的有效期仍具有保密义务，直到Xx机密信息成为条款5中的其中一个例外。ThisAgreementexpressestheentireagreementandunderstandingofthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreements,commitmentsandunderstandingspertainingtothesubjectmatterhereof.AnymodificationsoforchangestothisAgreementshallbeinwritingandsignedbybothparties.本协议表达了双方同意和理解本合约的标的物，并取代所有之前的口头或书面协议、承诺和理解的有关标的物。任何修改或变更本协议应当采用书面形式，并由双方签署通过。PermittedPurpose许可用途TodeterminewhethertoenterintoabusinessrelationshipwithXxwithregardstoitsproductsorservices.INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobeexecutedbytheirdulyauthorizedrepresentativestobeeffectiveasofthedatefirstwrittenabove.为研究是否与Xx就其产品或服务展开业务合作关系。双方在此令其授权代表人签署本协议，以昭信守。本协议自上文所载之签署日期起生效。XxHoldings,Inc.Xx控股公司
