外贸佣金 协议 离婚协议模板下载合伙人协议 下载渠道分销协议免费下载敬业协议下载授课协议下载 (英文版)IRREVOCABLECOMMISSIONAGREEMENTAgreementNo.:Date:ThisagreementisasperInternationalChamberofCommerce(ICC)ThebothpartiesherebyagreeandconfirmthatthisIRREVOCABLECOMMISSIONAGREEMENTisanattachmentforthecontractNo.CSCLC/TKSFB-0,andthisagreementisvaliduntiltheendoftheContract.1.AGREEMENTINITIATIONDATE:  Thisagreemententersintoforceon_______________,2.PARTIES: Thisagreementismadeandenteredbyandbetween‘PARTYA’and‘PARTYB’asfollows:PARTYA:COMPANY:ADDRESS:COUNTRY:TEL:FAX:E-MAIL:ANDPARTYB:COMPANY:ADDRESS:COUNTRY:TEL:FAX:E-MAIL:3.THECOMMISSION:WithreferencetotheSALE&PURCHASECONTRACTNO.CSCLC/TKSFB-00betweenxxxxxxxxxxxxandxxxxxxxxxxxxxxxxxcoveringthepurchasesandsalesofIronOre LumporFinesundertheContract,the‘PARTYB’hasagreedandconfirmedtopay‘PARTYA’thecommissionwhichisregardedasPARTYA’sserviceonthisdealundertheContract.The‘PARTYB’herebyagreestopaythe‘PARTYA’,thesumincommissionofUS$3.00perMetricTonofproductshippedundercontractno.CSCLC/TKSFB-00appended，inaccordancewiththe‘PARTYA’sinstructions(asprovidedforbelow),simultaneouslywithinthesamebankingdayastheL/Cissuingbankmakespaymentoneachshipment.The‘PARTYB’andThe‘PARTYA’agreethatvalueofcommissionisconfidentialinformationandcan’tbedisclosedtootherentitiesthanthisagreementsignatory,hisrepresentativesandcanbeonlydisclosurebythewayrequiredformakehereinnamedpaymentofcommission.Anyassigneeorlegalsuccessortoeitherpartyshallassumeallobligationsandbenefitsoftheagreement.4.BANKINGINFORMATION:PARTYB’SBANKINGINFORMATION:BANKNAME:Accountname:A/CNO:5.AGREEMENTARBITRATION:Alldisputesordifferenceswhatsoeverarisingbetweenthepartiesoutoforrelatingtotheconstruction,meaningandoperationoreffectofthisagreementorthebreachthereofshallbesettledbyfriendlynegotiationsbetweenthetwoparties.Ifnosettlementcanbereached,thecaseindisputeshallthenbesubmittedfortheChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationundertheirruleswithChinalaw(Arbitrationplace:Beijing，China).6.CHANGES: Anychangesoftermsrelatingtothisagreementmustbedoneinawrittenform,andagreeduponbybothparties.7.EXECUTIONOFAGREEMENT:Eachofthepartiestothisagreementrepresentsthatithasfulllegalauthoritytoexecutethisagreementandthateachpartyistobeboundbythetermsandconditionsassetforthherein.EXECUTIONandDELIVERYofthisAgreementbyandbetweentheundersignedconstitutesandshallbeconstruedbyany/orallpartiestobeanIRREVOCABLEOFFER.8.SPECIALCLAUSE:Thisagreementhasbeendrawnupintwoidenticalcopies,ofwhichonecopyforeachparty.Thisfacsimileagreementwillremainenforceableafterthehardcopyagreementisexchanged.Faxedoriginalsaretobeconsideredaslegalandbindingasiftheywereoriginal.Thisfacsimileagreementshallbedeemedasinvaliduntilsignedbybothparties.ThisAgreementispartofanentirecontracttobeexecutedandincorporatedbyreferenceintothisAgreement.Eachpartyagreesthatagreementmaybeexecutedsimultaneouslybyandbetweenthepartiesviafaxorfacsimiletransmission,eachofwhichshallbedeemedasoriginalnature.9.IMPLEMENTATION:Whilstsignatureonthisagreementcertifiestheintentionofbothpartiestotheagreement,thetermsofthisagreementshallbecomebindinguponbothpartiesonlyatsuchtimeasthefollowinghavebeencompliedwith,inwriting.10.AGREEMENTSIGNATORIES:Inwitnessthereof,thepartieshavesignedbelowandbydoingsohaveacceptedandapprovedallcovenants,termsandconditionsofthisagreement.PARTYA:          SignaturePARTYB:Signature
