ATTORNEY-CLIENTPRIVILEGEDTo:Mr.___________,___________Co.,Ltd.FROM:Mr.___________,HanshengLawOfficeDate:___________EngagementLetterDearMr.___________,ItisourpleasuretoprovideChinalawserviceforyourcompany.Perourdiscussion,wewouldlikesetforththetermsoftheengagementifyouretainedustoprovidethelegalserviceshereunder.1.TheClient:TheClientis___________Ltd.,____________________________________________.Totheextentethicallypermissible,itsofficers,employees,and/oragentsshouldalsobetreatedasClientorrepresentativesofClient,unlessClientadvisesotherwise.2.TheFirmandtheAttorney:TheFirmis上海xx律师事务所HanshengLawOffice("Firm"),alawfirmestablishedandexistingunderthelawsofP.R.China.AsdesignatedbyFirm,theAttorneyresponsibleforthematterhereunderisMr.__________,whoislicensedtopracticelawsrelevanttotheMatter(asdefinedbelow)inthejurisdictionofmainlandofP.R.China.TheFirmmayappointanotherlawyertorepresentthecase3.Scopeofwork:TheClientishavingadisputewith____________________Co.,Ltd.(“BADGUY”)withrespectoftheSalesContractwheretheclientpurchasesAcronalfromBADGUYwiththecontractpriceofUSD________.AttheClient’request,theScopeofworktobeperformedbytheAttorneyhereunderistorepresentClientincivillitigationinShanghaiagainstBADGUYwithrespecttotheaforementioneddispute.AnyandallservicesprovidedhereinshallbebasedonthelawsofPRChina.IncasetheClientneedretaintheAttorneytorepresenttheclientinanylegalproceedingsthereaboutagainstBADGUYortoprovideanyotherlegalservicenotlistedhereinthisclause,bothpartiesshallagreeuponthefeesandothertermsthen.4.ServiceFeeandExpenses:Forthelegalservicewithinthescopeofworkhereinprovided,theClientshallpaytheservicefeeofUSD________(Say:________________USDollarsonly).TheservicefeeshallbepaidbeforefilingthecasewiththecourtinShanghaiorwithin10calendardaysuponsigningofthisengagementletter,whicheveroccursfirst.Ifanynecessaryout-of-pocketexpensesareincurredwithourlegalservice,thesameshallbereimbursedagainstactualinvoices.FirmshallobtaintheClient’spriorapprovalbeforeincurringsubstantialamountofout-of-pocketexpensesonClient’sbehalf.5.TheFirm’sBankAccount:TheClientshallpaytheservicefeeinUSDollarsoritsequivalentinEUROstothefollowingbankaccount:Receiver:HanshengLawOfficeBank:AccountNumberClientshallbearallcostsincurredinconnectionwithallitspaymentshereundersothatLawFirmreceivespaymentsclearofanychargesordeductions.6.ConflictofInterestsTheClientandFirmrecognizethattheremaybesituationsfromtimetotimewhereFirmmustdeclinetoacceptinstructionsfromClientorFirm’sotherclientsduetoapotentialoractualconflictinterests.Ifsuchsituationarisesbothpartiesshallendevourtoresolveoravoidtheconflictinaccordancewiththeirrespectiveprofessionalandethicalobligations.7.Confidentiality:Eitherpartyheretoshallnotdivulgeordisclosetoanythirdpartyanyandallinformationofconfidentialnaturerelatedtothisbusiness,transactionsorproductswhichhavecometoitsknowledgethroughtheperformanceofthisagreement,except(I)whichbecomespublicdomainthroughnofaultofeitherParty,(II)whicheitherPartyprocureslawfullyfromothersourceswithoutanyobligationofnon-disclosure,or(III)whichatthetimeofreceiptthereofarealreadyinthepossessionofsuchParty.TheobligationcontainedinthisarticleshallsurvivetheexpirationorterminationofthisAgreement.8.Miscellaneous:AllthelegalserviceshereundershallberenderedbasedonfranchiselawsofChinamainland(excludingTaiwan,HongKongandMacau).Anyadvice,counselorserviceotherthanthatprovidedinthissectionshallbesubjecttospecialarrangementsbetweenFirmandClientandseparatecharges.Firmshallbeartheresponsibilityforthequalityoftheservicesrenderedhereunder,provided,however,thatthetotalamountofcompensationmadebyFirmshallnotexceedthetotalamountoftheAttorneyfeethatClienthaspaidtoFirmwithinrespectofthematterthatFirmprovidesthelegalservicefor.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofP.R.China.AnydisputearisinginconnectionwiththisAgreementshallberesolvedinthefirstinstancethroughamicablediscussionsbetweenthepartiesorlegalproceedingswithacompetentCourtinShanghaiChina.TheClientherebyconfirmsithasnodiplomaticorsovereignimmunityinanylegalproceedingsofsettlementofdisputearisinginconnectionwiththisagreement.Therepresentationshallcontinueuntilterminatedbyeitherpartyinaccordancewithethicalrequirements.Ifsoonerterminatedbyeitherparty,FirmshallbepaidorreimbursedbyClientimmediatelyforallworkhoursandexpendituresreasonablyincurredbyFirmandtheAttorneypursuanttothisAgreement.ThisAgreementmaynotbemodifiedinanywaywithouttheexpress,writtenagreementofbothparties.ThisAgreementrepresentstheentireagreementofthePartiesandsupersedesanypreviousunderstandings,commitments,offersoragreements,oralorwritten,withrespecttothematter.Faithfullyyours,________________Hailyare&PartnersAcceptedandConfirmedby_________________________Mr./Ms.onbehalfofPAGE1
