。ThePartiesherebyenteredintotheAgreementasfollowinginrelationtoPartyBrenttheApartmentAofthestay-citybuildingundertheAgreementLawofPeople’sRepublicofChinaandotherrelevantlawsandregulations.一、租赁标的TheLeasedSubject1.1甲方同意按照本合同约定的条件和条款将附件1所列的星城国际大厦A座公寓(以下简称“公寓”)及附件2所列的设备家具在良好状态下租赁予乙方,乙方同意按照本合同约定的条件和条款承租前述公寓及设备家具。PartyAherebyagreestolease,andPartyBagreestorenttheapartmentasstatedinannex1(hereinaftercalledas“thepremises”)withthefacilityandfurnitureasstatedinannex2ingoodconditionsaccordingtotheclausesspecifiedinthisagreement.二、公寓用途Purposeofthepremises2.1双方确认该公寓的使用用途为法律法规允许的用途,乙方不得将该公寓用于前述用途以外的目的,否则甲方有权提前解除本合同,并不再返还本合同约定的押金。Thepartiesherebyconfirmthatthepurposeofthepremisesshallbeaccordancewiththelawsandregulations..PartyBshallnotusethepremisesforotherpurposes;otherwisePartyAhastherighttoreleasetheagreementearlyandshallhavenoobligationtoreturnthedeposit.三、租赁期限TermoftheTenancy3.1乙方承租该公寓的期限见本合同附件1的约定。Thetermofthetenancyisspecifiedintheannex1.3.2乙方可以在本合同约定的租赁期限届满前三(3)个月向甲方提出续租的书面申请,届时双方重新协商相关的合同条款,包括续租期的租金,但如果双方未能在租赁期限届满前1个月签订续租协议,则甲方有权在租赁期限届满后将该公寓出租给其他第三方。PartyBmaypresentawrittenapplicationforextensionofthetermofthetenancythree(3)monthsbeforetheexpiryofthisAgreement.TermsandconditionsincludingtheamountofrentshallbenegotiatedbeforeextendingtheLeaseAgreement.IfthepartiescouldnotsigntheextensionagreementonemonthbeforetheexpiryofthisAgreement,PartyAhasrighttoleasethepremisestootherpartiesaftertheexpiryofthisAgreement.四、租金:Rents4.1双方同意乙方按照本合同附件1约定的租金 向甲方支付租金,该租金包括物业管理费、暖气费,卫星电视收视费。Thepartiesmutuallyagreewiththerentsasstatedinannex1,therentsincludesmanagementfees,heatingfeesandcableTVfees.4.2双方同意租金月付,每月开始前七日内乙方向甲方一次性支付本月的租金,如乙方逾期支付租金(包括未足额支付租金)在10日之内,则乙方须按日向甲方支付相当于未付租金0.5%的违约金;如乙方逾期支付租金(包括未足额支付租金)超过10日,则视为乙方单方提前解除本合同,乙方应按照本合同第七条的约定向甲方退还该公寓,甲方无须向乙方返还押金。ThePartiesagreetherentsispayablemonthly,onorbeforethe7thdayofeachmonth.IfPartyBhasnotpaidtherentfortendaysduetoitsownfault,apenaltyof0.5%oftherentwillbechargedperdayfromtheduedateofpaymenttothedateofactualpayment.Iftherenthasnotbeenpaidformorethantendays,theLeaseisconsideredbeingterminatedautomatically,PartyBshallreturnthepremisestoPartyAaccordingtotheclause7andPartyAshallhavenoobligationtoreturnthedeposit.4.3双方确认本合同约定的租赁期限内,租金不予调整。若续租,租金可适当上调,但最高不能超过原租金的10%。ThePartiesherebyconfirmthattherentsshallnotadjustduringthetermofthetenancy.Theextendedleasingtermcouldincreasetherent,butnotmorethan10%.4.4乙方同意无论甲方或星城国际大厦物业管理公司(以下简称“物业管理公司”)是否存在违约情形,乙方均应按照本合同第四条的约定支付相应的租金,其它事宜由双方另行协商。PartyBagreesthatPartyBshouldpaytherentsaccordingtoclause4nomatterwhathappensandthedisputebetweenPartyBandPartyAorthemanagementcompanyshallbenegotiatedbytheParties.五、其它费用:Otherfees5.1通讯费用:乙方应按照电信部门规定的标准支付该公寓发生的所有通讯费用,包括但不限于电话费、传真费、宽带费、信息费等。Communicationfees:PartyAshallundertakeallthecommunicationfeesaccordingtotheTelecommunicationBureaustandardtariffsincludingbutnotlimitedtotelephonefee,facsimilefees,BroadBandfeesandinformationfees.5.2杂费:乙方应按照每月实际使用的数额按时支付相应的水电煤气费(包括污水处理费),并承担因使用该公寓而发生的其他费用。Extrafees:PartyBshallpaythewaterfees,electricfeesandgasfeesandotherfeesinrelationtousingthepremisesaccordingtoconsumption.六、押金:Deposit6.1在本合同签订之日,乙方应向甲方支付相当于一(1)个月租金数额的押金(具体数额见附件1)。甲方收到押金两日内,应向乙方开具押金收据。PartyBshallpaythedepositofperformingtheAgreementwhichamountstotherentoftwomonthsonthesignaturedateofthisAgreement(theamountseetheannex1).PartyAshallprovidethereceiptofthedepositintwodaysafterreceivingthedeposit.6.2在下列条件全部满足之日起三十(30)日内,甲方无息向乙方退还本合同6.1条款约定乙方支付的押金或押金余额(如有):PartyAshallreturnthedepositinfullorbalancethereof(ifany)toPartyB(excludinginterest)withinthirtydaysafterthefollowingconditionsarefulfilled:6.2.1本合同约定的租赁期限届满;Thetermoftenancyhasbeenexpired.6.2.2乙方按照本合同第六条的约定向甲方完好退还了该公寓及家具设备;PartyBhasreturnedthepremiseswithequipmentandfurnitureingoodconditionsaccordingtotheclause6.6.2.3乙方向甲方支付了所有的款项(包括因乙方未遵守、履行在本合同项下其必须遵守、履行的一切协议、条文、规定、条件而导致甲方产生的支出、费用、损失或损害赔偿金);PartyBhaspaidalltheamountstoPartyA(includingcost,expenses,lossordamagesustainedbyPartyAastheresultofanynon-observanceornon-performancebyPartyAofanyofthesaidagreements,stipulationstermsorconditions).6.2.4乙方已经按照本合同的约定支付了全部其他费用。PartyBhaspaidtheentireutilitiesfeessuchaswater,electricity,gasandtelephonebill.6.3如乙方违反本合同约定或没有按照本合同的约定履行相应的义务,则甲方有权从乙方支付的押金中扣除由此产生的支出、费用、损失或损害赔偿金,且不影响甲方的其他权利和/或补偿。甲方亦有权从乙方支付的押金中扣除乙方因使用该公寓、相关设施、甲方或其他方不时向乙方提供的服务而应向第三方支付的费用。如果在本合同期间甲方依据前述约定扣除了相应的押金,则乙方应根据甲方的要求补足所扣款项,否则甲方有权单方解除本合同并收回该公寓。Withoutprejudicetoanyotherrightand/orremedy,PartyAhastherighttodeductfromthesaiddepositanycost,expenses,lossordamagesustainedbyPartyAastheresultofanynon-observanceornon-performancebyPartyBofanyofthesaid物业管理处待租房屋使用agreements,stipulationstermsorconditions.PartyAalsohastherighttodeductfromthesaiddepositanysumsincurredbyPartyBorbyPartyAonbehalfofPartyBtoanythirdPartyArisingfromPartyB'suseofthepremises,anyotherfacilitiesorserviceswhichmayfromtimetotimebemadeavailabletoPartyBwhetherbyPartyAoranyotherparty.IntheeventofanydeductionbeingmadebyPartyAfromthesaiddepositaccordanceherewithduringthedurationofthisagreement,PartyBshallforthwithondemandbyPartyAmakeafurtherdepositequaltotheamountsodeductedandfailurebyPartyBsotodoshallentitlePartyAforthwithtore-enteruponthepremisesandtodeterminethisagreementashereinbeforeprovided.6.4如果因乙方的原因导致本合同提前终止,则甲方无须向乙方返还押金,并有权要求乙方支付剩余租赁期的租金。IfthisagreementisearlyterminatedforreasonsofPartyB,PartyAshallhavenoobligationtoreturnthedepositandshallhavetherighttorequirePartyBtopaytherentofresttermofthetenancy.七、公寓交付与退还HandoverandreturnofthePremises7.1在乙方按照本合同的约定向甲方支付第一月租金及全部押金之日起两日内,甲方向乙方交付该公寓及相关家具设备,双方签订本合同附件3约定的交接单。PartyAshallhandoverthepremiseswithequipmentandfurniturewithintwodaysafterPartyBpaystherentofthefirstyearandfulldeposit.Thepartiesshallsignthecheckinandoutlistasstatedinannex3.7.2乙方须在租赁期届满之日(包括本合同提前解除或终止之日)将该公寓及时清理干净,并按本合同的规定将该公寓内原有的附属物、装置、附加物(包括钥匙等),在原交付使用的状态下(合理的损耗除外)交还给甲方。如乙方在清理该公寓过程中对甲方或第三方造成损害和损失,乙方应承担一切责任。甲方有权从押金中扣除乙方给甲方造成的实际损失。如押金不足以抵扣,则甲方有权继续向乙方追偿。PartyBshallcleanthepremisesuponexpirationoftheterm(includingearlyreleasingorterminationoftheagreement),andreturnthepremisesandallancillaryitems(includingkeysandetc)fittingandfixturesintheiroriginalconditionasdeliveredpursuanttothisagreement(exceptreasonablewearandtear).PartyBshallbearfullliabilityifPartyBcausesdamagesandlossestoPartyAoranythirdpersonduringcleaning.PartyAshallhavetherighttodeductfromthedepositamountofactuallossescausedtoPartyA.PartyAhastherighttodemandindemnificationifthedepositisnotsufficient.7.3乙方在租赁期届满时迁出该公寓后,如该公寓内有乙方遗留下的任何装饰、家具、装备、物件或其他任何物品,均视为乙方放弃前述物品,甲方有权以任何方式处理前述物品,乙方不得异议,也不得追究甲方责任和要求甲方赔偿;同时,甲方亦有权向乙方追讨因清除、清理、处理前述物品所产生的所有费用,或从乙方所交付的押金内先行扣除该等费用,然后将余款退回给乙方,如乙方所缴付的押金不足以支付该等费用时,则甲方仍有权继续向乙方追索不足部分的款项。AfterPartyBvacatesthepremisesuponexpirationofthetermoraftertheexpirationoftheterm,anydecoration,furniture,equipment,articlesandanyotheritemthatleftinthepremisesshallbedeemedabandonedbyPartyBandPartyAshallhavetherighttodisposeofsuchitemsbyanymeanandPartyBshallhavenorighttoobjecttheretoorholdPartyAliableordemandcompensationtherefor.Atthesametime,PartyAshallhavetherighttodemandfromthePartyBforexpensesincurredduetoremoval,cleaninganddisposalofsuchitems,orshallhavetherighttodeductsuchexpensesfromthedepositpaidbyPartyBbeforereturningthedeposittoPartyB.Ifthedepositisnotsufficienttopaysuchexpenses,PartyAreservestherighttodemandindemnificationforanydeficiency.7.4如乙方延迟向甲方退还该公寓及家具设备,则每延迟一日,乙方应向甲方支付相当于五倍日租金的违约金,同时甲方无须向乙方返还押金。IfPartyBdelaystoreturnthepremiseswithequipmentandfurniture,PartyBshallpayPartyAthedailyliquidateddamagesoffivetimesequaltodailyrentfromtheduedateofreturnofthepremisestothedateofactualreturn.PartyAshallhavenoobligationtoreturnthedeposit.八、甲方的权利和义务RightsandResponsibilitiesofPartyA8.1租赁期内甲方不得无故收回房屋,如甲方中途要求收回房屋,乙方可以拒绝。PartyAisnotpermittedtotakebackthepremisesduringthetermoftheagreementwithoutgoodreason.IfPartyAwishestodoso,PartyBhastherighttoobject.8.2在双方均摊任何适用的印花税的前提下,甲方应向政府有关部门支付所有根据法律、法规及地方性规定就出租该公寓而须由甲方支付的各种税费。PartyAshallpaytorelevantgovernmentdepartmentsalltaxesandfeeswhichPartyAisrequiredtopayinaccordancetothelaw,providedthatanyapplicablestampdutyshallbeborneequallybytheparties.8.3在乙方按照合同的约定支付租金和其他费用以及完全履行合同其他义务的前提下,甲方或其授权代表非因紧急情况不应干扰乙方在租赁期间占有、使用该公寓。TopermitPartyB(dulypayingtherentandothersfeesandobservanceandperformanceofnonmonetarytermthatstatedintheagreementandcomplyingtheagreement)tohavequietenjoymentandpossessionofthepremisesduringthesaidtermwithoutanyunnecessaryinterruptionbyPartyAoranypersonslawfullyclaimingunderorthroughorintrustofPartyA.8.4甲方应敦促物业管理公司(但甲方不承担物业管理公司的责任)尽力保持(I)屋顶、主结构、墙壁、水管管道及电缆电线处于良好的使用状态;(II)电梯、消防及安全装置、暖气及空调处于正常运转状态;(III)星城国际大厦公共区域、洗手间及设施处于清洁状态。但如因乙方自行装修改造该公寓造成破坏的除外。PartyAshallinstruct(butshallnotbeliableforanyfailureofmanagementtodoso)managementcompanytoexertitsbesteffortstomaintain(I)ingoodconditionforusetheroof,mainstructure,walls,waterpipes,electricalcableandwiring,(II)inanormaloperatingconditionanylifts,firepreventionandsecurityapparatus,heatingandair-conditioning,and(III)incleanconditionthecommonarea,lavatoriesandfacilitiesoftheStarCity.Exceptforbreakagearerisingfromthefitting-outbyPartyB.8.5甲方有权在发出合理通知(紧急情况无须发出通知)并尽量减少对乙方妨碍的情况下,为维护、修理、更新、升级或重置的目的而暂时终止空调、电梯、电力、冷水、热水及其他相关服务,且不承担任何赔偿或补偿责任。PartyAhavetherightfromtimetotimeongivingreasonablenoticetoPartyB(suchnoticenottoberequiredincaseofemergencyorbreakdown)andcausingaslittleinconvenienttoPartyBreasonablypossibletosuspendtheair-conditioningsystem,lifts,electricpower,watersupply,hotwatersupplyandanyotherserviceorfacilitiesprovidedinorservingthesaidbuildingforthepurposeofservicing,maintaining,repairing,renewing,improvingorreplacingthesame.8.6在租赁期间,甲方有权处分该公寓,包括但不限于转让、抵押等。如甲方将该公寓转让给其他方,届时该公寓的受让方将承继甲方在本合同项下的全部权利和义务。PartyAhastherighttodisposethepremisesduringtheleasingterm,includingbutnotlimitedtotransfer,mortgageandetc.IfPartyAtransfersthepremisestootherparties,theassigneeshallobtainPartyA’srightsandobligationsundertheagreement.8.7在合同终止前1个月内,甲方有权带领潜在承租方或购买方参观该公寓One(1)monthbeforetheendoftheagreement,PartyAhastherighttobringothersprospectivelesseesorpurchasertoviewthepremises.九、乙方的权利和义务RightsandResponsibilitiesofPartyB9.1乙方在征得甲方同意的情况下,可安排本公司其他人员入住本合同中所提之房屋,甲方不得以无理理由拒绝。PartyBmayarrangeotherpersonalofitscompanytoliveinthepremiseswiththepriorwrittenconsentofPartyA,whichconsentshallnotbeunreasonablywithheld.9.2乙方在该公寓内进行的所有居住使用活动或其他一切行为应遵守中国法律和法规、政府部门颁布的其他规定以及甲方和物业管理公司关于该公寓的相关规定,否则乙方应赔偿甲方的全部损失。如乙方收到政府有关部门就该公寓发出的任何通知或传票,则乙方应在48小时内书面通知甲方。TocomplywithallapplicableChineselawandregulationsandothersissuedbygovernmentdepartmentsrelatingtotheconductofPartyB'slivingandotheractivitiesinthepremisesandwithanyofPartyA'sormanagementcompany'srulesandregulationsregardingthepremises;toindemnifyPartyAwithrespecttoanyviolationthereofbyPartyB;andtonotifyPartyAinwritingwithinforty-eight(48)hoursafterreceiptofanygovernmentnoticeorsummonswithrespecttothepremises.9.3在租赁期间内乙方应自费对该公寓的内装修和各种设备设施进行维修保养,并保持该公寓和其设施处于良好状态。TorepairandmaintaintheinternalfittingandvariousequipmentinstalledbyPartyBatPartyB'scostduringthetermandmaintainthepremisesanditsfacilitiesingoodcondition.9.4一旦发生该公寓、A座公寓遭受毁损,或发生人身伤害,火灾或其他意外事件,乙方应立即通知甲方或物业管理公司。TogiveimmediatenoticetoPartyAandManagementCompanyofanydamagesthatmaybesufferedtothepremisesoranypartoftheApartmentA,anypersonalinjury,fireoranyemergency.9.5乙方应遵守国家和北京市关于消防和安全的法律、法规,并负责该公寓的消防和安全工作。在紧急情况发生时,乙方应服从物业管理公司的安排。PartyBshallabidebyrelevantlawsandregulationsoftheChinaandBeijingMunicipalityonthefirepreventionandsafetyrules.PartyBshallbeinchargeoffirepreventionandsafetyofthepremises.Astheemergencyoccurs,PartyBshallfollowtheinstructionbythemanagementcompanypersonnel.9.6乙方不得在该公寓或A座公寓内携带或存放易燃易爆物品,乙方应就其违反消防和安全的相关规定或管理不当产生的所有后果承担全部责任PartyBshallnotcarryorkeepanyinflammableandexplosivegoodsinthepremisesorApartmentA.PartyBshallberesponsibleforfireresultingfromviolationbyPartyBoftherelevantfirepreventionandsafetyrulesoritsimpropermanagement.9.7乙方同意甲方及其代理人、承包商、雇员及其他授权代表在合理的时间内进入该公寓提供维修等服务。在紧急情况下,甲方或物业管理公司无需事先通知即可进入该公寓。乙方同意甲方无需就甲方(或其授权代表)因处理紧急情况而给乙方造成的损害承担责任,如该紧急情况是由乙方直接或间接所致,则乙方应承担相关费用。前述紧急情况包括但不限于煤气报警或火灾警情、漏水现象、发生严重的可疑气味、有被盗窃的可疑情形以及政府相关部门的检查等。ToallowPartyAanditsagent,contractors,employeeandallotherauthorizedpersonaltoenterthepremisesatsuchreasonabletimetoprovideservicing,maintainingandrepairing.IncaseinemergencyPartyAortheManagementCompanyhastherighttoenterthepremiseswithoutpriornotification.PartyBagreesonPartyAshallnotresponsibleforanydamagedonetoPartyBintheeventofPartyA(orit'sauthorizedpersonal)exercisingondealingwithemergency.IfsuchemergencyisdirectlyorindirectlycausedbyPartyB,PartyBshallundertaketherelevantfees.Theabove-mentionedemergencyincludesbutnotlimitedtocoalgasorfirealarm,leakingofwater,risingseriousodororgas,shadinesscaseofpilferage,inspectedbyadministrationdepartment,etc.9.8乙方不得转让、抵押、转租该公寓的全部或部分区域。乙方亦不得批准或容许任何安排或交易,导致任何第三方获得使用、占有、享用该公寓的全部或部分区域的权利,无论该第三方是否为此支付租金或其他代价。PartyBmaynottransfer,mortgage,sublease,subdividethepremisesoranypartthereof,orapproveorpermitanyarrangementortransactionwherebyanythirdpartyobtaintherighttouse,occupationenjoymentofthePremisesoranypartthereof,regardlessofwhethersuchthirdpartypayanyrentsorotherexpenses.9.9乙方不得将其机动车停放在或企图停放在专为星城国际大厦的住户、客户或者其他承租方、星城国际大厦相应区域的所有人或占有人保留的停车位,乙方亦不得将其机动车停放或停留在机动车出入口或星城国际大厦范围内的公共活动区域。PartyBshallnotparkorattempttoparkorprocuretheparkingofanymotorvehicleinanycarparkfacilitiesavailableexclusivelytoresidentsand/orguestsofStar-cityortoanyotherlessees,owneroroccupierofanypartoftheStar-cityorinanydrivewaysentrancecourtyardsorotherareasdedicatedorintendedforpublicrightofpassagewithinStar-city.9.10乙方同意在提前30日书面通知的情况下,物业管理公司有权根据物业管理规定调整物业管理费及其他相关费用。PartyBagreesthatuponthirty(30)day'spriorwrittennotice,themanagementcompanyofStar-city(hereinaftercalledasManagementCompany)reservestherighttoadjustthemanagementfeesandothersfeesinaccordancewiththemanagementrules.9.11乙方不得破坏、损害公共区域或从事任何有损公共区域形象的行为,也不得在公共区域存放物品或从事任何有损公共区域使用的行为。PartyBshallnotdamage,injureordefaceanypartofthepublic/commonareasandshallnotplaceorleaveanyobstructionsinthepublic/commonarea.9.12乙方不得使用客运电梯搬运货物,如乙方需要搬运货物或大件物品,则乙方应事先取得甲方的同意,并在甲方的监督下搬运前述物品。PartyBshallnotusethepassengerliftsotherwisethantransportationofPartyB.IfPartyBwouldliketotransportgoodsandotherbigobject,PartyBshouldgetpriorconsentfromPartyAandshalltransportsuchthingunderthesupervisionofPartyA.9.13在该公寓内已有的装饰和设施之外,乙方如要增加设备、在墙壁上悬挂画、图片或其他装饰物或其他装修须事先征得甲方同意。Inadditiontothedecorationandequipmentalreadyinthepremises,ifPartyBwishestomakeanyalterations,hangpictures,paintingorotherdecorativearticlesonthewallordecoratetheproperty,PartyBshouldgetthepermissionfromPartyAinadvance.9.14在未经甲方书面同意下,乙方不得擅自设立、安装或移动设施及设备,不能擅自设立隔断,不得擅自对房屋的结构机关改动或增加。Nottoerect,installorremoveanyfixturesorpartitioning,ortomakeanystructuraladditionsandalterationswithoutthepriorwrittenconsentofPartyA.9.15保证赔偿由于乙方或与乙方有关系的官员、上司、雇员、客人、雇佣工人、代理、执照持有者或被邀请人等(统称与乙方相关的人)的粗心及疏忽造成的房屋的损害或损失,并允许甲方或其代理人在事先通知后进入房屋,对房屋的损失或损害进行弥补及修复,在此所发生的费用由乙方负担。ToindemnifyPartyAforanylossofdamagetothepremisesfromnegligentactoromissionofPartyBoranyofficer,director,employee,guest,visitor,servant,agentlicenseeorinviteeofPartyB(eachreferredtohereinafterindividuallyasan“associate”),topermitPartyAorhisauthorizedrepresentativestoenterthepremisestorepairanysuchlossordamageattheexpensesofPartyB.9.16未经甲方书面同意,屋外不得擅自放置标示板及陈列任何设施,不允许在房外、窗及门上挂晒衣物以影响房屋外观面貌,该同意不得被不合理拒绝。NottoaffixordisplayanysignboardorotherdevicevisiblefromoutsidethepremiseswithoutthepriorwrittenconsentofPartyA,whichconsentshallnotbeunreasonablywithheld,andnottousetheoutsideofthepremisesoranydoorsorwindowstohanganywashing.十、免责ImmunityProvisions乙方在此明确同意及声明,甲方在下列情形下无须对乙方或其他任何人员承担任何责任:PartyBherebyexpresslyagreesandcovenantsthatPartyAshallnotbearliabilitytoPartyBoranyotherpersonunderanyofthefollowingcircumstances:10.1设备和设施:因为天然气供求或电话服务或电梯、电力、自来水供应、热水供应、空调系统和/或星城国际其他设备的任何缺陷或故障、缺陷、不足、暂停,对乙方或任何其他人员造成的任何人身或财物上的损失或损害。EquipmentandUtilities:InrespectofanylossordamagetopersonorpropertysustainedbyPartyBoranysuchotherpersoncausedbyorthroughorinanywayowingtoanydefectinorbreakdownorsuspensionofserviceoflifts,electricalpower,watersupplies,hotwatersupplies,air-conditioningsystemand/oranyapparatusorequipmentofStar-city.10.2因犯罪行为、水、烟、火及其他事物引致的损害:因(I)犯罪行为,或(II)有水溢流、滴漏,或(III)烟、火、任何其他物质、东西泄漏,或(IV)因雨水或其他水渗入,或(V)星城国际大厦内害虫的滋生,或(VI)甲方不是故意或重大过失所导致的其他事件,而对乙方或任何其他人员造成的任何人身或财物上的损失或破坏。DamageCausedByCriminalAct,Water,Smoke,FireorOtherEvents:InrespectofanylossordamageorinjurytopersonorpropertysustainedbyPartyBorforanydisruptionorinconveniencecauseorsufferedbyPartyBdueto(I)criminalact,(II)wateroverfloworleakage,(III)thepenetrationofsmoke,fireoranyothersubstanceormatter,(IV)theleakageofrainorotherwateror(V)thebreedingofpestsinStar-city(VI)anyothermatterotherthanintentionalmisconductorgrossnegligence.10.3保安:尽管甲方或物业管理公司向星城国际大厦或该公寓提供保安或防盗系统,但甲方对星城国际大厦、或该公寓或其内部财物之保安、保管不承担任何责任。乙方不得因任何有关保安的问 ,减少或停止支付租金、物业管理费用、空调费或其他根据本合同须支付的费用。Security:PartyAshallbearnoresponsible/liabilitiesforthesecurityorsafeguardingofStar-cityorthepremisesorthepropertytherein,regardlessofanyprovisionofthesecuritypersonnelorsystemsbyPartyAorthemanagementcompany,andPartyBmaynotreduceorsuspendpaymentoftherent,Managementfees,air-conditioningchargesorothermandatoryfeesunderthisagreementbecauseofsecurityrelatedissues.10.4法规:任何因法律、法规的修订或实施而对本合同可能产生的影响,甲方不承担任何责任。Regulations:PartyAshallnotbearanyliabilityfortheamending/implementingofthelaw,regulationsthatimposebyChinaGovernmentorrelatedgovernmentauthoritiesthatwhichmighteffectthecontentofthisagreement.十一、不可抗力ForceMajeure11.1该公寓由于火灾、恶劣天气、战争或其它甲方不可抗拒因素,而不是因为乙方直接或间接的疏忽及故意行为造成公寓毁坏而不能被正常使用及居住时,甲方根据自己的意愿及经济、实际意义等原因,决定是否修复该公寓,但甲方没有义务必须修缮复原公寓。若甲方决定不再修复该公寓,则视为本合同租赁期限届满,甲方应在乙方承担协议第五条约定的费用及其他款项(如有)后向乙方退还押金以及尚未发生的租金。Ifthepremisesaresubstantiallydestroyedordamagedbyfire,badweather,war,forcemajor,orothercausesbeyondthecontrolofPartyAandnotattributabledirectlyorindirectlytothenegligenceormaliceofPartyBorareotherwiserenderedunfitforuseoroccupation,PartyAshalldecidewhetherherepairsthepremisesornotbasedonitsownopinion.However,PartyAshallbeundernoobligationtorepairthepremises.IfPartyAdeterminesnottorepairthepremises,theLeaseisconsideredbeingterminatedautomatically,PartyAshallreturnthedepositandthepre-paidrenttoPartyBafterPartyBpaidallthefeesspecifiedinclause5andotheramounts(ifany).11.2如果该公寓的全部或部分被政府征用,则本合同应自该行为日起终止,乙方不应就任何未履行租赁期的利益向甲方要求赔偿,并且乙方应将其因任何该等政府决定而获得的全部利益无偿转让给甲方。乙方有权就其费用和财产的价值向政府主管部门提出独立赔偿要求。Ifthewholeorpartofthepremisesshallbeacquiredorcondemnedbygovernmentaction,thisagreementshallterminatefromthedateofsuchactionandPartyBshallhavenoclaimforthevalueofanyunexpiretermandassignstoPartyAPartyB'sentireinterestwithoutanyaward.PartyBshallhavetherighttomakeanindependentclaimtothecompetentgovernmentdepartmentforthevalueofPartyB'sexpensesandproperty.十二、违约责任LiabilitiesforBreachoftheAgreement12.1除本合同另有约定外,如一方违反本合同中任何规定,另一方有权在违约行为发生后以书面形式通知违约方要求其履行合同。在通知发出后二十(20)日内,如违约行为仍不能得到纠正,守约方有权解除本合同。违约方应赔偿守约方因其违约行为而发生的任何费用、支出、责任或损失。Exceptdescribedintheagreement,ifonepartybreachesanyprovisionoftheAgreement,theotherpartyisentitledtorequirewithawrittennoticethedefaultingpartyofperformingtheAgreement.Intheeventthatsuchbreachhasnotbeencorrectedwithintwenty(20)daysaftertheissuanceofthenotice,theobservantpartyisentitledtocanceltheAgreement.Thedefaultingpartyshallindemnifyanyexpenses,disbursement,liabilitiesorlossesoftheobservantpartyincurredbythebreachoftheagreement.12.2甲方了解发生违约而接受租金时,或甲方暂时接受有关持续违约,不能视为甲方放弃追究乙方违约的权利,如甲方放弃本租赁合同各条款规定的任何权利时,只能以甲方书面签字为据。乙方缴付租金或其他款项如有不足额的情况,即使甲方接受不足额的费用,均不得视为甲方同意乙方减额缴付,亦不影响甲方追索不足部的租金或欠款的权利,更不影响其按本租赁合同或法律规定采取其他措施的权利。PartyA'sacceptanceoftherentwhenknowingtheoccurrenceofanybreachortoleratingthecontinuousbreachoftheagreementshallnotbedeemedasawaiveroftherightsofclaimingsuchbreachesagainstPartyB.ThewaiverofanyrightsundertheagreementbyPartyAcanonlybeprovedbyitswrittensignature.PartyA'sacceptanceoftheinsufficientpaymentoftherentandotherf
