AIRCRAFTSERVICEAGREEMENT飞机服务协议Thisagreementwasmadeon2019between该协议由以下两方签署：,acompanyincorporatedunderthelawsofHongKongwithlimitedliabilityandwhoseregisteredofficeissituateat(the"Client“)andCO.,LIMITED(originalname：)(“ServiceProvider")withregisteredofficeat；ThisAgreementsetsoutthetermsandconditionsuponwhichServiceProviderwillmanageClient'sAircraftdescribedbelow.ThisAgreementconsistoftheMajorCommercialTermsbelowandtheGeneralTermsandConditionsattached.此协议将根据下列条款及细则，由飞机服务公司(即有限公司)为客户管理飞机，此协议将含有“主要商务条款”以及“一般条款和条件”。CLIENTHASBEENADVISEDTO,ANDDIDREVIEWNOTONLYTHEMAJORCOMMERICALTERMSBUTALSOTHEGENERALTERMSANDCONDITIONSANDANYAPPENDICESTOTHISAGREEMENTANDBYEXECUTINGTHISAGREEMENTAGREESTOBEBOUNDBYALLOFTHEM.客户已经了解此协议内所列明的所有相关条款及细则并同意履行所有协议内容。MajorCommercialTerms主要商务条款Aircraftdetails：飞机具体信息Onewithmanufacturer'sserialnumberandFAAregistrationandequippedwithenginestogetherwiththeaircraftdocuments,manualsandrecordsrelatingexclusivelytosuchaircraftandenginescollectively.一架飞机、序列号，美国联邦航空局注册号：,并配有台发动机以及包括所有飞机、发动机的相关文档， 及相关记录。PurposeoftheAircraft飞行性质TheAircraftisdesignatedasa“PrivateAircraft”.Itwillbeemployedforprivateflightsonlyandwillnotbemadeavailabletoanythirdpartyforhireorreward.这架飞机将被用作“私人飞机”，也就是只能用作私人飞行，并不能用于其它任何第三方的以商业和奖励为目的的飞行。DeliveryoftheAircraft飞机的交付ServiceProviderwillacceptthedeliveryoftheAircraftfromthecurrentOperatoron.(the“ScheduledDeliveryDate")atAirport(the“DeliveryLocation").ServiceProviderwillactasthetechnicalrepresentativeofClientinacceptingdeliveryoftheAircraft(“Delivery")andClientconsentstosuchappointment.经客户授权，服务公司将作为客户的技术代表，于年月日(确实日期视实际情况而定)在机场(“交付地点”)从现在的服务公司接收飞机。BaseandRegistration飞机的基地以及注册Theaircraftwillbebasedin(the“BaseStation”).TheAircraftwillberegisteredattheaircraftFAAregistrymaintainedbythecivilaviationoraeronauticalauthority(the“AviationAuthority”)ofFederalAviationAdministration(the“JurisdictionofRegistration”).此飞机将以机场为基地(“基地”)。此飞机将保留民用航空或航空当局(以下简称“民航局”)授权下以美国联邦航空局之登记。FlightCrew飞机机组The“FlightCrew”oftheAircraftwillconsistofone(1)captain,one(1)firstofficer,one(1)flightattendantandone(1)engineer.NotwithstandinganythinginthisAgreement,ClientshallberesponsiblefortheannualtrainingcostsoftheFlightCrewonaproratabasisforeachmonththeFlightCrewisemployedfortheAircraft.整个飞机机组将包括1名正机长，1名副机长，1名空乘人员以及1名维修人员。除了每月的薪酬福利外，客户还需要为机组人员支付每年的培训费用。[IfthedurationofaflightsorequireorifthecaptainorfirstofficerorflightattendanttheAircraftisunavailableduetotrainingrequirement,annualleaveorsickleave,thenServiceProviderwillprovideanadditionalpilotattherateofUSD2200perday(flightattendantUSD450perday)ofdutyormaximumofUSD24,000permonth(flightattendantmaximumUSD10,000permonth)whicheverislesser,exclusiveofanyperdiemallowanceandaccommodation,travellingandcommunicationexpenses.TheaforesaiddailyandormonthlyrateissubjecttoannualreviewbyServiceProvider.Fortheavoidanceofdoubt,adayofdutyforthepurposeofthisparagraphshallmeananydayonwhichsuchadditionalpilotsrequiredtoperformlightdutyontheAircraftorstationoutoftheBaseStationinconnectionwithanyflightoftheAircraft.]由于持续飞行的需要或由于机长、副机长或空乘人员需要参加培训或年度休假、生病而无法执行飞行等原因，服务公司将会提供额外的临时飞行员供客户使用，其费用为每天2,000美元(空乘人员每天400美元)，或每月最高不超过24,000美元(空乘人员每月不超过8,000美元)(不包括出每日津贴，住宿，交通和通讯费用)。上述每日或每月费用受到服务公司的年度审查。飞行日数以及飞行员所需执行飞行任务的日子计算，从基地外前往指定地点的行程日均包括在内。Fees费用Thefollowing“Fees”arepayablebyClienttoServiceProvider：以下为客户需向服务公司支付费用的项目：6.1“ScheduledFees”可预期的费用Aone-off“DeliveryfeeforthecoordinationwithFAAofLOA(Part91)”intheamountofUSD20,000tobepaidwithinten(10)BusinessDays(asdefinedinClause10.2oftheGeneralTermsandCondistions)ofthedateofthisAgreement;and客户需在双方均签订此管理协议后的10个工作日内向服务公司支付“一次性美国联邦航空局协议书(91)部费用20,000美元(根据一般条款10.2所述),以及a“MonthlyManagementFee”intheamountofUSD10,000permonth,payableinaccordancewithClause10.2oftheGeneralTermsandConditionsandMonthlyLOA(Part91)Fee”chargedbythirdparty.客户需每月向服务公司支付10,000美元作为”飞机月度管理费“（根据一般条款10.2所述）以及支付由第三方收取的月度美国联邦航空局协议书（91部）费用。Theone-offDeliveryfeeforthecoordinationwithFAAforLOA(Part91)willnotberefundedinanyevent.一次性美国联邦航空局协议书(91部)费用一旦支付，在任何情况下都将不会被退还。TheamounttotheMonthlyManagementFeeissubjecttoannualreviewandmaybeincreasedoneachanniversarydateofDatesubjecttomutualagreementbetweenServiceProviderandClient.飞机的每月管理费用会在每一年结束后重新审定并根据实际情况可能会有一定的增长，但将会先得到双方的确认和同意。6.2“UnscheduledFees”,无法预期的费用6.2.1A“ServiceFee”,calculatedattherateof10%oftheactualoperationcost;and“服务费用”,实际运行费用的10%ineachcasepayableinaccordancewithClause10oftheGeneraTermsandConditions.其它所有在“一般条款和条件”第10条中描述的项目Costsandexpenses价格和费用ClientwillreimburseServiceProviderofallreasonablecostsandexpenserelatingexclusivelyorattributabletotheAircraftandtheFlightCrewinthemannerdetailedinClause10oftheGeneralTermsandConditions.客户将补偿服务公司所有用于该飞机以及飞行机组支出的合理费用和支出，相关项目已在“一般条款和条件”的第10条中详细描述。8.OperatingDeposit运营保证金Clientwillpayan""OperatingFund"intheamountofCNYtoServiceProviderwithinten(10)BusinessDayspriortotheDeliveryDate.ServiceProviderwillapplytheOperatingDepositinaccordancewiththeGeneralTermsandConditions.MainlineJetreservestherighttosuspenseflightoperationserviceiftheoperatingdepositisbelowCNY1,000,000.客户需要在飞机交付前的10个工作日内向服务公司预付万人民币的运营保证金。服务公司将按照“一般条款和条件”中描述的项目合理运用该保证金。如运营保证金低于万人民币时，服务公司有权停止提供飞行服务，直至客户补充运营保证金至合理水平。9.Insurances保险TheAircraftwillbeinsuredatClient'scostsunderServiceProvider'sfleetinsurancepolicyforahullinsuranceamountofUSD10,000,000(the"AgreedValue")(subjecttoadeductibleofnotmorethanUSD50,000perclaim(the"Deductible"))andaliabilityinsuranceamountofUSD250,000,000(the"LiabilityInsuranceLimit")peraccident.该飞机的保险费用由客户承担，将统一置于服务公司整个机队下的大保险中，其整机保险金额(“协定价值”)为USD10,000,000美元，每次事故免费额不超过美金50,000美元,并且对于每次事故的最高责任保险额度为250,000,000美元。10.Ownership所有权ClientrepresentsandwarrantstoServiceProviderthatClientleasesorownstheAircraft.客户向服务公司表明或者保证客户拥有或租用该飞机。ClientagreestofurnishServiceProviderwithcopies(plainorcertifiedcopiesasServiceProvidermayreasonablyrequire)ofsuchdocuments(includingwithoutlimitationthebill(s)ofsale,documentationoftheownertrusteearrangement,theheadlease(s)andsublease(s)(ifany)andanyaircraftmortgage(s)oftheAircraft)asServiceProvidermayreasonablyrequestforServiceProvider'sinternalduediligencepurposesand/orregulatoryandaircraftregistrationpurposes.客户同意向服务公司提供有关文件副本(管理公司可能的合理要求或核证副本)(包括但不限于购机发票，所有者信托安排，租赁和转租及任何航空器抵押协议(如有))，因为服务公司可能会根据相关法律对飞机的注册目的以及所有权进行内部调查。TermofthisAgreement协议时效SubjecttotheterminationprovisionsintheGeneralTermsandConditions,the"InitialTerm"ofthisAgreementwilllastfortwelve(12)monthsfromthedateofDelivery.Thereafter,bothServiceProviderandClientcanterminatethisAgreementatanytimebyservingtotheotherpartynolessthanthree(3)months'noticeinwritinginadvance.根据“一般条款和条件”飞机的初始管理时效为服务公司从接收飞机起的12个月。此后，双方可以在不少于3个月内，以书面确认终止管理协议。Notices通知Eachnotice,demand,consentorothercommunicationwillbesenttotherelevantpartyinwritingbypost,personaldelivery,facsimileoremailatitsaddressesandnumberssetforthbelow,subjecttoanychangesincontactdetailsnotifiedbytherelevantpartyinwritingfromtimetotime.每一个通知，请求，许可或其他沟通信息都将以书面邮寄，专人送达，传真或电子邮件方式送达至下列的联系方式,联系方式的更改将及时以书面形式通知双方。ToServiceProvider:至服务公司Payments缴费Client'sattentionisspecificallydrawntoclause10.9oftheGeneralTermsandConditionswhichprovides,amongothers,thatServiceProvidershallbeentitledtoreceiveallamountspayablebyClienttoServiceProviderunderthisAgreementfreeofanydeductionsorwithholdingduetolatepaymentorearlytermination.AndServiceProviderisnotobligatetoassumeanylegalcostsassociatewiththisaircraftinanylegalproceedingsoftheClient.客户应注意一般性条款第10.9条所规定的，本协议项下全部由客户支付给服务公司的费用，均不得作出任何抵扣或缴扣任何税款。服务公司没有责任承担任何客户就飞机参与法律诉讼而产生的诉讼费。14.leasingarrangement租赁安排IntheeventthatFinancier/LessorrequiresServiceProvidertoenterintoanytripartiteagreement,subordinationagreement,securityassignmentsorsimilardocumentsinrespectofClient'sleasingoftheAircraft,thenClientshallreimburseServiceProviderofitsout-ofpocketexpenses(includinganylegalcosts)incurredinreviewing,negotiating,finalizing,filing,registeringandstampingsuchdocuments.如果发生融资银行或出租人需要服务公司介入三方协议、附属协议、安全指示或者类似文件时，客户应偿付服务公司代其审查，谈判，最终确定，备案，登记等所支付的所有合理费用(包括任何法律成本)INWITNESSoftheagreementofServiceProviderandClientontheaboveMajorCommercialTerms,theattachedGeneralTermsandConditionsandanyAppendicestothisAgreement,eachofServiceProviderandClienthascausedthisAgreementexecutedonthedatefirstabovewritten.经服务公司和客户审阅及确认上述的“主要商务条款”，“一般条款和条件”以及所有与该协议有关的附录,服务公司及客户双方会于此协议首页的日期起开始履行此协议。Signedby签署ForandonbehalfofCO.,LIMITEDByitsdulyauthorizedsignatoryName名字：Title职位：Signedby签署ForandonbehalfofCO.,LIMITEDByitsdulyauthorizedsignatoryName名字：Title职位：AIRCRAFTUSAGEAGREEMENT飞机使用 Thisagreementwasmadeon2019between该协议由以下两方签署,acompanyincorporatedunderthelawsofCHINAP.Rwithlimitedliabilityandwhoseregisteredofficeissituateat(the"User")and(“AircraftProvider")withregisteredofficeatandMajorCommercialTerms主要商务条款asAircraftProvider,provideOnewithmanufacturer'sserialnumbertoUser,andthisaircraftisFAAregistrationandequippedwithenginestogetherwiththeaircraftdocuments,manualsandrecordsrelatingexclusivelytosuchaircraftandenginescollectively.公司提供一架飞机、序列号，美国联邦航空局注册号：「，并配有台包括所有飞机、发动机的相关文档，手册及相关记录。Theaircraftisdesignatedasa“PrivateAircraft".Itwillbeemployedforprivateflightsonlyandwillnotbemadeavailabletoanythirdpartyforhireorreward.这架飞机将被用作“私人飞机"，也就是只能用作私人飞行，并不能用于其它任何第三方的以商业和奖励为目的的飞行。CO.,LIMITEDas“ServiceProvider"withregisteredofficeat有限公司作为航空服务提供方：TheUserneedpayingaircraftservicefeetotheaircraftserviceprovideraccordingto(AIRCRAFTSERVICEAGREEMENT),theservicefeeincludingbutnotlimitedtoaircraftmaintenancelabourandpartscosts,directoperatingcosts,flightcrewsalary,crewtrainingandtestingfee,equipmentandcommissarystoragefee,flighthandlingfee,aircraftmanagementfeeandaircraftinsurancefee,etc.客户需要按照《飞机服务协议》向飞机服务商支付飞行相关服务费，此服务费包括但不限于维修飞机的人工费和航材费、直接运行费用、飞行机组薪资、飞机机组培训和测试费用设备仓储费用、飞行地面代理费用、飞机管理费和飞机保险费用等；TermofthisAgreement协议时效The“InitialTerm”ofthisAgreementwilllastfortwelve(12)monthsfromthedateof.Thereafter,bothServiceProviderandUsercanterminatethisagreementatanytimebyservigtotheotherpartynolessthanthree(3)months'noticeinwritinginadvance.飞机的初始管理时效为服务公司从年月日起的12个月。此后，双方可以在提前不少于3个月内，以书面确认终止管理协议。Notices通知Eachnotice,demand,consentorothercommunicationwillbesenttotherelevantpartyinwritingbypost,personaldelivery,facsimileoremailatitsaddressesandnumberssetforthbelow,subjecttoanychangesincontactdetailsnotifiedbytherelevantpartyinwritingfromtimetotime.每一个通知，请求，许可或其他沟通信息都将以书面邮寄，专人送达，传真或电子邮件方式送达至下列的联系方式。联系方式的更改将及时以书面形式通知双方。ToAircraftPrvoider:至飞机提供方FacsimilenumberEmailaddressAttentionINWITNESSoftheagreementofAircraftProviderandUserontheaboveMajorCommercialTerms,eachofAircraftProviderandUserhascausedthisAgreementexecutedonthedatefirstabovewritten.经服务公司和客户审阅及确认上述的“主要商务条款”飞机提供方公司及客户双方会于此协议首页的日期起开始履行此协议。Signedby签署ForandonbehalfofByitsdulyauthorizedsignatoryName名字：Title职位：Signedby签署ForandonbehalfofByitsdulyauthorizedsignatoryName名字：Title职位：Generaltermsandconditions一般条款与条件Appointment约定ClientagreestoappointManager,andManageragreestoact,asManageroftheAircraftuponthetermsandconditionsofthisAgreement.根据此协议的条款和条件，客户同意指派管理公司，且管理公司同意作为飞机的管理公司DuringtheperiodcommencingonDeliveryandendingontheterminationofthisAgreementinaccordancewithitstermsandconditions(the"Term"),ManagerwillprovidethefollowingservicestoClientinrespectoftheAircraft(the"Services"):在从接收飞机开始到此协议终止的这段时期内，管理公司将向客户提供关于飞机的以下服务：performingpre-purchaseinspectionortechnicalandloginspection(asthecasemaybe)and/ortakingdeliveryinaccordancewithClause2oftheseGeneralTermsandConditions;执行预购买检测或者技术和文件检查，以及/或者在“一般条款和条件”第2条规定的项目attendingtoregistrationandcertificationinaccordancewithClause3oftheseGeneralTermsandConditions;根据“一般条款和条件”第3条，参加飞机的注册和认证工作arrangingforinsurancesinaccordancewithClause4oftheseGeneralTermsandConditions;根据“一般条款和条件”第4条，为客户安排保险事宜arrangingforhangarageand/orparkinginaccordancewithClause5oftheseGeneralTermsandConditions;根据“一般条款和条件”第5条，为客户安排飞机的停机库或者停机位recruitingandmanagingtheFlightCrewsinaccordancewithClause6oftheseGeneralTermsandConditions;根据“一般条款和条件”第6条，招聘以及管理机组人员performingflightschedulingandflightsupportservicesinaccordancewithClause7oftheseGeneralTermsandConditions;根据“一般条款和条件”第7条，提供并执行飞行计划以及飞行支持服务planningandmanagingmaintenanceandrepairinaccordancewithClause8oftheseGeneralTermsandConditions;根据“一般条款和条件”第8条，为飞机提供维护以及维修的计划和管理otheradministrativerequirementsinaccordancewithClause9oftheseGeneralTermsandConditions;and根据“一般条款和条件”第9条，为客户提供其它各类其它行政方面的服务fortheavoidanceofdoubts,nocharteredflightswillbeperformediftheAircraftisdesignatedasa"PrivateAircraft"intheMajorCommercialTerms.据主要商务条款所述，飞机只用做“私人飞机”，该飞机将不会进行任何其它的包机等商业飞行2.Inspectionandtakingdelivery检查和接收飞机WheretheAircraftisnewlyacquiredbyClient,priortoDelivery,totheextentrequiredbyClient,Managerwilleitherperformorparticipateinthepre-purchaseinspectionoftheAircraft(includingbothitsphysicalconditionanditsdocuments,manualsandrecords).WheretheAircraftisownedorleasedbyClientonthedateofthisAgreementbymanagedbyanotheroperator,Clientwillmakeavailable,orcausetheOriginalOperatortomakeavailable,theAircraftforManager'stechnicalandloginspection.Ineithercase,ManagerwilladviseClientofanyrectificationwhichmayberequiredandassistClientinassessingwhetheranyrectificationrequiredhasbeensatisfactorilyperformed.管理公司将执行或参与购买前检查的飞机检测(包括其状况和它的文件，手册和飞行记录等)以符合客户的要求。无论飞机将被出租或是出售给其他第三方或是另一家管理公司，客户将保证飞机的有效性或者促使飞机原管理方提供对飞机各项技术和技术资料的检查的必要协助。无论是以上哪种情况，管理公司将协助客户确认是否存在需要改正的项目或确认是否所有需要改正的需求被有效和完整地执行。ClientagreesthatanyandalltrainingslotsprovidedbytheselleroftheAircraftwillbeusedfortrainingtheFlightCrewandMaintenancecrewatnocoststoManager.客户同意无偿地将任何以及所有由原飞机所有者提供的培训课程用于管理公司为飞机招聘的飞行机组以及维修人员。OnthedateofDelivery,ifrequiredandauthorizedbyClient,ManagerwillperformavisualinspectionoftheAircraftand,iftheresultofsuchvisualinspectionissatisfactory,accepttheAircraftandexecuteanacceptancecertificateinfavouroftheClient.在飞机交付当日，如果得到客户的需求以及授权，管理公司将对飞机进行目视检查，如果所有检查结果均符合标准，那么客户将可以接收该飞机。AfterDelivery,ManagerwilloperateandarrangeforthedeliveryflightoftheAircraftfromtheDeliveryLocationtotheBaseStationasmayberequiredbyClient.在飞机交付后，托管公司将安排并执行飞机从接收地点到基地的调机飞行。Clientwillberesponsibleforallreasonablecostsandexpensesincurredinrelationtothepre-purchaseinspectionortechnicalandloginspection(asthecasemaybe),theDeliveryandtheferryflightoftheAircraft(whereapplicable).Withoutlimitingthegeneralityoftheabove,ClientwillpayfortheservicesofManager'semployee(s)and/orpilot(s)atManager'sstandarddailychargeratesandreimburseManagerfortheirtravelandaccommodationexpensesandperdiemallowancestotheextentthattheyarerequiredtotraveloutoftheBaseStationforthepurposeofthepre-purchaseinspection,theDeliveryand/ortheferryflightoftheAircraft.客户将支付飞机接收前预购检查、技术检查和记录检查的相关合理费用和支出，以及飞机的调机服务的相关合理费用。同时，客户还需支付在此期间管理公司维修人员，飞行员在此期间出差的日常费用以及旅行和日常补助。Registrationandcertification注册和认证ManagerwillassistClientincontinuingregisteringtheAircraftwiththeFAA管理公司将协助客户完成飞机在美国联邦航空局的注册事宜。ManagerwillliaisewiththeAviationAuthorityandarrangefortheAircrafttobecertifiedbytheAviationAuthorityintheFAAPart91categoryandtheAircraftisdesignatedasa"PrivateAircraft".管理公司将与美国联邦航空局联系并安排私用类飞机、91部下运营注册的相关手续。ClientwillberesponsibleforallreasonablecostsandexpensesincurredinrelationtotheregistrationandcertificationoftheAircraftandanysubsequentperiodicauditsrequiredbytheFAA,includingwithoutlimitationthedailychargeoutratesofManager'sstaff(totheextentnotcoveredbyClause2.5oftheseGeneralTermsandConditions),thetravelandaccommodationexpensesandperdiemallowancesofManager'sstaffandofficersoftheFAAtotheextentthattheyarerequiredtotraveloutoftheBaseStation,feespayabletotheAviationAuthority,fuelandothercostsofanycertificationflightandthecostsofanymodificationandrefurbishment.客户将承担飞机注册和认证阶段，及后期由美国联邦航空局要求的定期审计所产生的合理费用和支出。包括但不限于在此期间管理公司工作人员的差旅费，津贴，交通，住宿以及美国联邦航空局工作人员的差旅等相关费用以及此期间应向局方缴纳的费用、认证飞行、修改和翻新等飞机相关的合理费用。4.Insurances保险ClientauthorizesManagertocausetheAircrafttobeplacedandmaintainedonManager'sfleetinsurancepoliciesatClient'scoststhroughouttheTerm.Suchpoliciesconsistof(i)aircraftliabilityinsurancecoveringpublicliability,propertydamage,cargodamageandpassengerlegalliability,inamountsnotlessthantheLiabilityInsuranceLimit;(ii)all-riskaircrafthullandengineinsurance(including,withoutlimitation,foreignobjectdamageinsurance)intheamountoftheAgreedValue,andprovidingcoveragefortheAircraftbothinflightandnotinflightsubjecttotheDeductible;(iii)confiscationandwarriskinsurance.AllsuchinsurancepolicieswillnameClientandManagerasnamedinsured,withClientanditsfinancier(s)orlessor(s)(ifany)namedunderthehullpoliciesaslosspayeesastheirrespectiveinterestsmayappear,andClientanditsfinancier(s)orlessor(s)(ifany)asadditionalinsuredundertheliabilitypolicy,andwillfullycoverallusesoftheAircraftascontemplatedinthisAgreement,includingbutnotlimitedto,whereapplicable,private,commercialandcharteruseoftheAircraft,andwillprovidethatanycancellationorsubstantialchangeincoveragewillnotbeeffectiveastoClientanditsfinancier(s)orlessor(s)(ifany)forthirty(30)daysafterreceiptbyClientanditsfinancier(s)orlessor(s)(ifany)ofwrittennoticeformtheinsurancecompany(ies)ofsuchcancellationorchange.Further,allsuchinsurancepolicieswillwaiveallrightsofsubrogationagainstClient,andwillincludeabreachofwarrantyendorsementandaseverabilityofinterestprovision,andwillbeprimarywithoutanyrightofcontributionfromanyinsurancemaintainedbyClient.CLIENTACKNOWLEDGESANDAGREESTHATSUCHINSURANCEPOLICIESMAYBESUBJECTTOCUSTOMARYLIMITATIONSANDEXCLUSIONS.ManagerwillprovideClientadvancenoticeofanyrider,amendment,changeorcancellationtotheinsurancepolicy（ies）thatManagerproposestorequesttheinsurancecompaniesinadvanceofsuchrequest.ManagerwillfurnishClientanditsfinancier（s）orlessor（s）（ifany）withacertificateofinsuranceevidencingtheliabilityandhullinsurancerequiredunderthisAgreement.客户授权管理公司将飞机的保险纳入管理公司整个机队的保险项目并遵守相关法规和政策并承担相关的保险费用。相关法规和政策主要包括有（i）飞机责任保险涵盖公众责任，财产损失，货物损坏和乘客的法律责任，总金额不少于责任保险限额；（ii）飞机机身保险和发动机保险（包括但不限于，异物伤害保险），均包含在协定价值的总金额内，并无论对飞机是否在飞行中都给予覆盖，且适用免赔额政策；（iii）没收和战争险。所有这些保险政策，将其命名为保险，与客户和其融资银行或出租人（如有）命名的根据飞机政策，收款人为各自的利益损失可能出现的经理和客户的借贷人或出租人（如有）作为额外投保责任保险，将全面涵盖在本协议中拟进行的所有用途的飞机，包括但不限于适用，私人，商业和包机使用飞机，并将提供任何取消或主要覆盖变化不会有效为客户及其出资者）或出租人（如有）的三十（30）天内后收到客户及其金融家或出租人（如有）的书面通知的形式取消或更改保险公司（IES）。此外，全部上述保险将豁免针对客户的代偿权，并且包括违反保证条款和权益分割性条款，并且客户无权通过其所拥有的其他保险进行支付。客户理解并同意该等保险将受限于行业惯例限制及排除。管理公司应在要求保险公司改变、变更或取消保险之前向客户提前递交通知。管理公司应向客户和其出资人或出租人（若适用）递交保险证书，以证明本协议所规定的责任和机体险已购买AllriskoflossofordamagetotheAircraftwillbebornebyClientexceptwheresuchlossordamageiscausedbythegrossnegligenceormisconductofManager.所有飞机的损失或者损伤的风险均由客户承担，除非这些损失是由于管理公司的重大过失或者失误造成的。Hangarage机库或停机位ManagerwillassistClientinlocatingahangarorparkingspacefortheAircraftattheBaseStationand/or,subjecttoavailability,atalinestation.Subjecttoavailabilityofsuchhangarorparkingspace,ManagerwillenterintoalicenseorleaseagreementinrespectoftheAircraftwiththehang 。客户将负责补偿管理公司为安排飞机停机位的租赁而产生的所有直接费用。FlightCrew飞行机组ManagerwillrecruitFlightCrewsfortheAircraft.EachFlightCrewmemberwillbesuitablyexperiencedandqualified,appropriatelycertified,ratedandtrainedasrequiredbytheFAAhavepassedamedicaltest.ClientmayparticipateintherecruitmentandselectionprocessandtheremunerationpackageofeachFlightCrewmemberwillbesubjecttotheapprovalbyClient.管理公司将为客户招聘飞行机组。每一名被招聘的机组成员都将根据美国联邦航空局管理条例拥有丰富的驾驶经验，并通过相关技术测试，认证以及必要的培训，并通过身体健康测试。客户可以参与整个招聘和选择的过程，同时所有的机组人员的最终招聘和薪资都将获得客户的认可和确认。EachFlightCrewmemberwillbeanemployeeofManager,carriedonManager'spayrollandunderManager'sdirectionandauthorityinrespectof,amongothers,rosterassignmentandallocationofannualleave.ManagerreservestherighttoterminateorreplaceanyFlightCrewmemberforjob-relatedperformancereasonsorforsuchmember'sbreachoftheemploymentcontract.UponterminationofthisAgreement,ManagermayatitsdiscretionterminatetheemploymentoftheFlightCrewandManagershallberesponsibleforanynoticepaymentand/orlongserviceorredundancypaymentspayabletotheFlightCrew.UponsuchterminationbyManager,ManagershallpromptlyemployothersuitableFlightCrewatManager'scostandshallinnocircumstanceaffecttheuseandenjoymentoftheAircraftbytheClient.TosecuretheClient'sinvestmentintyperatingtraining,ManagerwillprovidefortrainingbondprovisionstobeincludedinManager'semploymentcontr
