If the shipment described on reverse side is not financed by letter of credit, the undersigned will honor any draft(s) covering the shipment mentioned above, or otherwise reimburse the parties entitle to payment for the amount(s) involved, even though be cause for some deficiency or variation in the documents or goods the conditions for honor have not been complied with. The undersigned will immediately upon receipt of the original bill(s) of lading arrange for the prompt release or return to the Bank the guaranty issued by it pursuant to this agreement. If said guaranty is not released within a reasonable time from this date, upon the Bank’s request, the undersigned shall deliver to the carrier company or its agents named on the reverse side hereof a bond issued by the Government to replace the guaranty and request the carrier company or its agents to return said guaranty to the Bank or to confirm to the bank that said guaranty has been cancelled. 5. 簽署人應按銀行之收費費率支付銀行為副提單背書或連署保證書之費用。 5. The undersigned shall pay the Bank a commission at such rate as may from time to time be charged by the Bank under said endorsement/guaranty. 6. 於銀行尚未解除保證責任前,簽署人仍應向銀行負擔本約定書下之責任。 6. The Bank are hereby further irrevocably authorized and empowered by the undersigned to pay immediately any amounts demanded from the Bank or which the Bank from time to time become liable to pay under or by reason of the Shipping Guarantee without any reference to or further authority from the undersigned and without being under any duty to enquire whether any claims or demands on the Bank have been properly made, notwithstanding that the validity of any such claim or demand or the amount thereof shall be in dispute. 8. 除 貴行已全額受清償外,簽署人茲放棄其得主張代位清償之權利,並同意放棄其對任何貴行之債務人主張抵銷或扣抵之權利,於該債務人有破產、清算或不能清償債務時,放棄對該債務人所得主張債權之權利,俾不影響貴行對該債務人之求償,簽署人並同意不就貴行現在或將來 持有之擔保品或保證主張或分享擔保權益。 8. The undersigned hereby waive all rights of subrogation and agree not to claim any set off or counterclaim against any other person liable to the Bank, or to claim or prove in competition with the Bank in the event of the bankruptcy, liquidation, winding up or insolvency of any such person, or to have the benefit of or share in any guarantee, indemnity, or security now or hereafter held by the Bank, until the Bank have been fully indemnified against all matters. 9. 本約定書未規定之事項,悉依簽署人與貴行所另行簽定之授信約定書之規定。 9. Anything not provided in this Agreement shall be subject to the terms and conditions of the General Facility Agreement between the Bank and the undersigned. 10. 本約定書得以中文及英文做成。但中文版與英文版之內容不一致時,以中文版為準。 10. The Agreement may be executed in both Chinese and English. In the event of any discrepancy between the Chinese and English texts hereof and thereof, the Chinese version shall prevail.
