Payment of Expense: The attorney service fee for the whole process shall be paid on two occasions: 1) Party A should pay 60% of the attorney fee for such product in RMB within 15 days after signing the contract. 2) Upon the fax or scan by Party B to Party A of each Approval Certificates: 40% of the attorney fee for such product in RMB. Party B will deliver the original Certificates to Party A in three workdays after receiving the payment. 3) If Party A pay for the above expenses by foreign currency, the expenses will be calculated according to the rate of the time when receiving the expenses. Party A shall make up the difference due to the change of exchange rate. 4、费用支付:全过程的代理服务费应分两次支付。 1) 乙方与甲方签订合同后,甲方应于签订合同后15日内付此产品的代理服务费的 60%,用人民币支付; 2) 乙方取得每一审批证书后以传真等方式告知甲方,甲方付此产品的代理服务费 的40%,用人民币支付;乙方于收到款后3个工作日内将证书原件寄往甲方。 3) 甲方用外币支付以上费用,则按乙方收到款项时的汇率结算;由汇率变化造成 支付款项不足应付金额时,甲方应补足差价。 5. Party a shall provide Party B with the formula of internet edition which can be edited in word or excel, if Party a cannot provide this edition, Party A should pay 50 Yuan for each formula. 5、甲方应提供可编辑的电子版配方(word或excel文件),若甲方不能按要求提供,则 每个配方需支付人民币50元。 6. Party A or Party B who send the mail needed for business contact should bear the postage, however, if the mail should be duplicated or sent back owning to the mistake by Party A, Party A should bear the cost. 6、双方业务往来所发生的邮寄费由寄出方承担,但由于甲方错误致使邮寄重复或需退货, 由甲方承担运费。 7. T ranslation fee: Party B is responsible for the translation of product packaging; Party A is responsible for the translation of certified documents (including certification of free sale, authorization letter, consigned manufacturing agreement, GMP), testing report in foreign language, quality specifications certificate and other files and materials except English version including packaging. If Party A needs Party B to translate, Party A should separately pay for the translation, the specific fee depends on the agreement of two Parties. 7、翻译费:乙方负责英文的产品包装的翻译;需甲方负责翻译的有:证明文件(包括自 由销售证明、在华申报责任单位授权书、委托加工协议、GMP)、外文的检验报告、质量规格证明及除英文外的产品包装,如需乙方翻译,甲方需另支付相关费用,具体费用视内容双方协商。 8. Other than the Testing expense, notary expense and service fee payable by Party A as expressly provided hereunder, Party A shall not be required to and is not obligated to pay any other fees or charges hereunder. 8、除甲方在本协议项下明确列明应付的检测费、公证费以及代理服务费之外,甲方在本 协议项下不应被要求支付且无义务支付其他任何费用或者收费。 III.Party B shall undertake to test (tracing the testing process), examine, compile, proofread and bind the application materials according to the requirements for such products by SFDA, timely apply at the authorities designated by SFDA, receive Acceptance Notice and wait for appraisal. Party B should explain the problem to Party A when meeting some prolems during the product registration in order to confirm and cooperate to find the solution. 三、乙方应根据SFDA对有关产品的要求,检测(跟踪检测过程)、检查、汇集、校对和装订申 请材料,及时向SFDA提出申请,领取接收凭证、受理通知书和等待审批。当乙方在申报中遇到问题时,应及时反馈到甲方并进行确认和协商解决问题。 1. When the products contain the following ingredients, Party A should provide the corresponding proof or materials, and translate them into Chinese. Party B should coordinate with Party A to sort out and summarize the related materials. 1、当产品含有以下物质时,甲方需提供相应的证明或资料,并译为中文,乙方将配合甲方 整理、汇总相关资料。 1) If there are some items which needs to testing (such as dioxane) in SA report, Party A should separately pay for it, and the testing fees will be arranged separately. 1) 安全性风险评估报告中,有需检测的项目,且甲方同意检测时(如二噁烷),甲方需另 行支付相关检测费,检测费用另行计算。 2) If the formulas contain animal organ tissues or blood products extract, Party B should provide the source of raw materials, quality specifications certificate and the proof of the raw materials permitted to be used in the original country. After the appraisal with the provision of the data above, should SFDA demands the supplements on the materials, Party A should promptly inform and coordinate with Party B. 2) 产品配方中含有动物脏器组织及血液制品提取物,甲方应提交原料的来源、质量规格 和原料生产国允许使用的证明; 若提供的以上资料提交SFDA审评后,SFDA认为还需补充的,乙方应及时告知甲方,并协助甲方对资料进行补充。 2. Party A should pay the down payment of the attorney fee after signing the contract, and provide samples in batches according to Party B’s require ments. Party B will be entitled not to start working before receiving the sufficient down payment of the attorney fee. If Party A does not send samples in accordance with Party B’s terms, Party B will keep the samples for 1 month at the most and will not check them, and Party A should pay the down payment within this 1 month. If not receiving the down payment within this 1 month, Party B will inform Party A and send back the samples (the carriage expenses fall on Party A). If Party A does not confirm the return address and the related information within 2 weeks after receiving the return notice from Party B, Party B will be entitled to process the samples, and Party A will be responsible for all the losses. 2、甲方在签订合同后,应先支付咨询费首付款,再提供配方并按乙方要求分批提供样品; 乙方在未足额收到咨询费首付款前,有权不开始任何申报工作;若甲方未按乙方要求,先行将样品寄至乙方,乙方只能为甲方保存样品1个月,不负责清点;甲方需在此期间将首付款付至乙方;1个月内乙方仍未收到首付款的,乙方将通知甲方并将收到的样品寄还给甲方,由此产生的运费由甲方支付;甲方接到乙方退还样品的通知后,2周内没有确认退货地址及相关事项的,乙方有权将样品自行处理,由此带来的损失全部由甲方承担。 3.Party A has already pay the down payment and the registration work starts, if the registration work fails to continue due to Party A, Party B will suspend the work and keep the dossiers and samples for 6 months, and start working after Party A’s good preparation. If the registration work does not start due to Party A longer than 6 months, Party B will regard that Party A has already give up the registration and will not give back the down payment of the attorney fee and send the samples back to Party A (the carriage expenses fall on Party A). If Party A does not confirm the return address and the related information within 2 weeks after receiving the return notice from Party B, Party B will be entitled to process the samples, and Party A will be responsible for all the losses. If Party A intends to register the product again which has been given up before due to the reasons above, this product is regarded as a new product. 3、当甲方支付咨询费首付款,申报工作开始后,若因甲方原因致使申报工作无法继续 的,乙方可暂停申报工作,并为甲方保留之前的材料及样品,待甲方准备好材料后可继续申报工作,暂停期限为6个月,若6个月后因甲方原因仍无法继续申报工作的,视为甲方终止该产品的申报工作,乙方已收取的咨询费不予退还。若乙方还有甲方提供的申报样品,乙方将寄还给甲方,运费由甲方承担;乙方通知甲方退还样品后,2周内甲方没有确认退货地址及相关事项的,乙方有权将样品自行处理,由此带来的损失全部由甲方承担。 因上述原因终止申报的产品,甲方再行申报时,按新申报产品计算。 4. Party B guarantees to hand over to Party A the Certificates permitted by SFDA within 5-6 months from the time of the beginning date for the sample lab test, for the lab test time which is started within one week just after the receiving the qualified samples and materials for test. If Party A entrusts more products for one time to Party B, the time of formula inspection and the time of definiting product category and testing expense will be prolonged appropriately by Party B (20 pieces per 10 working days). 4、乙方保证收到符合要求的样品及送检材料后一周内送检,从送检之日起5-6个月内将 SFDA批件(在下文称作审批证书)交给甲方。 若甲方一次性委托产品较多,乙方将适当延长对配方初审、确定产品类别及检验费用的时间(20件/10个工作日)。 Remark: F or Special imported cosmetics (such as sun protection products etc…), Party B guarantees to hand over to Party A the Certificates permitted by SFDA within 8-10 months from the beginning date for the sample lab test, for the lab test time which is started within one week just after the receiving the qualified samples and materials for test. 注:关于特殊用途进口化妆品(例如防晒等),乙方保证收到符合要求的样品及送检材料后一周内送检,从送检之日起8-10个月内将SFDA批件交给甲方。 5. If Party A does not pay the testing expense and notary expense to relevant account on time, the registration work will be delayed and the registration process will be postponed. 5、如果甲方没有将检测费、公证费按期汇款到相应的帐号上,导致申报工作延误, 申报时 间将相应地推迟。 6. When the package information (including product description) or ingredient does not come up to the relevant provision in China and is in need of revision, Party B makes suggestion for revision and Party A is in charge of not only revision but package confirmation as well. Party B is only responsible for checking the final version of the package. If Party A consigns the task of package modification and printing to Party B, Party A should pay for the related expense. 6、当包装宣传(含产品说明书)或包装标识成份不符合(中国)相关规定而需要修改时, 乙方提出修改意见,甲方负责修改并确认包装,乙方只负责核对最终版的包装;如果甲方委托乙方对包装进行修改印制,甲方需要支付包装印制的相应费用。 7. If the payment decreases due to Party A’s reasons (such as changing product type, revising formulas, suspending or giving up registration, etc…), which leads to the account paid more than payment and Party A does not agree to or can not offset subsequent registration expense and ask Party B to return the payment, the related taxes and poundage will fall on Party A, that is to say, Party B will take it off from the excess payment. 7、甲方支付款项后,如因甲方原因(如改变产品类别、修改配方、暂停或终止申报等)致 使应付款减少,已付款多于应付款时,且甲方不同意或不能够抵扣后续申报费用,要求乙方将多余款项退还至甲方账户的,由此产生的相关税费及退款手续费,由甲方承担,乙方将从多余款项中直接扣除。 IV.Party B shall keep confidential all technical material and information (including product formulas) provided by Party A. Without the prior written authorization of Party A, it is not permitted to disclose any secrets. Party B will compensate for the liquidated damages in an amount equivalent to the relevant product’s service fees in a lump sum to Party A, if breaching this confidentiality obligation. 四、乙方将对甲方提供的所有技术材料和信息(包括产品配方)严格保密。未经甲方事先书面授 权,不得披露任何机密。如乙方违反保密义务,乙方应向甲方一次性支付违约金,违约金的金额为甲方根据本协议就相关产品所支付的服务费。 V.After the appraisal, should the appraising authority demand amendments or Supplements on the material, the two parties shall cooperate in resolving the problem according to the requirements in Appraisal Notice and the registration process will be postponed. Should the appraisal opinion make it necessary to re-test some items of the products, Party B must timely notify and assist Party A in doing the testing at relevant inspection authorities. After tidying up the testing reports, Party B shall timely report to SFDA and the registration process will be postponed.
