ThemutualrightsandobligationsoftheClientandtheConsultantsshallbeassetforthintheContract,inparticular:　　　　在此合同中 委托人和监理双方应履行的相互权利和义务， (a) TheConsultantsshallcarryouttheServicesinaccordancewiththeprovisionsoftheContract;and　　　　监理公司应按照合同的规定开展业务; “通用条款”是指通用合同条款 (f) "Government"meanstheGovernmentoftheIslamicRepublicofPakistanand/orProvincialGovernment(s).　　　　　　“政府”是指巴基斯坦伊斯兰共和国/或者是省政府 (g) "ForeignCurrency"meanscurrencyotherthanthecurrencyofIslamicRepublicofPakistan.;　　　　　　“国外货币”是指除巴基斯坦伊斯兰共和国之外的货币 (h) "LocalCurrency"meansthecurrencyoftheIslamicRepublicofPakistan;　　　　　　“本地货币”是指巴基斯坦伊斯兰共和国货币 (i) "Member"incasetheConsultantsconsistofajointventureofmorethanoneentity,meansanyoftheentities,and"Members"meansalloftheseentities;　　　　　　“成员”在本文中是指监理是由多个实体的合资企业组成，成员是指这些实体企业。 (j) "Party"meanstheClientortheConsultants,asthecasemaybe,and"Parties"meansbothofthem;　　　　　　“当事人”是指客户或咨询公司人员，在案例中“当事人”是指他们双方人员。 (k) "Personnel"meanspersonshiredbytheConsultantsorbyanySub-consultantsasemployeesandassignedtotheperformanceoftheServicesoranypartthereof;　　　　　　人事部门”是指人员被监理公司或子监理公司雇佣人员以及跟公司签订劳务合同。 (l) "SC"meanstheSpecialConditionsofContractbywhichtheGCareamendedorsupplemented;　　　　　　“SC”是指合同中的特殊条款，它是对通用条款的补充或改进 (m) "Services"meanstheworktobeperformedbytheConsultantspursuanttothisContract,asdescribedinAppendixA; “服务”是指咨询公司在合同规定中的表现，附录A中描述。 (n) "Subconsultant"meansanyentitytowhichtheConsultantssubcontractanypartoftheServicesinaccordancewiththeprovisionsofSub-Clause3.6;　　　　　　“子监理”是指任何的实体监理分包商，他们的服务是根据分条款3.6执行。 (o) "ThirdParty"meansanypersonorentityotherthantheClient,theConsultantsoraSubconsultant;and 　“第三方”是指任何个人或者实体，不同于客户，监理或者子监理方 (p) "Project"meanstheworkspecifiedinSCforwhichengineeringconsultancyservicesaredesired. “项目”是指在工程建筑服务的要求在特殊条款明确表述。1.2 LawGoverningtheContract　　　　法制合同 ThisContract,itsmeaningandinterpretation,andtherelationbetweenthePartiesshallbegovernedbytheApplicableLaw. 此合同将根据文中的内容，解释，以及当事人之间的关系等其具有相应的法律法规效应。1.3 Language　　　语言 ThisContracthasbeenexecutedintheEnglishlanguage,whichshallbethebindingandcontrollinglanguageforallmattersrelatingtothemeaningorinterpretationofthisContract.AllthereportsandcommunicationsshallbeintheEnglishlanguage. 该合同中，应当与本合同的含义或解释以及所有事项的约束力和控制都以英语语言所执行。所有报告和通讯应以英文为主1.4 Notices　　　条款 Anynotice,request,orconsentmadepursuanttothisContractshallbeinwritingandshallbedeemedtohavebeenmadewhendeliveredinpersontoanAuthorizedRepresentativeofthePartytowhomthecommunicationisaddressed,orwhensentbyregisteredmail,telex,orfacsimiletosuchPartyattheaddressoftheAuthorizedRepresentativesspecifiedunderSub-ClauseSC1.6.APartymaychangeitsaddressfornoticehereunderbygivingtheotherPartynoticeofsuchchange.　　　任何的条款，要求，或依据本条例作出同意合同应以书面形式，并须当人送到甲方的授权代表之前时作出决定，或当挂号邮寄，电传，传真，或在根据第SC1.6指定的授权代表的地址发送给该方。缔约方可通过本协议项下给予这种变化的通知对方改变其地址的通知。1.5 Location　　　地址 TheServicesshallbeperformedatsuchlocationsasarespecifiedinAppendixAand,wherethelocationofaparticulartaskisnotsospecified,atsuchlocationsasmutuallyagreedbytheParties. 该服务应在附录A所指明的地点，其中特定任务的位置没有指明　这种地点由双方共同约定1.6 AuthorizedRepresentatives　　　授权代表 Anyactionrequiredorpermittedtobetaken,andanydocumentrequiredorpermittedtobeexecuted,underthisContractbytheClientortheConsultantsshallbetakenorexecutedbytheAuthorizedRepresentativesspecifiedintheSC.在本合同下任何行动的请求或请示将会被允许，任何的文件的要求和请示也会被执行，本合同由委托方或监理方下应采取或通过的在特殊条款中指定的授权代表执行1.7 TaxesandDuties　　　税项和关税 UnlessspecifiedintheSC,theConsultants,Subconsultants,andtheirPersonnelshallpaysuchtaxes,duties,fees,andotherimpositionsasmaybeleviedundertheApplicableLaw,theamountofwhichisdeemedtohavebeenincludedintheContractPrice. 除非在特殊条款中有特殊规定，否则监理，分包监理，以及人事部门人员将要支付如税收，关税，费以及其他在法律法规下要强制支付的费用，其中所有的费用包含在合同价格里。1.8 LeaderofJointVenture 合资企业的负责人 IncasetheConsultantsconsistofajointventureofmorethanoneentity,theConsultantsshallbejointlyandseverallyboundtotheClientforfulfillmentofthetermsoftheContractanddesignatetheMembernamedintheSCtoactasleaderoftheJointVenture,forthepurposeofreceivinginstructionsfromtheClient.　　　如果监理方是由多个实体的合资公司,监理方应连带绑定到委托方履行合同的条款中。2.COMMENCEMENT,COMPLETION,MODIFICATION,ANDTERMINATIONOFCONTRACT2.1 EffectivenessofContract 合同的生效 ThisContractshallcomeintoforceandeffectonthedate(the"EffectiveDate")oftheClient'snoticetotheConsultantsinstructingtheConsultantstobegincarryingouttheServices.Thisnoticeshallconfirmthattheeffectivenessconditions,ifany,listedintheSChavebeenmet. 此合同将在委托人通知监理方开始服务即日期（生效日期）开始生效，该通知应确认有效性的条件，如果有的话，在特殊条款上给予补充。2.2 TerminationofContractforFailuretoBecomeEffective　　　合同失效使其终止 IfthisContracthasnotbecomeeffectivewithinsuchtimeperiodafterthedateoftheContractsignedbythePartiesasshallbespecifiedintheSC,eitherPartymay,bynotlessthantwentyeight(28)dayswrittennoticetotheotherParty,declarethisContracttobenullandvoid,andintheeventofsuchadeclarationbyeitherParty,neitherPartyshallhaveanyclaimagainsttheotherPartyexceptforthework(ifany)alreadydoneorcostsalreadyincurredbyaPartyattherequestoftheotherParty. 如果合同在双方签署之时段内没有生效须在特殊条款中指明，任何一方必须在28时间内天以书面形式来通知另一方，声明本合同时无效的。在这种被两者之一声明的情况下，任何一方除了已经被一方在另一方要求下已经完工或发生费用的工作外（如果有的话）有权对对方要求合法权利2.3 CommencementofServices　　　服务的开始 TheConsultantsshallbegincarryingouttheServicesattheendofsuchtimeperiodaftertheEffectiveDateasshallbespecifiedintheSC. 监理方，开始监理服务和监理服务到期时间会在特殊条款中阐述2.4 ExpirationofContract 合同的终止 UnlessterminatedearlierpursuanttoSub-Clause2.9,thisContractshallexpirewhen,pursuanttotheprovisionshereof,theServiceshavebeencompletedandthepaymentsofremunerationsincludingthedirectcostsifany,havebeenmade.TheServicesshallbecompletedwithinaperiodasisspecifiedintheSC,orsuchextendedtimeasmaybeallowedunderSub-Clause2.6. Theterm"CompletionofServices"isasspecifiedintheSC.　　　除非提前终止根据分条款2.9，此合同终止根据其相关的规定，或者是服务和报酬支付完成，其中包括如有任何直接成本产生。监理服务的完成在特殊条款中有相应的规定，或者如有延期服务可按分条款2.6执行。2.5 Modification　　　修订 ModificationofthetermsandconditionsofthisContract,includinganymodificationofthescopeoftheServicesoroftheContractPrice,mayonlybemadeinwriting,whichshallbesignedbyboththeParties. 对本“合同”条款及条件的修订，包括对“服务”范围、排期表或“合同价格”的修订，可能以经“合同双方”协议达成一致并以书面修订本“合同”的方式进行。2.6 ExtensionofTimeforCompletion 延长竣工的时间 IfthescopeordurationoftheServicesisincreased:　　　　根据此项情况或延长增加相关的服务 (a) TheConsultantsshallinformtheClientofthecircumstancesandprobableeffects;　　　　　　监理方将要告知委托人相应的情况和可能产生的影响 (b) TheincreaseshallberegardedasAdditionalServices;and 　　　增加的相关服务作为额外的服务　　　(c) TheClientshallextendthetimeforCompletionoftheServicesaccordingly. 　　　委托人应为劳务的完成相应延长时间2.7 ForceMajeure　　　不可抗力2.7.1 Definition　　　　定义(a)ForthepurposesofthisContract,"ForceMajeure"meansaneventwhichisbeyondthereasonablecontrolofaPartyandwhichmakesaParty'sperformanceofitsobligationsundertheContractimpossibleorsoimpracticalastobeconsideredimpossibleunderthecircumstances,andincludes,butisnotlimitedto,war,riots,civildisorder,earthquake,fire,explosion,storm,floodorotheradverseweatherconditions,strikes,lockoutsorotherindustrialactions(exceptwheresuchstrikes,lockoutsorotherindustrialactionsarewithinthepowerofthePartyinvokingForceMajeuretoprevent),confiscationoranyotheractionbygovernmentagencies.在本“合同”范围内，“不可抗力”系指发生超出一个“合同方”合理控制范围的事件，致使一个“合同方”不可能履行其在本“合同”项下义务，或致使履行该义务变得不切实际以致可合理地视为不可能；该等事件包括但不限于：战争、暴乱、内乱、地震、火灾、暴雨、洪水或其他不利的天气状况、罢工、停工或其他工业行动（但触发“不可抗力”的“合同方”有能力阻止该等罢工、停工或其他工业行动的情形除外）、没收或政府机构的任何其他行动。　　　　　　　 (b) ForceMajeureshallnotinclude(i)anyeventwhichiscausedbythenegligenceorintentionalactionofaPartyorsuchParty'sSubconsultantsoragentsoremployees,nor(ii)anyeventwhichadiligentPartycouldreasonablyhavebeenexpectedtoboth(A)takeintoaccountatthetimeoftheconclusionofthisContractand(B)avoidorovercomeinthecarryingoutofitsobligationshereunder. “不可抗力”不包括：（i）因一个“合同方”或该“合同方”的“分包咨询顾问”、代理人或雇员的疏忽或有意行动所导致的任何事件，或（ii）审慎的“合同方”可合理预期以（A）在缔结本“合同”时加以考虑并（B）在履行其在本“合同”项下义务时避免或克服的任何事件。 (c) ForceMajeureshallnotincludeinsufficiencyoffundsorfailuretomakeanypaymentrequiredhereunder.　　　　　　“不可抗力”不包括资金不足或无力支付本“合同”项下的任何款项2.7.2 NoBreachofContract 不违反合同 ThefailureofaPartytofulfillanyofitsobligationsundertheContractshallnotbeconsideredtobeabreachof,ordefaultunderthisContractinsofarassuchinabilityarisesfromaneventofForceMajeure,providedthatthePartyaffectedbysuchanevent;(a)hastakenallreasonableprecautions,duecareandreasonablealternativemeasuresinordertocarryoutthetermsandconditionsofthisContract;and(b)hasinformedtheotherPartyinwritingnotlaterthanfifteen(15)daysfollowingtheoccurrenceofsuchanevent.　　　如“不可抗力”事件致使一个“合同方”未能履行其在本“合同”项下任何义务，不应视作违反本“合同”或本“合同”项下的违约，前提是受该事件影响的“合同方”（a）已采取所有合理的预防措施、应有的谨慎及合理的替代措施，以执行本“合同”的条款及条件，并且（b）已尽快向“合同方”通知该事件的发生。2.7.3 ExtensionofTime 合同的延续 AnyperiodwithinwhichaPartyshall,pursuanttothisContract,completeanyactionortask,shallbeextendedforaperiodequaltothetimeduringwhichsuchPartywasunabletoperformsuchactionasaresultofForceMajeure.　　合同方”依照本“合同”必须完成任何行动或任务的期限应顺延一段时间，该段时间应等于该“合同方”因“不可抗力”事件而无法执行该行动的时间2.7.4 Payments 付款 DuringtheperiodoftheirinabilitytoperformtheServicesasaresultofaneventofForceMajeure,theConsultantsshallbeentitledtocontinuetobepaidunderthetermsofthisContract,aswellastobereimbursedforadditionalcostsreasonablyandnecessarilyincurredbythemduringsuchperiodforthepurposeoftheServicesandinreactivatingtheServicesaftertheendofsuchperiod.　　　在其因“不可抗力”事件而无法履行“服务”期间内，“监理方”有权继续依照本“合同”条款取得付款，并获偿“监理方”在该期间内出于“服务”之目的以及在该期间结束后为重新启动“服务”而合理及必要地发生的额外成本。2.8 SuspensionofPaymentsbytheClient　　　由委托人停止付款 TheClientmay,bywrittennoticeofsuspensiontotheConsultants,suspendallpaymentstotheConsultantshereunderiftheConsultantsfailtoperformanyoftheirobligationsunderthisContract,includingthecarryingoutoftheServices,providedthatsuchnoticeofsuspension(i)shallspecifythenatureofthefailure,and(ii)shallrequesttheConsultantstoremedysuchfailurewithinaperiodnotexceedingthirty(30)daysafterreceiptbytheConsultantsofsuchnoticeofsuspension.　　　由于监理方任务不达标，没有履行在合同中规定的相应义务，由委托方停止向监理方付款，（1）首先要说明清楚其事件（2）应委托方要求在期限不超过三十天补救，收到委托方暂停通知（30）天内。2.9 Termination　　终止2.9.1 BytheClient　　　　由委托方终止 TheClientmayterminatethisContract,bynotlessthanthirty(30)dayswrittennoticeofterminationtotheConsultants,tobegivenaftertheoccurrenceofanyoftheeventsspecifiedinparagraphs(a)through(e)ofthisSub-Clause2.9.1andsixty(60)days'inthecaseoftheeventreferredtoinparagraph(f):　　　“委托方”可通过向“监理方”发出书面终止通知来终止本“合同”；发生本第2.9.1条（a）至（d）项规定的任何事件后发出通知的，应提前至少三十（30）天发出通知；发生（e）项所规定事件后发出通知的，可在发出通知后立即终止；发生（f）项所规定事件后发出通知的，应提前至少六十天（60）发出通知：(a)IftheConsultantsdonotremedyafailureintheperformanceoftheirobligationsundertheContract,withinthirty(30)daysafterbeingnotifiedorwithinanyfurtherperiodastheClientmayhavesubsequentlyapprovedinwriting;　　　　　被通知后三十（30）天内或“委托方”之后可能书面批准的任何延长期间内，“咨询顾问”未对不履行其在本“合同”项下义务的行为作出补救； (b) IftheConsultantsbecome(or,iftheConsultantsconsistofmorethanoneentity,ifanyoftheirMembersbecomes)insolventorbankruptorenterintoanyagreementswiththeircreditorsforreliefofdebtortakeadvantageofanylawforthebenefitofdebtorsorgointoliquidationorreceivershipwhethercompulsoryorvoluntary;　　　　　　监理顾问”丧失清偿能力或破产,或进入与债权人的任何协议，减免债务,或者利用任何法律债务人的利益,或进入清算程序,或被强制接管。 (c) IftheConsultantsfailtocomplywithanyfinaldecisionreachedasaresultofarbitrationproceedingspursuanttoClause7hereof;　　　　　　如果委托方未能遵守达成为根据第7条本合同仲裁程序的结果，可能是任何的最终决定。 (d) IftheConsultantssubmittotheClientastatementwhichhasamaterialeffectontherights,obligationsorinterestsoftheClientandwhichtheConsultantsknowtobefalse;　　　　　如果监理方呈送给委托方关于材料质量的文件，必须要监理方知道其材质。 (e) If,astheresultofForceMajeure,theConsultantsareunabletoperformamaterialportionoftheServicesforaperiodofnotlessthansixty(60)days;　　　　　　“监理顾问”因“不可抗力”而在至少六十（60）天的期间内无法履行相当大一部分“服务”。 (f) IftheClient,initssolediscretion,decidestoterminatethisContract. “委托方”依照其单独裁量，决定终止本“合同”。2.9.2 BytheConsultants 由监理方终止 TheConsultantsmayterminatethisContract,bynotlessthanthirty(30)dayswrittennoticetotheClient,suchnoticetobegivenaftertheoccurrenceofanyoftheeventsspecifiedinparagraphs(a)through(d)ofthisSub-Clause2.9.2:　　　　在发生本第2.9.2条（a）和（b）项规定的任何事件后，“咨询顾问”可通过提前至少三十（30）天向“委托方”发出书面通知来终止本“合同”： (a) IftheClientfailstopayanymoniesduetotheConsultantspursuanttothisContractandnotsubjecttodisputepursuanttoClause7withinforty-five(45)daysafterreceivingwrittennoticefromtheConsultantsthatsuchpaymentisoverdue;　　　　　　“委托方”未支付依照本“合同”应向“咨询顾问”支付的、未依照第7条发生争端的任何款项，在收到“咨询顾问”的书面通知后四十五（45）天内该等款项依然未支付； (b) IftheClientisinmaterialbreachofitsobligationspursuanttothisContractandhasnotremediedthesamewithinforty-five(45)days(orsuchlongerperiodastheConsultantsmayhavesubsequentlyapprovedinwriting)followingthereceiptbytheClientoftheConsultants'noticespecifyingsuchbreach; 如果委托方没有根据监理方文件所描述的材质在45天进行整改，视其为违约 (c) If,asaresultofForceMajeure,theConsultantsareunabletoperformamaterialportionoftheServicesforaperiodofnotlessthansixty(60)days; CessationofServices　　　服务停止 RemunerationandreimbursabledirectcostsexpenditurepursuanttoClause6forServicessatisfactorilyperformedpriortotheeffectivedateoftermination.EffectivedateofterminationforpurposesofthisSub-Clausemeansthedatewhentheprescribednoticeperiodwouldexpire; Exceptinthecaseofterminationpursuanttoparagraphs(a)through(d)ofSub-Clause2.9.1,reimbursementofanyreasonablecostincidentaltothepromptandorderlyterminationoftheContract,includingthecostofthereturntravelofthePersonnel,accordingtoConsultantsTravelingAllowanceRules. DisputesaboutEventsofTermination　　　关于终止事件争议 IfeitherPartydisputeswhetheraneventspecifiedinparagraphs(a)through(e)ofSub-Clause2.9.1orinparagraph(a)through(d)ofSub-Clause2.9.2hereofhasoccurred,suchPartymay,withinforty-five(45)daysafterreceiptofnoticeofterminationfromtheotherParty,referthemattertoarbitrationpursuanttoClause7hereof,andthisContractshallnotbeterminatedonaccountofsucheventexceptinaccordancewiththetermsofanyresultingarbitralaward.　　　如果缔约一方起争端，这类缔约方可在收到终止通知的来自对方后，45（45）天内，将此事提交仲裁依照第7条本法，在仲裁期间不得停止服务，等待最终仲裁决定。3.OBLIGATIONSOFTHECONSULTANTS TheConsultantsshallperformtheServicesandcarryouttheirobligationswithallduediligence,efficiency,andeconomy,inaccordancewithgenerallyacceptedprofessionaltechniquesandpractices,andshallobservesoundmanagementpractices,andemployappropriateadvancedtechnologyandsafemethods.TheConsultantsshallalwaysact,inrespectofanymatterrelatingtothisContractortotheServices,asfaithfuladviserstotheClient,andshallatalltimessupportandsafeguardtheClient'slegitimateinterestsinanydealingswithSubconsultantsorthirdparties. TheremunerationoftheConsultantspursuanttoClause6shallconstitutetheConsultants'soleremunerationinconnectionwiththisContractortheServices,andtheConsultantsshallnotacceptfortheirownbenefitanytradecommission,discount,orsimilarpaymentinconnectionwithactivitiespursuanttothisContractortotheServicesorinthedischargeoftheirobligationsundertheContract,andtheConsultantsshallusetheirbesteffortstoensurethatthePersonnel,anySub-consultants,andagentsofeitherofthemsimilarlyshallnotreceiveanysuchadditionalremuneration.　　　　　“监理顾问”依照第6条取得的报酬应构成“监理顾问”与本“合同”或“服务”有关的唯一报酬，并且在与本“合同”或“服务”有关的活动中，或在履行其在本“合同”项下义务的过程中，“监理顾问”不得为自身利益而接受任何佣金、折扣或类似的款项，并且“监理顾问”应尽最大努力以保证任何“分包监理顾问”和“监理顾问”及任何“分包监理顾问”的“人员”及代理人也不收受任何该等额外报酬。3.3 Confidentiality 保密 TheConsultants,theirSub-consultants,andthePersonnelofeitherofthemshallnot,eitherduringthetermoraftertheexpirationofthisContract,discloseanyproprietaryorconfidentialinformationrelatingtotheProject,theServices,thisContract,ortheClient'sbusinessoroperationswithoutthepriorwrittenconsentoftheClient. TheConsultantsareliablefortheconsequenceoferrorsandomissionsontheirpartoronthepartoftheiremployeesinsofarasthedesignoftheProjectisconcernedtotheextentandwiththelimitationsasmentionedhereinbelow. IftheClientsuffersanylossesordamagesasaresultofprovenfaults,errorsoromissionsinthedesignofaproject,theConsultantsshallmakegoodsuchlossesordamages,subjecttotheconditionsthatthemaximumliabilityasaforesaidshallnotexceedtwicethetotalremunerationoftheConsultantsfordesignphaseinaccordancewiththetermsoftheContract. TheConsultantsmay,toprotectthemselves,insurethemselvesagainsttheirliabilitiesbutthisisnotobligatory.Theextentoftheinsuranceshallbeuptothelimitspecifiedinsecondparaabove.TheConsultantsshallprocurethenecessarycoverbeforecommencingtheServicesandthecostofprocuringsuchcovershallbebornebytheConsultantsuptoalimitofonepercentofthetotalremunerationoftheConsultantsforthedesignphaseforeveryyearofkeepingsuchcovereffective. (c) AnyotheractionthatmaybespecifiedintheSC.　　　　　　其他相关详见特殊合同条款。3.7 ReportingObligations 责任报告 TheConsultantsshallsubmittotheClientthereportsanddocumentsspecifiedinAppendixBintheform,inthenumbers,andwithintheperiodssetforthinthesaidAppendix.　　　监理方应当有相应的报告给委托人根据附录B,其余的将在附录里有相应阐述。3.8 DocumentsPreparedbytheConsultantstobethePropertyoftheClient 监理方所编制文件系委托方之财产 Allplans,drawings,specifications,reports,andotherdocumentsandsoftwarepreparedbytheConsultantsinaccordancewithSub-Clause3.7shallbecomeandremainthepropertyoftheClient,andtheConsultantsshall,notlaterthanuponterminationorexpirationofthisContract,deliver(ifnotalreadydelivered)allsuchdocumentsandsoftwaretotheClient,togetherwithadetailedinventorythereof.TheConsultantsmayretainacopyofsuchdocumentsandsoftware. 向委托人提供的服务在附录A所描述的服务范围之外。 (b) ServicestobeperformedduringtheperiodextendedpursuanttoSub-Clause2.6,beyondtheoriginalscheduletimeforcompletionoftheServices;and 超出原计划时间，则根据2.6条款进行服务。(c) Anyre-doingofanypartoftheServicesasaresultofClient'sinstructions. 任何为服务一部分所重新做的服务都被作为是委托人的指示的结果。 If,intheopinionoftheClient,itisnecessarytoperformAdditionalServicesduringthecurrencyoftheContractforthepurposeoftheProject,suchAdditionalServicesshallbeperformedwiththepriorconcurrenceofboththeParties.TheConsultantsshallinformtheClientoftheadditionaltime(ifany),andtheadditionalremunerationandreimbursabledirectcostsexpenditureforsuchAdditionalServices.IfthereisnodisagreementbytheClientwithintwoweeksofthisintimation,suchadditionaltime,remunerationandreimbursabledirectcostsexpenditureshallbedeemedtobecomepartoftheContract.SuchremunerationandreimbursabledirectcostsexpenditureshallbedeterminedonthebasisofratesprovidedAppendicesinDandE,incasetheAdditionalServicesareperformedduringthescheduledperiodoftheServices,otherwiseremunerationforAdditionalServicesshallbedeterminedonthebasisofConsultants'billingratesprevailingatthetimeofperformingtheAdditionalServices.　　　如果在委托人的角度，有必要在合同期执行其他的服务项目，此类附加服务应事先经过双方的同意，监理顾问必须通知客户额外的时间，（如果有的话），这些额外的报酬和开销的直接费用即为这些额外服务进行支出。如果在这个暗示下两周内未收到委托人的不同意见，这种额外的报酬和开销的直接费用支出将被视为合同的一部分。万一附加服务在预定服务期限内执行，这样的报酬和开销的直接费用开支应该在附录Ｄ　和E提供的利率上决定。否则附加服务的报酬就必须基于监理顾问在执行附加服务是存在的基础上确定的利率6.7 Consultants'EntitlementtoSuspendServices 监理方有权暂停服务 IftheClientfailstomakethepaymentofanyoftheConsultants'invoice(excludingtheadvancepayment),withintwenty-eight(28)daysaftertheexpiryofthetimestatedinparagraph(b)ofSub-Clause6.4,withinwhichpaymentistobemade,theConsultantsmayaftergivingnotlessthanfourteen(14)days'priornoticetotheClient,suspendtheServicesorreducetherateofcarryingouttheServices,unlessanduntiltheConsultantshavereceivedthepayment.　　　如果委托人在B段所述6.4条款期满28天后未能支付监理的任何发票（不包括预付款），其中的款项被支付，监理将会提前不少于14天给予委托人预先告知终止服务或者降低服务的进度，直到除非监理已经收到款项， ThisactionwillnotprejudicetheConsultantsentitlementtofinancingchargesunderSub-Clause6.5.7.SETTLEMENTOFDISPUTES　　　　　　　　　　　　　　解决纠纷7.1 AmicableSettlement 友好解决 ThePartiesshallusetheirbesteffortstosettleamicablyalldisputesarisingoutoforinconnectionwiththisContractoritsinterpretation. 双方应该尽其最大努力解决所有与本合同有关的一切纠纷。7.2 DisputeSettlement 纠纷解决 AnydisputebetweenthePartiesastomattersarisingpursuanttothisContractwhichcannotbesettledamicablywithinthirty(30)daysafterreceiptbyonePartyoftheotherParty'srequestforsuchamicablesettlementmaybesubmittedbyeitherPartyforsettlementinaccordancewiththeprovisionsoftheArbitrationAct,1940(ActNo.Xof1940)andoftheRulesmadethereunderandanystatutorymodificationsthereto. 任何关于本合同的纠纷，如果当事人受到对方当事人的请求，在30天之内无法协商解决，可以根据仲裁法的规定提交仲裁，1940(ActNo.Xof1940)根据制定的任何法规变更。 ServicesundertheContractshall,ifreasonablypossible,continueduringthearbitrationproceedingsandnopaymentduetoorbytheClientshallbewithheldonaccountofsuchproceedings.　　　根据本合同规定的服务，如果有可能在仲裁程序中继续进行，不因委托人或委托人的监理而被扣留8.INTEGRITYPACT.完全条约8.1 IftheConsultantoranyofhisSub-consultants,agentsorservantsisfoundtohaveviolatedorinvolvedinviolationoftheIntegrityPactsignedbytheConsultantasAppendix-GtothisFormofContract,thentheClientshallbeentitledto:如果监理或者任何他的分监理机构，雇工被发现违反或卷入违反了被监理签署的合同如G附录的完全条约。那么委托人可以有权：1.RecoverfromtheConsultantanamountequivalenttotentimesthesumofanycommission,gratification,bribe,finder’sfeeorkickbackgivenbytheConsultantoranyofhisSub-consultant,agentsorservants; NotApplicable　　　　　　　外币＝不可用(ii)forlocalcurrency=eightpercent(8%)perannum.　　本地货币＝每年增长８％IVAPPENDICESAppendixA附录　ＡDescriptionoftheServices服务描述TheGovernmentofPakistanthroughNationalHighwayAuthority(NHA)hasplannedtoconstruct392Km.long6-laneMotorwaybetweenMultantoSukkurasapartofPeshawar-KarachiMotorway.Italsocomprisesconstructionofallalliedstructures(culverts,bridges/interchanges)andconstructionof2-laneserviceroadsontheeithersideoftheMotorway.TheproposedsectionofMotorwayshallbefurtherdividedintosevensub-sectionsapprox.55~60Km.eachtofacilitateitsconstruction.巴基斯坦政府通过国家公路总局计划建设392公里的高速公路，从白沙瓦到卡拉奇段其中从木尔坦到苏库尔段6车道高速公路建设。它还包括建设所有联合结构(涵洞、桥梁/互通)的建设和文体馆服务在高速公路的道路两侧。高速公路的提出应当进一步划分为大约7个分部。每个分部约为55~60公里。来促进每个分部其建设。ThecontractofmotorwayprojecthasbeensignedbetweenCSCECandNHA,CSCEChasbecometheEPCcontractorofthisproject.ACChasbeenhiredasainhouseteamofconsultantofthisprojectbyCSCEC，inchargeofthequalityassuranceserviceandqualitycontrolserviceofsectionⅡ(stakemarkfromK435+000toK491+000）.其高速公路项目合同已和中建和巴基斯坦国家高速公路总局签订，中建是其项目的总包。EA被聘为内部团队,EA公司是这个项目的监理方给中建股份提供监理服务,负责质量保证服务和质量控制服务的部分，二标段。（从Ｋ４３５＋０００　至ｋ４９１＋０００）1.Objectives目标a)
