BETWEEN双方Nokia (China)InvestmentCo.,Ltd.,acorporationvalidly organised andexistingunderthelawsof China havingitsprincipalplaceofbusinessat NokiaTower,PacificCenturyPlace,2AGongtibeilu,ChaoyangDistrict,Beijing100027,PRC,includingitsaffiliatedcompanies,directlyorindirectlyownedbyNokiaCorporation(hereinafter"Nokia"),andN(中国)投资有限公司，一家根据中华人民共和国的法律有效组建和存在的公司，其主要营业地点位于中国北京100027朝阳区工体北路甲2号盈科中心N大厦，并包括直接或间接附属于N公司的其关联公司（以下简称“N”）；和_______________________________________________________________, acorporationvalidlyorganizedandexistingunderthelawsof___________________havingitsprincipalplaceofbusinessat ____________________________________________ ,orindividuals,Name:_______________​​PersonalIDNo.:___________________________,Address:______________________________________________​​​​​ (hereinafter"theRecipient").________________________________, 一家根据 _______________ 的法律有效组建和存在的公司，其主要营业地点位于_______________________________________________，或个人，姓名：_______________​​​​​​​个人证件号码_______________________________, 住址:__________________________________________________________（以下简称“接受方”）。WHEREAS:鉴于：A)Forthepurposeofevaluatingthefeasibilityofpossiblebusinessrelationshipbetweenthepartiesconcerning participationofSmartApplicationMobileContestanduseofrelevantdocumentsbytheRecipient andforthepurposeofthepossiblebusinessrelationshipwhichisaconsequenceofsaidevaluation(hereinafter"Purpose")就参加N智能应用移动挑战赛及使用相关开发文档一事为评估双方之间可能发生的业务关系的可行性之目的，以及为因此评估而可能发生的业务关系之目的（以下称“目的”）B)itmaybenecessaryanddesirablethatNokiaoranyofitsaffiliateswithintheNokiagroupofcompaniesdisclosestotheRecipienttechnicaland/orcommercialinformationrelatingtoitsrespectivebusiness,facilities,products,techniquesandprocessesinformoforaldisclosure,demonstration,device,apparatus,model,sampleofanykind,computerprogram,magneticmedium,document,specification,circuitdiagram,ordrawing(includingbutnotlimitedtoinformationofageneralnatureorinformationnotnecessarilyintheformasappliedtowirelesstelecommunicationssystems)andvisualobservationoftheaforesaidwhichinformationisproprietarytoNokiaortoitsaffiliatedcompanies(hereinafter"Information")andtheRecipientiswillingtoundertaketorestricttheuseandfurtherdisclosureoftheInformation;N或其在N集团中的任何关联公司可能在有必要并有益的情况下向接受方披露一些与其业务、设施、产品、 有关的技术和/或商业信息，信息的形式可能以口头披露、示范、器具、仪器、模型、任何种类的样品、电脑程序、磁性载物、文件、规格、线路图、或图纸（包括但不限于，一般性质的信息或不必以无线通信系统为形式的信息）和以上所述事物的视觉观察，上述信息为N或其关连公司所拥有（以下称“信息”），并且接受方愿意承诺限制使用和进一步披露信息。NOW,THEREFOREITISHEREBYAGREEDASFOLLOWS:兹约定如下：1.TheRecipientshallkeepallInformationreceivedfromNokiaoritsaffiliatesinwhateverformasstrictlyconfidentialandshallnotdiscloseittothirdparties(includingitssubsidiaries,parentoraffiliatedcompanies)withoutthepriorwrittenpermissionofNokia.接受方应对其从N或其关联公司收到的所有任何形式的信息严格保密，并且未经N事先书面允许，不得将其向第三方（包括其子公司、母公司或关联公司）披露。2.TheInformationreceivedhereundershallnotbeusedforanypurposeotherthantheabove-mentionedPurposewithoutthepriorwrittenpermissionofNokia.未经N事先书面允许，本协议项下收到的信息不应用于上文所述目的之外的任何目的。3.TheRecipientshallrestrictaccesstoInformationreceivedfromNokiatoonlythoseofitsemployeestowhomsuchaccessisnecessaryforcarryingoutthePurposeandadvisesuchemployeesoftheobliga​tionsassumedherein.接受方应将从N收到的信息限制于为实施目的而有必要接触信息的雇员范围之内，并告知这些雇员遵守本协议设定的义务。4.TheRecipientshallinnoeventusealowerdegreeofcareinsafeguardingNokia´sInformationthanitusesforitsowninformationoflikesensitivityandimportanceandupondiscoveryofany unauthorised disclosureofInformationinitspossessiontheRecipientshalluseitsbest endeavours topreventanyfurtherdisclosureor unauthorised usethereof.在任何情况下，接收方对保护N的信息的关心程度都不应低于对自已具有类似敏感性和重要性的信息，并且对其拥有的信息的任何未经授权的披露，接收方应尽其最大努力防止任何进一步披露或未经授权的使用。5.TheforegoingobligationsshallnotapplytoanyInformationwhich上述义务不应适用下述任何信息：(a)isinthepublicdomainatthetimeofdisclosureorlaterbecomespartofthepublicdomainthroughnofaultoftheRecipient;or在披露时已在公众领域内，或不是因接收方违约而进入公众领域内的信息；或(b)wasknowntotheRecipientpriortodisclosurebyNokiaasprovenbythewrittenrecordsoftheRecipient;or经接收方提供书面记录证明，在N披露前接收方已知道的信息；或(c)isdisclosedtotheRecipientbyathirdpartywhodidnotobtainsuchInformation,directlyorindirectly,fromNokia;or由不是直接或间接从N获得信息的第三方披露给接收方的信息；或(d)wasindependentlydeveloped(bypersonnelhavingnoaccesstotheInformation)bytheRecipientasprovenbythewrittenrecordsoftheRecipient.经接收方提供书面记录证明，由接收方自己独立开发（由未接触信息的人士）出来的信息。Forthepurposeoftheforegoingexceptions,disclosureswhicharespecific,e.g.astoengineeringanddesignpracticesandtechniques,products,software,operatingparameters,etc.shallnotbedeemedtobewithintheforegoingexceptionsmerelybecausetheyareembracedbygeneraldisclosureswhichareinthepublicdomainorinthepossessionoftheRecipient.Inaddition,anycombinationoffeaturesshallnotbedeemedtobewithintheforegoingexceptionsmerelybecauseindividualfeaturesthereofareinthepublicdomainorinthepossessionoftheRecipient,butonlyifthecombina​tionitselfanditsprincipleofoperationareinthepublicdomainorinthepossessionoftheRecipient.就上述例外情况而言，与 不得仅仅因为它们包含在已进入公众领域或已为接受方掌握的一般性披露内容中而被视为属于上述例外情况。此外，任何综合性内容亦不得仅仅因为其个别部分已进入公众领域或已为接受方掌握而被视为属于上述例外情况，除非综合性内容本身及其运营原则已进入公众领域或已为接受方所掌握。6.ThisAgreementshallgovernallcommunicationsrelatingtoInformationbetweenNokiaandtheRecipientduringtheperiodfromthedateofthisAgreementtothedateonwhichtheRecipientreceivesawrittennoticefromNokiastatingthatsubsequentcommunicationsshallnotbesogoverned.本协议适用于N和接受方之间在自本协议签订日起至接受方从收到N的书面通知告知其日后的交流不再适用本协议之日的期间内交流的信息。7.NeitherthisAgreementnordisclosureofInforma​tionshallconstituteorimplyanypromiseorintentiontomakeanypurchaseofproductsorservicesbyNokiaoranycommitmentbyNokiawithrespecttothepresentorfuturemarketingofanyproductorserviceoranypromiseorintentiontoenterintoanyotherbusinessarrangementwiththeRecipient.无论是本协议还是信息的披露均不构成或默示N作出了任何购买产品或服务的承诺或意向，亦不构成或默示N就任何产品或服务现在或未来之营销作出了任何承诺，亦不构成N作出了与接受方订立任何其它业务安排的承诺或意向。8.NolicensetotheRecipient,underanytrademark,patent,copyrightoranyotherintellectualpropertyright,iseithergrantedorimpliedbytheconveyingofInformationtotheRecipient.NoneoftheInformationdisclosedshallconstituteanyrepresentation,warranty,assurance,guaranteeorotherinducementbyNokiatotheRecipientofanykind,and,inparticular,withrespecttothenon-infringementoftrademarks,patents,copyrightsoranyotherintellectualpropertyrights,orotherrightsofthirdparties.向接受方传达信息并不等于授予该方或默示该方获得了任何商标、专利、著作权或任何其它知识产权的许可。披露的任何信息均不构成N对接受方作出的任何陈述、保证、保障、担保或其它诱因，特别是有关未侵犯第三方商标、专利、著作权或任何其它知识产权或其它权利的陈述、保证、保障、担保或其它诱因。9.AllmaterialembodyingInformationorrelevantorrelatedtheretowhetherornotsuppliedbyNokia,including,withoutlimitation,rejecteddrawings,scrappapers,photographicnegatives,orcomputerinputoroutput,andincludingallcopiesofanykindshallbereturnedordestroyeduponwrittenrequestofNokia.一切含有信息或与信息有关之材料，不管是否由N提供，包括但不限于退弃的图纸、废弃的纸张、照片底片、电脑输入或输出数据（包括任何复制本），经N书面要求后均应予以退还或销毁。10.TheRecipientshalladheretoanyrelevantexportcontrollawsandregulationswithrespecttotheInformationorproductsreceivedfromNokia.接受方应遵守与得自N的信息或产品有关的任何出口管制法律和法规。11.ThisAgreementshallbeconstruedandinterpretedinaccordancewiththelawsof China,excludingitsrulesforchoiceoflaw.本协议应按照中国法律理解和解释，但有关法律选择的规定除外。AnydisputesrelatingtoorarisinginconnectionwiththisAgreementshallbefinallysettledinarbitration. ThearbitrationshallbeconductedbyChinaInternationalEconomicandTradeArbitrationCommissioninBeijinginaccordancewithitsarbitrationrules.Theawardshallbefinalandbindingandenforceableinanycourtofcompetentjurisdiction.与本协议有关的或因本协议引起的任何争议均应通过仲裁得到最终解决。仲裁应由中国国际经济贸易仲裁委员会依据其规则在北京进行。仲裁裁决为终局裁决，具有约束力，并可在任何管辖法庭执行。INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobedulyexecutedasofthedatefirstsetforthbelow.本协议双方业已与文首载明的日期正式签署了本协议，以昭信守。OnbehalfofOnbehalfofNOKIA(CHINA)INVESTMENTCO.,LTD.________________________________________代表：N（中国）投资有限公司代表:By:By:Name:Name:姓名：姓名：Title:Title:职务：职务：Date:Date:日期：日期：Place:Place:地点：地点：
